Vor dem Hintergrund dieser großen Fusionswelle entstand eine Vielzahl von Publikationen, die dieses „Phänomen“ untersuchen. Die vorliegende Seminararbeit behandelt die Veröffentlichung „Eat or Be Eaten: A Theory of Mergers and Merger Waves“ von Gorton, Kahl und Rosen (2005). Ihrer Meinung nach können Fusionswellen zunächst dann auftreten, wenn die Manager der Firmen Anreize haben, die Unabhängigkeit ihrer Firma zu sichern. Indem sie eine andere Firma übernehmen, können sie die Wahrscheinlichkeit, selbst Ziel einer Übernahme zu werden, reduzieren. Hierbei können defensive Übernahmen auftreten, die dadurch gekennzeichnet sind, daß sie unrentabel sind. Des weiteren argumentieren die Autoren, daß eine technologische oder politische Änderung Übernahmen in der Zukunft rentabel machen und so zu einer präventiven Welle defensiver Übernahmen führen kann. Die Autoren beschreiben auch das Timing und die Rentabilität der Übernahmen sowie die Identität von Erwerbern und Zielfirmen. Diese hängen von der Höhe der privaten Einkommen und des Kapitaleigentums der Manager ab sowie von der Wahrscheinlichkeit einer politischen Änderung und der Industriestruktur.2 Des weiteren kann ihre Arbeit im Hinblick auf Fusionswellen drei stilisierte Fakten erklären: Daß die Käufer im Durchschnitt Geld verlieren, daß Übernahmen sich in jenen Industrien konzentrieren, in welchen sich eine politische Änderung abzeichnet und daß Übernahmen in Wellen auftreten. Zu Beginn ihrer Arbeit entwickeln die Autoren zunächst ein einfaches Grundmodell mit drei Firmen, auf das ich im zweiten Kapitel eingehen werde. In Kapitel 3 folgt eine Erweiterung dieses Modells auf fünf Firmen, mit deren Hilfe sich Fusionswellen erklären lassen. Anhand dieser beiden Kapitel wird deutlich, daß sich zwei vollkommen unterschiedliche Arten der Fusionsdynamik entwickeln können. Während im Grundmodell ausschließlich rentable Übernahmen auftreten, entstehen bei der Erweiterung auch defensive, unrentable Übernahmen. In Kapitel 4 wird anhand zweier weiterer Modelle die Rolle untersucht, die der Industriestruktur bei der Betrachtung der Fusionsdynamik zukommt. Die wesentlichen Resultate der Autoren werden in Kapitel 5 zusammengefaßt. In Kapitel 6 werde ich auf weitere Veröffentlichungen zum Thema Fusionswellen eingehen. Zum Abschluß folgen eine kritische Beurteilung der Arbeit von Gorton et al. und eine Schlußbetrachtung.

We argue that mergers and merger waves can occur when managers prefer that their firms remain independent rather than be acquired. We assume that managers can reduce their chance of being acquired by acquiring another firm and hence increasing the size of their own firm. We show that if managers value private benefits of control sufficiently, they may engage in unprofitable defensive acquisitions. A technological or regulatory change that makes acquisitions profitable in some future states of the world can induce a preemptive wave of unprofitable, defensive acquisitions. The timing of mergers, the identity of acquirers and targets, and the profitability of acquisitions depend on the size of the private benefits of control, managerial equity ownership, the likelihood of a regime shift that makes some mergers profitable, and the distribution of firm sizes within an industry.

Enhancing the welfare of shareholders is a fundamental and common objective of all firms and corporate managers are required to implement policies consistent with shareholder welfare. However, the financial literature shows that major corporate decisions are not associated with stock market gains to the respective companies. Especially, the mergers and acquisitions related literature shows that the returns to bidding firm shareholders are essentially zero when they pursue an acquisition. Due to these empirical results, there is an ongoing debate why so many value decreasing decisions occur and how the success of corporate actions is related to company specific internal characteristics and the firms' external environment. Timo Gebken's dissertation contributes to this debate. Timo links the time series behavior of industry specific M&A activity to the shareholder wealth effects of the transactions. The majority of deals within an industry occur in very short time periods, so called industry merger waves. These industry merger waves are characterized by a fast consolidation process, which drastically changes the competitive environment for all firms within the industry. Timo analyzes how and why this rapidly changing environment influences the shareholder wealth effects of M&A activity. Moreover, further empirical tests show that the empirical relation between performance and merger waves is independent of the method of payment and increasing in the acquirer's managerial ownership.
