One of the most frequent criticisms leveled at legal discourse in Spanish is that it is obscure and impenetrable in nature. The use of metaphor, among other figures of speech, is a major contributing factor in making legal discourse incomprehensible even to those familiar with the world of law. The reason for this is that in many cases, legal devices or concepts of American Law are adopted by means of translation methods such as literal translation which, when systematically applied as the only strategy, usually lead to communication failures between expert source text producers and target text receivers, whether laymen or legal professionals. In this thesis, we argue that reproducing the same image in the target language (Newmark, 1988) or literal translation is the most widespread method to translate, from English into Spanish, metaphors in U.S. court opinions that are employed in Argentine court decisions and scholarly texts. It should be noted that previous work, whether from Argentina or other Spanish-speaking countries, has failed to address this method in particular as applied to the translation of legal metaphors. In this study, we analyze the metaphors mentioned above using the cognitive-linguistic approach to metaphor launched by Lakoff & Johnson (1980), discuss their translation into Spanish, and provide empirical evidence to support our claim. We assembled a corpus of twenty metaphors in U.S. court opinions, and of Argentine court decisions and scholarly texts including those metaphors. Using the corpus, we compare the metaphors in the source texts and their translations in the target texts by using a model that is based on (i) a translation-oriented text analysis (Nord, 1991a), and (ii) the assessment of intratextual and extratextual factors proposed by Nord (1991a) and and extratextual factors proposed by Nord (1991a) and addressed by discourse analysis theories.

Lawyers who handle transnational business will appreciate the explanation of local variations in terminology and the distinctive concepts that determine practice and procedure. A general introduction covering historical background, definitions, sources of law, and the effect of international private law is followed by a discussion of such aspects as types of formation, capital, shares, management, control, liquidation, mergers, takeovers, holding companies, subsidiaries, and taxation. Big companies, various types of smaller entities, and partnerships are all covered in turn. These details are presented in such a way that readers who are unfamiliar with specific terms and concepts in varying contexts will fully grasp their meaning and significance. Thorough yet practical, this convenient volume puts the information necessary for corporations to compete effectively at the user’s fingertips. Available in PDF, EPUB and Kindle. Book excerpt: This open-access book brings together international experts who shed new light on the status of social enterprises, benefit corporations and other purpose-driven companies. The respective chapters take a multidisciplinary approach (combining law, philosophy, history, sociology and economics) and provide valuable insights on fostering social entrepreneurship and advancing the common good. In recent years, we have witnessed a significant shift of how business activities are conducted, mainly through the rise of social enterprises. In an effort to target social problems at their roots, social entrepreneurs create organizations that bring transformative social changes by considering, among others, ethical, social, and environmental factors. A variety of social enterprise models are emerging internationally and are proving their vitality and importance. But what does the term “social enterprise” mean? What are its roots? And how does it work in practice within the legal framework of any country? This handbook attempts to answer these questions from a theoretical, historical, and comparative perspective, bringing together 44 contributions written by 71 expert researchers and practitioners in this field. The first part provides an overview of the social enterprise movement, its evolution, and the different forms entities can take to meet global challenges, overcoming the limits of what governments and states can do. The second part focuses on the emergence of benefit corporations and the growing importance of sustainability and societal values, while also analyzing their different legal forms and adaptation to their regulatory environment. In turn, the last part presents the status quo of purpose-driven companies in 36 developed and emerging economies worldwide. This handbook offers food for thought and guidance for everyone interested in this field. It will benefit practitioners and decision-makers involved in social and community organizations, as well as in international development and, more generally speaking, social sciences and economics.

Available in PDF, EPUB and Kindle. Book excerpt: The business corporation is one of the greatest organizational inventions, but it creates risks both for shareholders and for third parties. To mitigate these risks, legislators, judges, and corporate lawyers have tried to learn from foreign experiences and adapt their regulatory regimes to them. In the last three decades, this approach has led to a stream of corporate and capital market law reforms unseen before. Corporate governance, the system by which companies are directed and controlled, is today a key topic for legislation, practice, and academia all over the world. Corporate scandals and financial crises have repeatedly highlighted the need to better understand the economic, social, political, and legal determinants of corporate governance in individual countries. Comparative Corporate Governance furthers this goal by bringing together current scholarship in law and economics with the expertise of local corporate governance specialists from twenty-three countries.

Book excerpt: Some Latin American countries are experiencing unprecedented sustained economic growth while others stagnate. Yet, these nations have much to offer to the rest of the world, materially and spiritually. The two volumes of Latin American Company Law aim to create a better understanding of Latin America's company law as a tool for harnessing development capital, local and foreign, and for developing a broader class of traders, investors, lenders and corporate managers. In pursuing these goals, the authors and editors share a belief in a comparative analysis that the National Law Center for Inter-American Free Trade (NLCIFT) refers to as 'contextual': legal institutions are examined not only in light of the legal system to which they belong but also as a product of their normative purposes and socio-economic environment. Thus, prospective investors in and lenders to Latin America as well as their legal and economic advisors will learn about the legal and cultural or institutional obstacles to capital formation and financing, especially at the bottom of the economic pyramid. Company lawyers, bankers, law and economic development scholars and teachers, corporate and financial regulators and officials of multinational development and lending agencies world-wide will find much of interest in the reasons, and in some instances, cures for: a) the lack of secured or asset-based lending, b) unnecessary formalities, c) emerging limits to limited liability, d) protection of minority shareholders, e) challenges of disproportional ownership, and f) regulation or non-regulation of large corporate groups. Readers will learn how uniform legislation on the new (largely electronic) patterns of holding corporate securities could be successfully drafted. They will also learn why they should not legislate and/or regulate on limited liability companies and mutual funds using the Spanish models. They will also profit from knowing about the increasing use of company arbitration in Latin America and Spain and about the promising efforts to attain simplicity and uniformity in European private company law. These features are so important in a globalized marketplace that the entire second volume is devoted to the most successful experiment in recent memory to simplify and liberalize the creation and operation of corporations in Latin America.
