Statt wie sonst nach dem Verkaufsgespräch sofort weiterzureisen, beobachtete er das Restaurant den ganzen Tag: Die Kunden gaben sich die „Klinke in die Hand“. Der Erfolg des Restaurants ließ den Vertreter nicht ruhen. Wenige Wochen nach seinem Besuch in San Bernardino wurde er bei den Besitzern vorstellig und erwarb kurz darauf eine Lizenz zur Vermarktung dieses Restauranttyps. Am 2. März 1955 gründete er eine eigene Firma. Der Eintrag im Handelsregister lautete: McDonald's System, Inc. Der Name des Gründers: Ray Kroc. Wenn es einen Vater des modernen Franchisings gibt, dann ist es mit Sicherheit McDonald's- Gründer Ray Kroc. Zwar gab es schon vor ihm Franchise-Geber, doch wie kein anderes System symbolisiert der „Hamburger-Brater“ den Siegeszug dieser Vertriebsform. Aus dem einen Restaurant in einem verschlafenen Provinznest ist eine weltumspannende Kette mit über 30.000 Betrieben geworden – davon dreiviertel in Franchise-Nehmer-Hand.1 Wie viele Franchise-Systeme es rund um den Globus gibt, wissen nicht mal Experten genau. Nur, dass es immer mehr werden, gilt als gesichert. Die Gründe für den Franchise-Boom oder - wie es das Nachrichtenmagazin "Time" nennt - das "Franchise-Fieber" sind einfach zu finden: Auf der einen Seite suchen immer mehr Menschen in einem eigenen Unternehmen Selbstbestätigung, auf der anderen Seite erlaubt es das Franchising, den Traum von der Existenzgründung relativ risikolos zu verwirklichen. Denn während bei herkömmlichen Gründungen nach Recherchen der Industrie- und Handelskammern jeder zweite scheitert, liegt die Flop-Rate unter Franchise-Nehmern weit unter zehn Prozent.2 In der vorliegenden Arbeit werden zunächst im zweiten Kapitel Grundlagen und Begriffe des Franchise dargestellt, anschließend wird im dritten Kapitel der Franchise-Vertrag hinsichtlich Rechte und Pflichten von Franchise-Nehmer bzw. All aspects of Ryanair’s value chain are important to the company and their shareholders as Ryanair’s decisions add value to both. The following report outlines the three perspectives of shaping Ryanair’s business system. The value creation dimension of Ryanair’s business model will be outlined, considering the theories of Porter and the more recent authors Kim and Mauborgne (2004). Further, the linkages in the airline’s value chain and their resource base will be analysed, considering Hamel and Prahalad’s (1990) core competency model (inside-out approach). In section 2, the future challenges of the airline are considered. Ryanair’s strengths and weaknesses will be analysed, internal value creating factors such as assets, skills or resources, to consider how the airline can create alignment to its opportunities and threats, external factors. An stronger “outside – in” approach for Ryanair’s future corporate strategy will be considered, applying Porter’s five forces model, placing the market, the competition, and the customer at the starting point of the strategy process.

These legally-structured or less formal arrangements link economic, scientific and technological spheres with political and legal processes. They are challenging the type of governance which constitutional states were supposed to represent and ensure. They also provoke old questions: Who bears the responsibility for governance without a government? Can accountability be ensured? The term 'constitutionalism' is still widely identified with statal form of democratic governance. The book refers to this term as a yardstick to which then contributors feel committed even where they plead for a reconceptualisation of constitutionalism or a discussion of its functional equivalents. 'Transnational governance' is neither public nor private, nor purely international, supranational nor totally denationalised. It is neither arbitrary nor accidental that we present our inquiries into this phenomenon in the series of International Studies on Private Law Theory.
