Book excerpt: This study evaluated the Impact of Corporate Governance on Firms Financial Performance in Nigeria Quoted Banks in order to determine the Banks Financial Performance before and after the introduction of Code of Corporate Governance in Nigeria. The main objective of this study is to evaluate Board Composition with a view to determining its impact on Firms Financial Performance. Board Composition was used as measure of Corporate Governance while Return on Capital Employed (ROCE), was used to operationalise Financial Performance. The study is anchored on Shareholders theory. The Population of this study comprised fifteen (15) banks whose shares are quoted on Nigeria Stock Exchange. Judgmental sampling technique was used to select seven (7) banks from the entire Population of the study (which makes up the sample size). Data were obtained from secondary source (published financial statements of the selected quoted banks) covering the periods of 2003-2014. The method of data analysis utilised was Ordinary Least Squares Regression Analysis. A model was formulated. The findings from this study showed that Board composition has a negative, though insignificant impacts on ROCE during the 2003-2008 period (p1) and during the 2009-2014 period (p2). In conclusion, the way in which corporate governance is organised differs among countries, depending on the economic, political and social contexts. We therefore recommend that the directors of board should adhere to CBN regulations and guidelines in bank management, with this, they can achieve their aim and shareholders confidence will be restored, on the board.

The researcher investigated the published financial statements of all the listed companies across all the sectors of the exchange using empirical quantitative research methods. Al the variables of earnings management were extracted from the published annual financial statements and Directors Annual Reports through Content Analysis. The paper further explored all the variables of corporate governance as published by the Directors in the Annual Reports in the Financial Statements and through a face to face recorded interviews of the members of the Board of Directors, the members of the Audit Committees and the Heads of Internal Audit Functions in the Listed Public Companies. The study documented that companies that are listed on the Nigerian Stock Exchange are involved in both the upward and downward earnings management practices. This findings cut across all the Sectors and categorization of the companies on the Nigerian Stock Exchange. The research thus recommended the need for better oversight by the Board of Directors, the Audit Committee and the Market Regulators mainly the Security and Exchange Commission and the Nigerian Stock Exchange. The findings of the Research on Corporate Governance is mixed. In certain sectors, evidence of strong corporate governance are documented as reflected in the quality of Board Members, the Quality of the deliberations at the Board meetings, the independence of the Board, the independence of the Audit Committee and the independence and effectiveness of the Head of the Internal Audit function measured by the reporting line of the holder of this role. In some sectors, the ingredients of strong corporate governance were missing thus suggesting a need for a more stricter regime of corporate governance to be implemented in these corporations.

Book excerpt: This paper reports the outcome of an empirical study on the relationship between corporate governance and firm performance of Small and Medium-Sized Enterprises in Nigeria. SMEs are the backbone of developing economies but the sector is found to be underperforming in Nigeria due to poor management and inadequate funding which results in the increase of unemployment and slow economic growth. The study employed a survey research design using balanced panel data. The data was obtained from a sample of 55 Nigerian SMEs in Katsina State for the period 2012-2016. The outcome of the study revealed significant positive association between CEO tenure and family ownership with SMEs' performance and significant negative association between CEO duality and women on board with SMEs' performance. This indicates that family-owned SMEs and SMEs with longer-tenure CEOs are associated with increase in firm performance, whereas SMEs with CEO duality and women directors are associated with decrease in firm performance. The findings suggest that SMEs' owners should infuse a good corporate governance structure for increased performance. The study contributes to the body of knowledge theoretically by providing a factual effect of corporate governance on SMEs' performance and adds to the existing literature on the relationship between corporate governance and SMEs' performance. Practically, the study will benefit SMEs' owners/managers, government, management consultants, and financial institutions in policies and decision making relating to governance of SMEs. However, the study is limited to a few corporate governance mechanisms and a small sample of Nigerian SMEs for a period of five years.

This paper used ex post facto research design to examine whether corporate governance mechanism accelerate firm market value. Data was extracted through content analysis from annual report of 93 non-financial firms listed on the Nigerian stock exchange from 2006 to 2015 base on availability of data. Data were analysed with pooled ordinary least square regression conducting diagnostic test to confirm the assumptions of the regression. Analysis revealed that: board size, board value. Board independence and board remuneration has insignificant negative effect on market value while auditors' credibility has positive but insignificant effect on the threshold specified in the code of Corporate Governance for the private sector or code of governance for non-for-profit entities as the case may be so that monitoring cost associated with corporate with corporate governance will not exceed the overall benefit.
