Book excerpt: The Swedish Takeover Code was first published in the 1970s, with the UK City Code serving as a model. However, the 2011 overhaul of the City Code implemented changes in the UK which brought the City Code closer to the Swedish approach, particularly in regards to procedures surrounding the announcement of offers and possible offers. Available for the first time in English, this book is the leading commentary on the Swedish Takeover Code. Written by members of the Swedish Takeover Panel, who have been directly involved in the recent overhauls of the code, it is a vital reference for any companies, lawyers, bankers, financial regulators or policy makers participating in mergers and acquisitions involving Swedish stakeholders.

Book excerpt: A merger or an acquisition is usually a challenging endeavor which aims to create value for the owner. However, stakeholder theory shows how such a narrow and one-sided focus is detrimental to value-creation in general -not only for other stakeholders within and outside the organization - but also for the owner. This book shows how different stakeholders, internal and external, may play a critical role during a merger or an acquisition process. It builds on empirical examples that illustrate how various stakeholders play active roles throughout the different phases, and ultimately affect the outcome and the value formation process of the merger or the acquisition.

First published in the 1970s, it was largely based on the UK City Code, which served as its model. Since then, Sweden has witnessed a large number of public takeovers, many of them with a cross-border element. Historically, takeover activity on the Swedish stock market has always been more vibrant than in most European countries, and that continues to be the case to this day. Available for the first time in English, this book is the leading commentary on the Swedish Takeover Code. Book excerpt: Bachelor Thesis from the year 2011 in the subject Business economics - Investment and Finance, grade: B/1,7, language: English, abstract: Today, companies need to constantly expand their business to stay ahead of the severe competition. As competition grows more intense, it makes sense to join forces or simply acquire the rival to provide the most diverse service and to reach even the last customer. But is it really only about the need for efficiency to merge and acquire competitors? Are managers and investors right about their hope, that every new acquisition or merger offers more control over the market? Or are they themselves pushed into these promising expectations? This research focuses on how social behavior influences value creation in mergers and acquisitions. Throughout history, waves have been observed that reflect the excessive hype for perennial need of growth. Growth by acquisitions and mergers is seen as key element to create value by investors and managers. However, reality looks different. This research focuses on a two step approach by first describing underlying social catalysts that amplify the trend towards value creation in mergers and acquisitions. Secondly, to verify the investigation of social behavior, the results are matched to a financial approach to detect whether the transaction price justifies the current value and possible synergies or whether value is destroyed. A case study was conducted of Boss Media AB, a software company situated in the online gaming industry, which experienced several mergers and acquisitions since their foundations and was eventually acquired itself. The company provided an interview and further information on their involvement with mergers and acquisitions. The research showed that mergers and acquisitions continue to increase in number and value, leading to the amplitude of each wave being higher than the previous one. This also means that more value is destroyed. It is illustrated that managers being determ

Available in PDF, EPUB and Kindle. Book excerpt: Every day the economic importance of national boundaries diminishes. The globalisation of world markets is proceeding with ever-increasing speed, stimulated by developments like the introduction of the single European currency, and even the smallest transactions frequently now include a cross-border element. Business executives and their advisers participating in a transaction need a clear and concise framework of understanding, which will enable them to identify the critical issues likely to affect the course of the deal and to formulate the questions on which detailed advice will be needed. Corporate Acquisitions and Mergers in Switzerland provides a one-stop guide to the practical issues involved for this jurisdiction. The following key topics are addressed: cultural aspects; regulatory framework; common financing methods; antitrust/competition aspects; taxation aspects; employment considerations; procedural formalities; accounting treatment of acquisitions and mergers; future developments. Professional advisers involved in merger and acquisition activity in Switzerland, including bankers, independent lawyers or in-house counsel, tax consultants, accountants, public relations advisers, and actuaries, will find Corporate Acquisitions and Mergers in Switzerland an invaluable and reliable source of practical reference and information. This volume originally appeared as a country report in the loose-leaf work Corporate Acquisitions and Mergers edited by Peter Begg.
