Available in PDF, EPUB and Kindle. Book excerpt: Modern corporations are key participants in the new globalized economy. As such, they have been accorded tremendous latitude and granted extensive rights. However, accompanying obligations have not been similarly forthcoming. Chief among them is the obligation not to commit atrocities or human rights abuses in the pursuit of profit. Multinational corporations are increasingly complicit in genocides that occur in the developing world. While they benefit enormously from the crime, they are immune from prosecution at the international level. Prosecuting Corporations for Genocide proposes new legal pathways to ensure such companies are held criminally liable for their conduct by creating a framework for international criminal jurisdiction. If a state or a person commits genocide, they are punished, and international law demands such. Nevertheless, corporate actors have successfully avoided this through an array of legal arguments which Professor Kelly challenges. He demonstrates how international criminal jurisdiction should be extended over corporations for complicity in genocide and makes the case that it should be done promptly.

Book excerpt: What happens when electric utility monopolies pursue their acquisition interests—undisciplined by competition, and insufficiently disciplined by the regulators responsible for replicating competition? Since the mid-1980s, mergers and acquisitions of U.S. electric utilities have halved the number of local, independent utilities. Mostly debt-financed, these transactions have converted retiree-suitable investments into subsidiaries of geographically scattered conglomerates. Written by one of the U.S.’s leading regulatory thinkers, this book combines legal, accounting, economic and financial analysis of the 30-year march of U.S. electricity mergers with insights from the dynamic field of behavioral economics.

Beginning with a general introduction, the monograph goes on to discuss the choice of law technique, sources of private international law, and the relevant connection with other laws. Then follows clear description and analysis of the rules of choice of law on natural and legal persons, contractual and non-contractual obligations, movable and immovable property, intangible property rights, company law, family law (marriage, cohabitation, registered partnerships, matrimonial property, maintenance, child law), and succession law (including testamentary dispositions). The presentation concludes with an overview of relevant civil procedure, examining lex fori and issues of national and international jurisdiction, acceptability and enforcement of foreign judgements, and international arbitration. Its succinct yet scholarly nature, as well as the practical quality of the information it provides, make this book a valuable resource for lawyers handling cases in Belarus. Academics and researchers, as well as judges, notaries public, marriage registrars, youth welfare officers, teachers, students, and local and public authorities will welcome this very useful guide, and will appreciate its value in the study of private international law from a comparative perspective.

Available in PDF, EPUB and Kindle. Book excerpt: Although international mergers continue to become more common, merger control regimes are wildly diverse, and there is no procedurally harmonized international system of merger notification. Instead, any one of the plethora of inconsistent regulations can hold up your transaction. The current edition of Worldwide Merger Notification Requirements evaluates the merger notification requirements of over 215 jurisdictions. In this book, the leading authorities at White & Case provide a complete road map for parties contemplating a multinational transaction by highlighting the disparate ways in which competition authorities treat mergers, including differences in notification timing; filing fees; turnover, size, and post-merger market share thresholds; potential penalties; volume and type of required filing information; and the multitude of standards and definitions that pervade every multinational transaction. This is an easy way for you to avoid time-consuming and costly bureaucratic obstacles! Wherever you may be advising on a merger, Worldwide Merger Notification Requirements will let you immediately determine: Where do I have to seek regulatory approval? When am I required to request approval: pre-merger, post-merger or is notification voluntary? Which countries do not require regulatory approval? How long does the approval process take? What key substantive issues will the agency examine? How much will it cost? And more!
