Available in PDF, EPUB and Kindle. Book excerpt: For decades, the public company has played a dominant role in the American economy. Since the middle of the 20th century, the nature of the public company has changed considerably. The transformation has been a fascinating one, marked by scandals, political controversy, wide swings in investor and public sentiment, mismanagement, entrepreneurial verve, noisy corporate "raiders" and various other larger-than-life personalities. Nevertheless, amidst a voluminous literature on corporations, a systematic historical analysis of the changes that have occurred is lacking. The Public Company Transformed correspondingly analyzes how the public company has been recast from the mid-20th century through to the present day, with particular emphasis on senior corporate executives and the constraints affecting the choices available to them. The chronological point of departure is the managerial capitalism era, which prevailed in large American corporations following World War II. The book explores managerial capitalism's rise, its 1950s and 1960s heyday, and its fall in the 1970s and 1980s. It describes the American public companies and executives that enjoyed prosperity during the 1990s, and the reversal of fortunes in the 2000s precipitated by corporate scandals and the financial crisis of 2008. The book also considers the regulation of public companies in detail, and discusses developments in shareholder activism, company boards, chief executives, and concerns about oligopoly. The volume concludes by offering conjectures on the future of the public corporation, and suggests that predictions of the demise of the public company have been exaggerated.

Book excerpt: "The Order Of Thieves" is a band of criminals formed with one thing in mind; to prey on the criminal underworld by way of The JUX. "The JUX" is the craft practiced by the men of The Order Of Thieves. Started by a group of Jamaicans, The Order Of Thieves created a legend in the streets that made it an honor to have this group of men relieve you of your personal wealth. No one was safe from the season of the JUX. If you were dealing in any part of the criminal world then you were fare game for The Order. From Drug dealers to politicians and even a priminister found the season of the JUX upon them. From Jamaica to New York and the Eastern Sea Board to the long arm of the law reaching even across seas for them; one thing was certain, if your wealth became a reason then nothing could protect you from the JUXINSEASON.

Book excerpt: This book sets the stage of the evolution of corporate governance, laws and regulations, other forms of governance, and the interaction between data governance and other corporate governance sub-disciplines. Given the continuously evolving and complex regulatory landscape and the growing number of laws and regulations, compliance is a widely discussed issue in the field of data. This book considers the cost of non-compliance bringing in examples from different industries of instances in which companies failed to comply with rules, regulations, and other legal obligations, and goes on to explain how data governance helps in avoiding such pitfalls. The first in a three-volume series on data governance, this book does not assume any prior or specialist knowledge in data governance and will be highly beneficial for IT, management and law students, academics, information management and business professionals, and researchers to enhance their knowledge and get guidance in managing their own data governance projects from a governance and compliance perspective.

Available in PDF, EPUB and Kindle. Book excerpt: This study provides a fascinating, fresh analysis of the virtues of shareholder participation in the context of contemporary corporate governance. By applying recent empirical studies to human happiness, McConvill convincingly argues that shareholders, particularly individuals, should be included in the internal governance framework of public corporations and enjoy a direct participatory role in the corporation if they so choose. Recent studies have consistently shown that active participation is one of a limited number of factors that has a positive correlation with levels of personal happiness, however while disciplines within the social sciences have long considered the implications of these findings, legal scholars have failed to grasp their significance. Shareholder Participation and the Corporation addresses the dearth of literature currently available by exploring and evaluating the implications of empirical happiness studies in relation to corporate law and governance, focusing specifically on the role of the shareholder. It provides a compelling argument for those seeking to analyze shareholder participation in a different light.

It offers clear insight into this fascinating area of financial law, from the analysis of the legal and regulatory framework of corporate governance in the UK to the core laws and regulatory principles that determine the allocation of decision-making power in UK public companies. This book also highlights how prevailing corporate governance norms operate within their broader market and societal context. In doing so, it seeks to encourage readers to develop their own critical opinions on the topic by reference to leading strands of theoretical and inter-disciplinary literature, along with relevant comparative and historical insights.

Available in PDF, EPUB and Kindle. Book excerpt: In 1914, the notion of statutory regulation of trading in shares was anathema to both the Government and the London Stock Exchange. By 1945, a statutory scheme of regulation had been introduced. This book serves to: Track the steps by which this outcome came about, Explain why the Exchange felt obliged in the process to abandon long-cherished policies, Analyse the forces which led to it, and Account for the form in which it was implemented. Throughout the period, the attitudes of both the Stock Exchange and Government were affected by widening interest in share ownership, the increasing tendency for business interests to look to the Exchange for long-term finance, and the increasing challenge of financing the Government’s expenditure. At a disaggregated level, the market was able to respond to changing circumstances taking advantages of opportunities and weaknesses. At an aggregated level, the Exchange was not able to foresee the implications of change or to forestall unfortunate consequences. This exposed the weakness of the criminal justice system and its failure to serve as a deterrent for abuse. This study, the only book to take full account of the documents held by the National Archives in relation to the Bodkin Committee, examines the stages by which share trading in the United Kingdom came to be a statutorily regulated activity and by which the London Stock Exchange moved from being antagonistic towards public regulation in 1914 to lobbying in 1944 for the new scheme to be implemented.
