Otro de los elementos que hacen especialmente atractivo al capital riesgo es la función de asesoramiento a nivel gerencial, aspecto especialmente interesante para las PYMES, que suelen adolecer de capacidades directivas. Este libro pretende servir de guía de empresarios y emprendedores para la utilización del capital riesgo en el desarrrollo de sus proyectos empresariales. Book excerpt: El crecimiento y desarrollo de la empresa necesita recursos monetarios, los cuales se obtienen fundamentalmente a través de los aportes que hacen los socios, pero cuando estos no pueden aportar la cantidad requerida, se suele acudir a las fuentes tradicionales de financiación: bancos comerciales, familiares y amigos.1 Los familiares y amigos podrán realizar, en algunas oca siones, aportes que sean realmente importantes, pero en muchas otras se quedarán cortos y la empresa seguirá sin satisfacer su necesidad de recursos a corto plazo. Debido a esto, son los bancos comerciales quienes suelen tener el papel protagónico en el proceso de financiación, debido a que tienen la capacidad de captar el ahorro de muchos de los agentes económicos y luego canalizar parte de ese ahorro hacia la empresa. Sin embargo, las operaciones que se constituyen a través de la firma de un contrato entre la empresa y el banco llevan asociado un riesgo que el segundo suele minimizar al introducir cláusulas donde se exigen, por ejemplo, avalistas o bienes que sirvan como respaldo en el caso de que se presente un impago de la deuda o donde los montos aprobados se relacionan con indicadores financieros como ventas o márgenes que en los primeros años de operación son difíciles de alcanzar mediante crecimiento orgánico.

Por capital riesgo se entiende la actividad de financiación consistente en participar, con una vocación de permanencia limitada, en el capital de empresas no financieras que no coticen en bolsa, y con objeto de obtener una rentabilidad adecuada al riesgo asumido en la inversión1. Es decir, capital riesgo es el dinero entregado por profesionales a nuevas compañías que tienen el potencial de crecer rápidamente y desarrollarse como jugadores importantes en el mercado. Los profesionales invierten en la compañía junto con los fundadores y la dirección de la empresa. El capital riesgo es una fuente de fondos importante para las empresas que comienzan su vida. Existen dos fuentes de este tipo de financiación- los business angels y las entidades de capital riesgo. Los business angels son personas privadas, que tienen un superávit de fondos y buscan la oportunidad de obtener beneficios altos por inversiones en empresas “start-up”. Estos inversores privados son generalmente los ex-empresarios o ejecutivos retirados. Las entidades de capital riesgo son las empresas que tienen el objetivo de invertir en nuevas empresas y los recursos para hacerlo. Estas entidades son normalmente sociedades limitadas que gestionan los fondos entregados por sus socios. Sus actividades consisten en: - financiar nuevas empresas que puedan crecer rápidamente - asistir en el desarrollo de nuevos productos y servicios - añadir valor a la empresa por participación activa - correr más riesgos esperando los mejores resultados (beneficios mas altos) - orientar las inversiones a largo plazo El capital riesgo es una forma activa de invertir en una empresa.
