Book Synopsis The Federalization of Corporate Governance by : Marc I. Steinberg
Download or read book The Federalization of Corporate Governance written by Marc I. Steinberg and published by Oxford University Press. This book was released on 2018-02-23 with total page 256 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book focuses on the federalization of corporate governance in the United States from both historical and contemporary perspectives. Although the states traditionally have regulated the sphere of corporate governance - encompassing the relations among and between the subject corporation, its directors, its officers, its stockholders, and other stakeholders - federal law today impacts the governance of publicly-traded companies to a greater degree than ever before in U.S. history. This book discusses the evolution and development of corporate governance from a federal law perspective from the commencement of the twentieth century to the present. It examines the tension between state company law and federal law, analyzes the federal historical developments, explains the ramifications of the federal legislation enacted during the past two decades, and recommends corrective measures that should be implemented. The book accordingly provides an original, historical, and contemporary analysis of the federalization of corporate governance - a subject that impacts this country's economic well-being in a very fundamental way.
Book Synopsis Confronting Commercial Sexual Exploitation and Sex Trafficking of Minors in the United States by : National Research Council
Download or read book Confronting Commercial Sexual Exploitation and Sex Trafficking of Minors in the United States written by National Research Council and published by National Academies Press. This book was released on 2013-11-12 with total page 478 pages. Available in PDF, EPUB and Kindle. Book excerpt: Every day in the United States, children and adolescents are victims of commercial sexual exploitation and sex trafficking. Despite the serious and long-term consequences for victims as well as their families, communities, and society, efforts to prevent, identify, and respond to these crimes are largely under supported, inefficient, uncoordinated, and unevaluated. Confronting Commercial Sexual Exploitation and Sex Trafficking of Minors in the United States examines commercial sexual exploitation and sex trafficking of U.S. citizens and lawful permanent residents of the United States under age 18. According to this report, efforts to prevent, identify, and respond to these crimes require better collaborative approaches that build upon the capabilities of people and entities from a range of sectors. In addition, such efforts need to confront demand and the individuals who commit and benefit from these crimes. The report recommends increased awareness and understanding, strengthening of the law's response, strengthening of research to advance understanding and to support the development of prevention and intervention strategies, support for multi-sector and interagency collaboration, and creation of a digital information-sharing platform. A nation that is unaware of these problems or disengaged from solutions unwittingly contributes to the ongoing abuse of minors. If acted upon in a coordinated and comprehensive manner, the recommendations of Confronting Commercial Sexual Exploitation and Sex Trafficking of Minors in the United States can help advance and strengthen the nation's emerging efforts to prevent, identify, and respond to commercial sexual exploitation and sex trafficking of minors in the United States.

Book Synopsis Provincial Trade Wars by : K. Filip Palda
Download or read book Provincial Trade Wars written by K. Filip Palda and published by . This book was released on 1994 with total page 200 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book explains why Canadians must rid themselves of interprovincial trade barriers. Canada's provinces do almost as much trade with each other as they do with the rest of the world. But trade between the provinces is harder than with foreign countries. We trouble our own house with an amazing variety of barriers: professionals and tradespeople cannot move freely and practice where they wish, regulation makes it hard for investments to flow to where they are most needed, provincial governments give contracts to local firms even though out-of-province firms can do the job at a lower cost, Ottawa pays the most generous UI to regions with the highest unemployment and thereby encourages people to stay in parts of the country with little promise. The effects of such barriers on the economy are difficult to measure, which may be the reason that little has been done about them. But Canadians cannot afford to ignore their costs. The European Community is very close to the goal of ensuring free trade among its members. Unless we unlock our potential we may fall behind other countries and communities that have recognized the importance of internal as well as external free trade.
Book Synopsis Securities Law by : Christopher C. Nicholls
Download or read book Securities Law written by Christopher C. Nicholls and published by . This book was released on 2023 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: "Canadian securities law consists of an enduring core of fundamental principles that are refined, and sometimes shrouded, by a complex and constantly evolving body of technical details. This third edition, written by Christopher Nicholls -- one of Canada's foremost corporate and securities law experts -- provides a solid grounding in the core securities law principles and helps the reader navigate the complex labyrinth of modern securities regulation. Securities Law surveys the essential building blocks of securities regulation: basic definitions, the public and exempt markets for securities, insider trading, continuous disclosure, enforcement, regulation of dealers and other securities industry professionals, and take-over and issuer bids. Discussion of these subjects is interwoven with thoughtful consideration of larger public policy issues. This book also explores the history of securities regulation and several recent topics, including, among others, the stalled initiatives aimed at trying to create a national cooperative capital market regulatory system in Canada; developments affecting dealers including the recent proposed consolidation of Canada's two national securities industry self-regulatory organizations; impact of the 2021 Capital Markets Modernization Taskforce Report; changes introduced in Ontario by the Securities Commission Act, 2021; and the ongoing challenges posed by increasing shareholder activism and technological advances, including the regulatory challenges posed by cryptocurrencies and other digital assets."--
