Dies zeigt sich deutlich durch eine im Auch wenn die intensive internationalen Vergleich zu niedrige Eigenkapitalquote. Zusammenarbeit zwischen Banken und Unternehmen einen großen Beitrag zum wirtschaftlichen Erfolg Deutschlands geliefert hat, führen geänderte Rahmenbedingungen zu einer gestiegenen Bedeutung von Rentabilitäts- und Risikogesichtspunkten in der Geschäftspolitik von Finanzinstituten. Als erstes Zeichen der Veränderungen im Finanzierungsbereich zeigt sich eine zunehmende Zurückhaltung von Banken bei der Kreditvergabe, die bei betroffenen Unternehmen zu höheren Kreditzinsen oder einer Verweigerung von Krediten führt. Die Ende 2006 in Kraft tretenden Vereinbarungen zur Eigenkapitalhinterlegung der Banken (Basel II) wirken zusätzlich erschwerend. Durch sie kommt es zu einem größeren Risikobewusstsein der Finanzinstitute bei der Kreditvergabe. Für Basel II spielt auch die Bonität von Unternehmen eine zentrale Rolle, denn Bonitätsratings stellen für Banken nun eine wichtige Entscheidungskomponente bei Finanzierungskonditionen und der Vergabe von Krediten dar. Deshalb müssen Unternehmen versuchen, ihr Bonitätsrating zu erhöhen, um einen besseren wirtschaftlichen Standpunkt zu erreichen. Da sich gerade in der Finanzierung des Mittelstandes zurzeit ein Wandel vollzieht, gewinnt Mezzanine, nachdem es besonders in den vergangenen Jahren häufig diskutiert wurde, jetzt auch für die Größenordnung der KMU immer mehr an Bedeutung. 1.1 Problemstellung Auslöser dieser Entwicklung ist das in Deutschland auffällige Defizit der Unternehmen im Bereich der Eigenkapitalquote. Besonders der Mittelstand ist von dieser Problematik betroffen, denn die durchschnittliche Eigenkapitalausstattung beträgt lediglich um die 7,5 %. Im Ausland dagegen sind Werte zwischen 30 % und 45 % anzutreffen. Allerdings ist dieser Punkt nicht der alleinige Auslöser für die rasante Entwicklung des Mezzanine-Marktes in den letzten Jahren. Zusätzlich haben die Verordnungen der Baseler Eigenkapitalvorschriften (Basel II) einen Einfluss auf diesen Markt, denn Banken sind seitdem zur risikoadjustierten Kreditvergabe gezwungen. Diese, für jeden Kreditnehmer risikobezogene Ausgabe von Darlehen, wird durch ein eigens vorgenommenes Bonitätsrating aber auch durch die Anerkennung von Risikoklassifizierung externer Ratingagenturen erreicht. Zudem geht es aber auch um den Zugang zum Kredit- bzw. Kapitalmarkt an sich, denn eine geänderte Finanzierungsstruktur einhergehend mit der Aufnahme von Kapital, welches nicht klassischem Fremdkapital entspricht, öffnet Unternehmen den Zugang zu neuen Möglichkeiten der Fremdkapitalaufnahme. Festzuhalten ist, dass die Möglichkeit, eigenkapitalähnliche Finanzierungspakete aufzunehmen zu können, direkt mehrere Ziele verfolgt. Denn Mezzanine-Instrumente spülen nicht nur frische Gelder in die Kassen der Unternehmen und verbessern bei richtiger Ausgestaltung das Rating oder sogar direkt die Eigenkapitalstruktur der Kapitalnehmer, sondern sie ziehen auch keine Einschränkungen der unternehmerischen Freiheit mit sich. So müssen bei der Aufnahme von Mezzanine-Kapital i.d.R. keine Abgabe von Teilhaberschaften vorgenommen werden. Zudem kann bei Aufnahme von weiterem Fremdkapital, welches meist günstiger für das Unternehmen ist als gewisse Mezzanine-Instrumente, eine stärkere Verhandlungsposition bei den Kreditverhandlungen eingenommen werden. Aufgrund der geschwächten Bonität und des damit einhergehenden schlechteren Ratings, ist für diese Unternehmen die Beschaffung klassischen Fremdkapitals gar unmöglich. Da die Aufnahme „externer“ Eigenkapitalgeber zu einer Verwässerung der Gesellschafterstruktur führt, ist diese Art der Kapitalaufnahme bei KMUs in der Regel (i. d. R.) ebenfalls nicht sonderlich erwünscht. Ein Ausweg bietet Mezzanine-Kapital, das eine Mischform aus Eigen- und Fremdkapital darstellt. In dieser Arbeit gilt es, einen kompakten Überblick über Mezzanine-Finanzierungen zu geben. Nach den Grundlagen im zweiten Kapitel werden im dritten Kapitel die fremdkapitalnahen Finanzinstrumente des Mezzanine behandelt. Ausgehend von der dichotomen Struktur der Kapitalgliederung stellt Mezzanine-Kapital also einen Sammelbegriff für die sogenannten hybriden Finanzierungsinstrumente dar, welche sowohl die Merkmale von Eigen- als auch von Fremdkapital aufweisen. Dabei bilden die konventionellen Unternehmensfinanzierungen, durch komplementäre Verwendung, die Grundlage für mezzanine Finanzierungsformen. Finanzierungsinstrumente aus dem Bereich des Mezzanine-Kapital stellen somit also keine klar und abschließend definierten Rechtskonstruktionen dar, sondern sind eher als Formen zu verstehen, die der Gestaltung unterliegen und den individuellen Bedürfnissen der Kapitalsuchenden angepasst werden können. Das wichtigste Kriterium zur Unterscheidung der Mezzanine-Instrumente ist, ob es eher zum Eigenkapital - Equity Mezzanine - oder eher zum Fremdkapital - Debt Mezzanine- zugerechnet wird. As a result, in recent years, policy makers have become increasingly aware of the importance of policies that will promote business development while ensuring voluntary tax compliance. In the modern context, it is neither desirable nor feasible to examine or inspect every single taxpayer. The revenue administration, therefore, has to rely on effective management of compliance. Promoting voluntary compliance, achieved through a self-assessment system in which taxpayers comply with their tax obligations without intervention from tax officials, requires developing modern approaches to audits based on risk management. The impact of audits critically depends on a properly designed audit selection strategy focused on high-risk taxpayers to provide the most cost-effective outcome.
