Es handelt sich dabei um ein Artikelgesetz, mit dem durch elf Artikel Änderungen an bereits bestehenden Gesetzen bzw. Rechtsverordnungen vorgenommen werden. Die umfangreichsten Änderungen betreffen das Dritte Buch des Handelsgesetzbuches (HGB). Nach derzeitigem Stand sollen die neuen Vorschriften erstmals auf das Geschäftsjahr 2009 angewandt werden. Jedoch können sich aufgrund des laufenden Gesetzgebungsverfahrens noch Änderungen bis zur endgültigen Verabschiedung ergeben. Ziel des BilMoG ist die Weiterentwicklung des bewährten HGB-Bilanzrechts zu einer im Verhältnis zu den International Financial Reporting Standards (IFRS) gleichwertigen, aber weniger komplexen und kostengünstigeren Alternative. Dies soll insbesondere zu einer Stärkung des deutschen Bilanzrechts im Wettbewerb mit den internationalen Rechnungslegungsstandards beitragen. Denn speziell kleinen und mittelgroßen Unternehmen sei es, so die Gesetzesbegründung, "(...) nicht zuzumuten, von der etablierten, einfachen und kostengünstigen handelsrechtlichen Rechnungslegung auf die IFRS überzugehen."
