Divided into three main sections, it first provides a brief overview of the historical background and the scope of the ultra vires doctrine. It then analyses the essential features of the doctrine in the common law and civil law traditions across the Western world. Lastly, the book examines the objects clause, procedural aspects, and the mechanism of ratification of such ultra vires acts. The book's comparative approach and global contextualization of the subject matter will be of interest to readers from around the globe, familiarizing them with legal provisions, case law, and recent literature. Although it is primarily intended for scholars in the area of corporate law, it is also a valuable resource for professionals in the field of commercial law who deal with issues related to the capacity of firms and the powers of their directors.

Available in PDF, EPUB and Kindle. Book excerpt: Europe has known very different systems of company laws for a long time. These differences do not only pertain to the board structures of public companies, where single-tier and two-tier structures can be distinguished, they also pertain to the principles of fixed legal capital. Fixed legal capital is not a traditional ingredient of English and Irish company law and had to be incorpo-rated into these legal systems (only) for public limited companies according to the Second European Company Law Directive of 1976. Both jurisdictions have never really embraced these rules. Against this background, the British Accounting Standards Board (ASB) and the Company Law Centre at the British Institute of International and Comparative Law (BIICL) have initiated and supported a study of the benefits of this legal system by a group of experts led by Jonathan Rickford. The report of this group has been published in 2004. Its result was that legal capital was costly and superfluous; hence, the Second Directive should be repealed. The British government has adopted this view and wants the European Commission to act accordingly. Against this background a group of German and European company law experts, academics as well as practitioners, have come together to scrutinise sense and benefits of fixed legal capital and all its specific elements guided by the following questions: What is the relevant legal concept supposed to achieve? What does it achieve in reality? What criticisms are there? Which proposals or alternatives are available? From the outset the group of experts has endeavoured to cooperate with foreign colleagues, which resulted in very fruitful and pleasant exchanges. This volume contains, besides an executive summary of the results, 16 essays on specific aspects of legal capital in Germany covering also neighbouring fields of law (e.g. accounting, insolvency); 7 reports on fixed legal capital in other jurisdictions (France, Great Britain, Italy, the Netherlands, Poland, Spain and the U.S.A.) addressing the same questions as the essays on German law. The British initiative disapproves of the Second Directive. The Directive does only deal with public limited companies in Europe, which is reflected in the analysis presented here. It is only concerned with the fixed legal capital of public limited companies, not with capital issues of private companies. The study has arrived at a result that differs completely from that of the Rickford group. It verifies the usefulness of the concept of fixed legal capital and wishes to convince the European Commission of the benefits of the Second Company Law Directive.

Available in PDF, EPUB and Kindle. Book excerpt: This volume presents both an analysis of how identities are built, represented and negotiated in narrative, as well as a theoretical reflection on the links between narrative discourse and identity construction. The data for the book are Mexican immigrants' personal experience narratives and chronicles of their border crossings into the United States. Embracing a view of identity as a construct firmly grounded in discourse and interaction, the author examines and illustrates the multiple threads that connect the local expression and negotiation of identity to the wider social contexts that frame the experience of migration, from material conditions of life in the United States to mainstream discourses about race and color. The analysis reveals how identities emerge in discourse through the interplay of different levels of expression, from implicit adherence to narrative styles and ways of telling, to explicit negotiation of membership categories.

Book excerpt: Fruitfully combining approaches from economic history and the cultural history of commerce, this book examines the role of interpersonal trust in underpinning trade, amid the challenges and uncertainties of the eighteenth-century Atlantic. It focuses on the nature of mercantile activity in two parts of Spain: Cadiz in the south, and its trade with Spain's American empire; and Bilbao in the north, and its trade with western and northern Europe. In particular, it explores the processes of trade, trading networks and communications, seeking to understand merchant behaviour, especially the choices made by individuals when conducting business - and specifically with whom they chose to deal. Drawing from a broad range of Spanish, Peruvian and British archival sources, the book reveals merchants' experiences of trusting their agents and correspondents, and shows how different factors, from distance to legal frameworks and ethnicity, affected their ability to rely on their contacts. Xabier Lamikiz is Associate Professor of Economic History at the University of the Basque Country. .

First, it is, to the extent feasible, based on comparable information on the status and trends of major indicators of the state of the environment in Canada,Mexico, and the United States. Second, the report confirms that these three countries together make up an incredibly complex, dynamic, and interconnected ecosystem in which humans play a dominant and decisive role. Third, the report raises important and sometimes disquieting questions concerning the sustainability of some current trends. Finally, the report is a reminder that our economic, social, and physical well-being are utterly dependent on the life-sustaining services provided by nature. This report emphasizes the importance of developing mutually compatible economic, social, and environmental goals and policies across the three-country region.

Acclaimed science writer James Gleick presents an eye-opening vision of how our relationship to information has transformed the very nature of human consciousness. A fascinating intellectual journey through the history of communication and information, from the language of Africa’s talking drums to the invention of written alphabets; from the electronic transmission of code to the origins of information theory, into the new information age and the current deluge of news, tweets, images, and blogs. Book excerpt: In a systematic treatment of Hegel's concept of philosophy and all of the different aspects related to it, this collection explores how Hegel and his understanding of his discipline can be put into dialogue with current metaphilosophical inquiries and shed light on the philosophical examination of the nature of philosophy itself. Taking into account specific aspects of Hegel's elaboration on philosophy such the scientificity of philosophy as a self-grounding rational process and his explanation of the relationship between philosophy and the history of philosophy, an international line-up of contributors consider: - Hegel's concept of philosophy in general from skepticism, idealism, history and difference, to time, politics and religion - The relation of Hegel's concept of philosophy to other philosophical traditions and philosophers including Kant, Fichte, Schelling, and Jacobi - Hegel's concept of philosophy with reference to philosophy's relation to other forms of rationality and disciplines - The relation of Hegel's concept of philosophy to specific issues in present metaphilosophical debates. Reflecting the renewed and widespread interest in Hegel seen in Analytic philosophy and Continental thought, this volume advances study of Hegel's conceptual tools and provides new readings of traditional philosophical problems.
