Book excerpt: Excerpt from The Law Summary: A Collection of Legal Tracts on Subjects of General Application in Business The design of the following work is to furnish a concise view of the law, in relation to certain subjects of frequent occurrence in ordinary business. In the selection of these subjects, particular attention has been paid to their practical utility, and general application. And, though it is not presumed that, in every instance, the most useful topics have been selected, and far less, that every thing useful in relation to them, has been introduced in these pages; yet, it is believed, there is but little can be found in them, which will not well repay the reader, if impressed on the memory, and the cau tions necessarily arising from them are carefully attended to in his dealings with others. Book excerpt: Excerpt from The Law of Private Companies: Relating to Business Corporations Organized Under the General Corporation Laws of the State of Delaware With Notes, Annotations, and Corporation Forms The author has reason to believe that a practical annotation of the general corporation law of the state of Delaware would be of service not only to the bar, but also to business men, who are considering or resorting to the formation of corporations, as the best mode of candying into effect everyday business requirements. The present general corporation law herein considered, is Delaware's second general law of this nature, and was passed in conformity with the requirements of the constitution (article IX, section I), viz.: That no corporation shall be created by special act, but only by general law. The first law, that of 1883, while liberal in its provisions, applied to a limited class of business concerns, and prior to this law, all charters for incorporated companies were granted by special act of the legislature. In this edition those sections of the law (Nos. 67 to 126 inclusive) relating to public or quasi-public corporations, are not treated of, it being the intention to confine the limits of this work to such corporations as may be termed "Private Companies." As the Delaware corporation law in many of its provisions closely resembles the corporation act of New Jersey, and as there have been many decisions of the courts of that state determining the scope and powers of said act, citations of such cases have largely been made in this volume. Book excerpt: Business firms are ubiquitous in modern society, but an appreciation of how they are formed and for what purposes requires an understanding of their legal foundations. This book provides a scholarly and yet accessible introduction to the legal framework of modern business enterprises. It explains the legal ideas that allow for the recognition of firms as organizational "persons" having social rights and responsibilities. Other foundational ideas include an overview of how the laws of agency, contracts, and property fit together to compose the organized "persons" known as business firms. The institutional legal theory of the firm developed embraces both a "bottom-up" perspective of business participants and a "top-down" rule-setting perspective of government. Other chapters in the book discuss the features of limited liability and the boundaries of firms. A typology of different kinds of firms is presented ranging from entrepreneurial one-person start-ups to complex corporations, as well as new forms of hybrid social enterprises. Practical applications include contribution to the debates surrounding corporate executive compensation and political free-speech rights of corporations.

Both Sides of the Great Question in Business, Law and Politics There was a choice of two ways for presenting a summary of the argument on either side. One would have taken the usual form of a colorless and balanced memorandum, satisfactory per haps to students, but dry and ill adapted to the general public, for whom the book is specially designed. By the other method, which has been employed, the editor has endeavored to present for each side, with something of the realism of actual debate, the strongest summarized argument that can be honestly framed out of the material furnished by all who have publicly contributed anything of value to the discussion or to the literature of the subject - leaving each reader to draw his own conclusions. In other words, while the book is non-partisan, these arguments are fairly bi-partisan. This method also gave opportunity for put ting a mass of unclaimed but valuable material through the editorial crucible and bringing it out in something like sym metrical shape. If it shall seem that the argument against the trust is somewhat more strenuous in style than the argument for the trust, it will be borne in mind that the former Speaks for a multitude who feel that by the trust system they are wronged, ethically as well as economically - that it is not merely a matter of dollars and cents but of fair-play and manhood. The fact that our legal institutions open avenues to the deeper under standing of our culture, our history, our polity and our economy is increasingly appreciated, while it remains generally accepted that basic analysis of the methods and substance of the common law is an essential ele ment in technical training for business.
