Available in PDF, EPUB and Kindle. Book excerpt: After years of teaching law courses to undergraduate, graduate, and law students, Michael Evan Gold has come to believe that the traditional way of teaching – analysis, explanation, and example – is superior to the Socratic Method for students at the outset of their studies. In courses taught Socratically, even the most gifted students can struggle, and many others are lost in a fog for months. Gold offers a meta approach to teaching legal reasoning, bringing the process of argumentation to the fore. Using examples both from the law and from daily life, Gold's book will help undergraduates and first-year law students to understand legal discourse. The book analyzes and illustrates the principles of legal reasoning, such as logical deduction, analogies and distinctions, and application of law to fact, and even solves the mystery of how to spot an issue. In Gold's experience, students who understand the principles of analytical thinking are able to understand arguments, to evaluate and reply to them, and ultimately to construct sound arguments of their own.

Available in PDF, EPUB and Kindle. Book excerpt: Spain has a civil law-based legal system, and court decisions are not a source of law but are of interpretative value. The privatization of large state-owned firms, liberalization, integration with the European Union, and the launch of the euro have all contributed to the transformation of Spain’s financial system into a modern market. This book covers the main features of the Spanish model of corporate governance and will help you understand the characteristics of a civil law and a bank-oriented financial system in which banks play an active role relative to markets. For example, the bank orientation within Spain is built so that the corporate governance system relies heavily on the internal mechanisms of governance. Spain also bypasses the standard procedures of controlling shareholders mitigating conflicts between management and minority shareholders; instead, Spain allows controlling shareholders to mitigate the conflict between controlling shareholders and minority shareholders. Each chapter provides an inside look at the functioning of both internal and external mechanisms of corporate control.

This book was released on 2013-05-10 with total page 254 pages. Available in PDF, EPUB and Kindle. Book excerpt: This long-awaited second edition book is a primer on corporate governance for large, publicly held companies in the United States—the system that defines the distribution of rights and responsibilities among different participants in a corporation, and spells out the rules and procedures for making decisions on corporate affairs. As with any complex system, corporate governance functions best when all of its constituent elements work in harmony, when each performs its assigned role, with the right incentives, properly aligned interests, and the right tools for the job. The turbulent history of corporate governance in recent years is a testimony that this has not always been the case. A good number of the books written on corporate governance focus on legal issues—the rights and obligations of the various stakeholders under federal and state laws—or take the perspective of individual or institutional external shareholders. This book, with much updated material, is positioned differently; it approaches corporate governance from an executive perspective and is designed to help the reader become a more effective participant in the corporate governance system—as an executive dealing with a board, as a director, or as a representative of a company’s other numerous stakeholders.

Available in PDF, EPUB and Kindle. Book excerpt: The attorney-client relationship is one of the most important and delicate relationships in all of legaldom (if there is such a word). Lawyers cannot exist without clients. With rare exceptions, clients cannot make it without lawyers. The foundation of the attorney-client relationship is trust. Without the element of trust between the client and the attorney, the relationship simply will not work out. I am reminded of the story about the man who hated to worry about anything and went looking for a surrogate worrier. He approached a lawyer about the issue and said: Potential client: "I would like to retain your services. I'll give a thousand dollars if you will do the worrying for me." Lawyer: "That's fine. I'll do it. Now where's the thousand dollars?" Potential client: "That's your first worry." Trust works both ways in an attorney-client relationship. In order for an attorney to help the client, the attorney needs to know everything about the client's problem or issue. Most clients do not understand that, or simply ignore this point. In any event, few clients abide by it. To encourage clients to speak freely and reveal all to their lawyer concerning their problem or issue, the law grants an absolute attorney-client privilege. Whatever the client tells the lawyer about his or her case is secret and strictly confidential. Only with the client's expressed permission can the attorney reveal this secret and confidential information.

Available in PDF, EPUB and Kindle. Book excerpt: With the advent of new and more sophisticated information technologies, businesspersons have more opportunities to interact and exchange information with their competitors. In this climate of free-flowing information, it is essential that businesspersons are aware of the legal implications of engaging in information exchanges whether in the form of an industry association questionnaire or electronic mail. The Section of Antitrust Law of the American Bar Association has developed this general guide to the law of information exchange to aid non-antitrust lawyers' and business managers' understanding of when and how the antitrust laws apply to information exchanges. It is written primarily to help businesspersons to understand the risks and comply with the law. This primer is not a substitute for legal advice but, rather, is offered as background to help spot issues so that advice may be sought from an experienced attorney. The booklets are about the size of a pocket journal and have a space on the back to identify the law firm or company and contact counsel. They are available singly and, at substantial discounts, in convenient packs of 25 copies each.

Available in PDF, EPUB and Kindle. Book excerpt: This book provides an understanding of the characteristics of corporate governance in Italy, one of the most developed countries in the world, symbol of the family capitalism. The text presents the main peculiarities of the Italian corporate governance system, its impact on decision-making in corporate boardrooms, and the potential positive and negative consequences for the firm and its stakeholders. Several real-life case studies were included to help the reader grasp the subtleties of how power is exercised in Italian companies. The authors combine their knowledge of research with their professional experience. Such an approach helps the reader interpret the nuances of corporate governance practices in Italian companies as those practices are driven not only by the globalization of markets, but also by national economic, social, and political forces. The result is a unique corporate governance system, which deeply differs from the Anglo-American one. This book is, therefore, particularly relevant for a wide international audience (including investors, corporate directors, scholars, and practitioners) as it provides useful insights to interpret, evaluate and take sound decisions in Italian companies.
