De otra parte, el Derecho comercial colombiano ha venido abordando el tema de las sociedades mercantiles desde una perspectiva que podríamos denominar exageradamente positivista, esto para dar a entender que se han obviado los fundamentos de la disciplina societaria y, lo que es más importante, los paradigmas que subyacen a la normativa que en dicha materia se ha dictado en la historia de nuestro Derecho mercantil. En efecto, nuestra doctrina dedica mayor atención a la solución de problemas prácticos referidos a la constitución, funcionamiento y liquidación de las compañías mercantiles, obviando el estudio acerca de las bases de las soluciones que se proponen, e incluso que se aplican, para la solución de los casos.

En la actualidad esta dicotomía tiende a perder sentido, ya que no pueden estudiarse los problemas internacionales de las sociedades sin tener en cuenta la diferencia entre las regulaciones mercantiles ni es útil el estudio de la problemática material de las sociedades sin considerar sus implicaciones internacionales. “La internacionalización del Derecho de sociedades” responde, por tanto, a la visión actual del Derecho corporativo.
