Book excerpt: There is currently a debate in the Kingdom of Saudi Arabia is over how directors of publicly held companies can be held accountable. Before addressing this question, we should determine when it is that a director violates her or his duties. This study seeks to bring focus to the accountability system in Saudi Arabia. It investigates a legal defect in that system: the Saudi Companies Law incorporates standards of conduct but lacks standards of review. This study argues that although directors’ duties have been formulated so that there are areas left to be developed by courts, Saudi judges do not retain residual lawmaking powers which they could use to fill a regulatory vacuum. It builds upon empirical evidence to prove the underlying reasons that the context has changed, which ultimately has created the need to reform the Saudi fiduciary duties system. New cases in Saudi Arabia evoke some of the contours of Delaware corporate law. New cases have triggered standards of conduct violations that might be identical to fiduciary violations in Delaware. Therefore, this study proposes to transplant Delaware standards of review to Saudi Arabia. It argues that the contextual change in Saudi Arabia after the establishment of the Capital Market Authority would make this transplant more significant. Closer analysis suggests that both systems are consensus on the shareholder primacy model. This convergence on the shareholder model inevitably ensures a functional convergence in the long run.

Book excerpt: Investors are placing increased emphasis on capital allocation methods to achieve their desired social, environmental and financial objectives, and are targeting investments that not only facilitate economic growth in countries around the world but also do good in terms of aiding human development - from cleaner environments to safer products and better employment practices. At the same time, there is considerable evidence that if companies adhere to ESG (Environment, Social, Governance) standards, they will outperform companies who do not. But how do individuals - rather than institutional investors - invest using ESG criteria? And just how complex are the procedures? This new book, written by investment guru Mark Mobius and his expert team, is full of entertaining and informative anecdotes from the authors' day-to-day experiences in the world of sustainable investment. Readers will gain a clearer understanding of what sustainable investment actually means, the positive effects it can have on businesses and societies, what to look for in order to identify sound and sustainable investment opportunities, and how to balance sustainable investing with good returns.

The Kingdom has played a key role too on the international stage in 2017, becoming the first country to host President Trump, a visit which resulted in renewed trade and investment commitments on both sides. Meanwhile the country’s importance as a trading hub continues to grow thanks to both the various infrastructural upgrades that are taking place to its ports and airports, as well as its its geographical advantage as a connector of three continents and its proximity to the Red Sea – through which 10% of world trade travels.

This book was released on 2019-02-01 with total page 354 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book provides comprehensive analysis in the areas Islamic financial institutions and society. It starts off with the integration of the Islamic socio-economic and socio-political systems with the Islamic financial sector; with a view to help in removing some of the stereotype views that people have on the Islamic society and religion. In doing this, it provides the readers with an understanding of the Islamic society, characteristics of an Islamic society, and Islamic economics thoughts and theories. It goes further to make the readers to understand the sources, evolution, and guiding principles and practices of the Islamic finance and commercial jurisprudence. Although the book acknowledges the innovative no-interest financing framework; but in the absence of zero cost of lending, it develops an Islamic interest rate theoretical framework structure based on the profit-margin concept of the Islamic financial system. It goes on further to cover the structures, roles, functions, and monetary policies of the Islamic central banks in the absence of interest rate as well as proposes that organizational structures for the Islamic central banking system should include an Islamic finance division to oversee and monitor the Islamic financial institutions squarely. Flow charts are used to explain the structure, operations, models, products, instruments, and services of the Islamic commercial banks, financial institutions, insurance, and capital markets. This helps the readers to understand the dichotomies between the Islamic and conventional financial systems. It provides detailed systematic, logical steps, and processes involved in the Islamic financial transactions with the use of flow chart graphs which will help the readers in grasping the essentials of the Islamic financial sector; which will help the readers to understand the step-by-step processes and facilitate the conceptual clarities involved in the product deliveries and processes of the Islamic financial institutions. The book's concluding chapters were devoted to the performance, achievements, governance, challenges, and future expectations of the Islamic banking, finance, and capital markets. The book concludes with some suggestions on how to make the Islamic finance and its products more acceptable to the entire world; especially to the non-Muslim community of the world.

Book excerpt: The global financial crisis has led to more and more focus on corporate governance and financial institutions. There has been much coverage in the media about various corporate governance related issues in banks and other financial institutions, such as executive directors' remuneration and bankers' bonuses, board composition and board diversity. This book, dedicated to the corporate governance of banks and other financial institutions, makes a timely and accessible contribution to the literature in this area. The contributors are experts in their field with in-depth knowledge of the various countries including Italy, the UK, Germany, the US, China, Japan, Brazil, Russia, Australia and Nigeria, plus a chapter on Islamic financial institutions, covered in this book. Overall, the engagingly written chapters highlight many of the shortcomings of corporate governance which have led to financial scandals, whilst indicating areas where corporate governance can be strengthened and improved. Adding depth and accessibility to existing corporate governance books, this Handbook is ideal as a teaching and learning tool for undergraduate and postgraduate students. For directors and the general business and wider stakeholder communities concerned with corporate governance, it is an essential resource. Contributors:C.L. Ahmadjian, K.-J. Chang, M.J. Conyon, F.
