Will results differ whether the CSR investments in question complement or substitute for the government provision of public goods ? Chapter 1 of this Ph.D. dissertation will address these questions and create a conceptual framework for further analysis in subsequent chapters of CSR as a desirable activity whereby firms provide a public good alongside the private good they produce. One of the main issues that emerge from this analysis is the need to identify and explore a new kind of dichotomy, i.e. the trade-off between market provision of public goods via CSR and its public counterpart via the government. This question gains particular importance in the context of developing countries, as well as in some developed ones, where firms have strong political ties. In Chapter 2, it is shown that politically connected firms - or, at extreme, the business politicians - may try to influence the government to reduce its provision of the public good to maximize the reputational return on their CSR investments. The mechanism goes as follows. An underprovided public good offers the opportunity for large political benefits to firms stepping in the areas where the government fails to deliver through their CSR activities. Consumers are suspicious about the true motives for which firms engage in CSR, it may be out of benevolence or political greed, however, since all firms, including the greediest and the most prosocial ones participate, politics interfering with business does not spoil firms' image since those political benefits are so large that everyone does it. We refer to this phenomenon as corruption becoming a social norm. Chapter 3 provides a strategic explanation for this phenomenon of corruption being epidemic in the economy. It explains why corruption, in the form of bribetaking, may become widespread among government agencies, for the mere reason that their efforts are interdependent.

Corporate social irresponsibility (CSI) is concerned with whether firms undertake harmful actions that managers would be unwilling to undertake acting for themselves, or that a reasonable person would expect to cause substantive net harm when all parties are considered. Markets in which stakeholders are free to make decisions in their own interests provide some protection against CSI. Tort and contract law provide additional protection. Nevertheless, managers sometimes act irresponsibly. Codes of ethics that require fair treatment of stakeholders while pursuing long-term profit reduce the risk of irresponsible decisions. Management support and stakeholder accounting are important for successful implementation. Firms may wish to consider these measures; many already have.

Book excerpt: In the first essay, we study whether the increasingly large and concentrated ownership stakes by passive investors influence shareholders activism in the form of shareholder proposals. We find a positive association between passive ownership and the total number of proposals initiated, proposals with different types of sponsors, the rate of proposal withdrawal, vote-for percentage, and finally 1-year abnormal returns following the annual meeting date at which time the proposals were put forth. To mitigate endogeneity concerns, we use the Russell reconstitution as an exogenous shock. Our findings highlight the ability and power that passive investors have to affect corporate policy by supporting fellow shareholder sponsored proposals.In the second essay, we investigate the effectiveness of shareholder voice. In 2017, The Big Three institutional investors launched campaigns to increase gender diversity on corporate boards. We estimate that their campaigns led firms to add at least 2.5 times as many female directors in 2019 as they had in 2016 and to promote female directors to key board positions. Firms increased female representation by relying less on managers existing networks to identify candidates and by placing less emphasis on candidates executive experience. Our results highlight index investors ability to influence firms governance structures and shareholder advocacy's potential to expand women's participation in corporate leadership more extensively than government mandates. In the third essay, we examine whether and how local religiosity has an impact on corporate attitude towards corporate social responsibility (CSR) activities and how CSR activities directly impact firm value. Employing an extensive US sample from 1991 to 2015, we find that firms headquartered in more religious regions undertake a greater level of CSR activities. Furthermore, the CSR activities of firms located in highly religious regions are positively valued in the stock markets as we observe a positive association between CSR and Tobin's Q for the companies that are headquartered in high religious regions. The association is stronger when firms are less visible to non-local investors. This study enriches the emerging literature on the influence of local cultural factors on corporate behavior and encourages future research on the various aspects of how the local environment impacts firms ethical behaviors.

We find general support for the causal relationship: when companies do more "harm," they also do more "good." The empirical analysis is based on an extensive 15-year panel dataset that covers nearly 3,000 publicly traded companies. In addition to the overall finding that more CSI results in more CSR, we find evidence of heterogeneity among industries, where the effect is stronger in industries where CSI tends to be the subject of greater public scrutiny. We also investigate the degree of substitutability between different categories of CSR and CSI. Within the categories of community relations, environment, and human rights--arguably among those dimensions of social responsibility that are most salient--there is a strong within-category relationship. In contrast, the within-category relationship for corporate governance is weak, but CSI related to corporate governance appears to increase CSR in most other categories. Thus, when CSI concerns arise about corporate governance, companies seemingly choose to offset with CSR in other dimensions, rather than reform governance itself.

The purpose of this research is to explore additional conditions under which CSR can lead to negative outcomes for both the firm and consumers. Specifically, different from other papers examining the negative effects of CSR that focus on either perceived negative motivations or perceived unethical behavior by the firm, this research examines how CSR that is, on the surface, perceived positively by consumers, leads to negative outcomes. The first paper, "Who's working in the kitchen today", explores the potential for CSR activities to lead to negative financial outcomes through producer contagion between stigmatized populations and products they produce. The results show that although consumers admire companies that hire stigmatized populations, they actually tend to avoid products produced by stigmatized populations. Consumers believe that this CSR practice decreases the value of products because stigmatized populations may contaminate the products by transferring their negative properties to the products through the production process. Further research identifies the mediating effect of disgust and the moderating effects of product intimacy and end user vulnerability. Finally, a choice task reveals that the negative producer contagion effect can be mitigated by implicit information such as color. The second paper, "Can 'Real' Men Consume Ethically?" complements the first paper by examining the outcomes from the consumers' perspective. This paper examines how observers make judgments about consumers on the basis of their CSR support. Across four experiments it reveals that, in addition to being viewed as socially responsible, consumers are viewed as less masculine and more feminine when they consume ethical products. It also identifies two boundary conditions to this effect, including the use of self-benefit advertising appeals and the use of descriptive norms to signal gender appropriate behavior. It also identifies how consumers resolve the conflict of prosocial and gender-congruent impression management objectives. It shows that when consumers are in the presence of observers of the opposite sex, they are more likely to prioritize prosocial identity even when it threatens their gender orientation.

Our aim is to rethink the controversial literature on the financial implications of CSR activities by exploring a new premise - investor attention may shape the financial returns on corporate social impact. Since a growing stream of literature has highlighted the role of firm visibility as well as stakeholder attention to connect CSP to financial performance in addition to the complementary literature of investor attention and stock prices, we expect that controlling for firm-specific investor attention would provide novel insights to the literature on the potential financial effects of CSP.A consistent strand of literature has provided interesting evidence of a strong relationship between the firm CSP and its stakeholders such as consumers, employees, suppliers, investors, analysts, activists and communities, and regulators, with the benefits being stronger, the greater the attention to and salience of social activities among stakeholders. We complement and extend this literature by implementing a more granular analysis and particularly we focus on the relevance of investors' attention, a scarce and limited cognitive resource.This research is divided in four chapters. The first chapter is a survey of prior theoretical and empirical literature on the controversial debate of the relation between CSR and financial outcomes. We have particularly reviewed potential mechanisms that allow CSP to translate into CFP. Most importantly, we rely on studies claiming that firm visibility is a crucial factor to connect social impact to financial performance. Another argument of great appeal is the stakeholder attention theory as proposed by Madsen and Rodgers (2015) from which our research question draws its full legitimacy. Then, we have connected the literatures on attention, information, decision making and CSR to remake the CSP-CFP puzzle and highlight potential research hypotheses. A more readable view is provided by Figure 1 (later in this document) which integrates and synthesizes key predictors, outcomes, mediators, and moderators of the CSP-CFP relation by focusing on studies related to CSR and firm visibility thereby introducing the role of investor attention. Figure 1 is not an exhaustive conceptualization of all the intervening variables in this relationship but rather meant as a multilevel lens and guiding framework to which other variables can be added in the future. However, despite all the advancements in assessing the returns on CSR investments, this debate remains unsettled and has yielded conflicting results. Thus, we conducted three empirical essays on the relation between CSP and financial performance and particularly provide new and unique evidence on the role of investor attention to shape this controversial empirical issue. Therefore, in the first essay, we conduct a multi-country event study and investigate the impact of environmental, social and governance (ESG) news headlines on the shareholder wealth. We find that investors do not value positive ESG news headlines but negatively react to negative ESG news headlines. This result is consistent with the idea that social responsibility and irresponsibility are not the two sides of the same coin. Furthermore, evidence reveals that shareholders only react to negative corporate governance related headlines. This suggests that investors may be especially prone to attend to corporate social responsibility (CSR) initiatives that directly impact their own interests as previously suggested by T. M. Jones et al. (2007).
