Book excerpt: My findings point to a world in which the ratings business is primarily catering to a large group of trusting investors who buy ratings not for the value of information but for the value of institutional certification. The third essay examines the ratings of a recently emerged rating agency competitor and find its ratings are of no better predictive quality. I introduce a novel set of measures, `corporate badness (CB) ratings', for corporate environmental and social performance. In contrast to the leading commercial ratings, worse CB ratings correctly predict more future corporate bad behavior out-of-sample. These CB ratings provide a way to study ratings disagreement, which can be used to disentangle greenwashing from the other information contained in the leading commercial CSR ratings.

Book excerpt: Corporate Social Responsibility (CSR) is a broad management concern, it is not only critical to every aspect of modern business practice, but is also deeply incorporated into a company's daily operations via its values, norms, and decision-making process, etc. While there is an ever-increasing number of studies on CSR, many researchers have treated CSR as one single broad construct, its individual dimensions have been largely neglected. This dissertation takes the opportunity to address CSR by focusing on two dimensions: diversity and governance of three different entrepreneurial entities including clean-technology ventures, family firms in the United States and companies operate in emerging markets. In the first essay, I explore the impact of board diversity, female director representation, to be specific, on venture performance in the context of the clean-tech industry. I posit that appointing female board of directors can help clean-tech ventures overcome legitimacy constraints. I also examine the moderating effect of venture size and environmental ideology, such that this impact is stronger for small firms, and it is stronger for clean-tech ventures operating in a high level of environmental ideology state. In the second essay, I investigate how family involvement influences corporate diversity and how does corporate governance mechanism moderate such effect. The results suggest that family involvement decreases the overall corporate diversity, but family firms present more diversity-related concerns than non-family firms. Meanwhile, I suggest that the adoption of dual-class share decreases family firms' overall diversity. My third essay addresses the question of how corporate governance affect environmental information transparency directly and indirectly through seeking external verification, as well as how the legal and business environment moderates these relationships. I find that companies with strong corporate governance mechanisms are more likely to pursue external verification to alleviate traditional agency conflicts in the emerging markets. In addition, strong internal corporate governance leads to high environmental transparency directly and indirectly via seeking external verification. The legal and business environments moderate these relationships. Overall, these three essays in hopes of filling the gaps in the literature and advance the research in the areas of CSR, corporate governance, and entrepreneurship studies.

Book excerpt: ABSTRACT: This dissertation is designed to contribute to our understanding of the role of corporate social responsibility (CSR). In particular, environmental sustainability is examined to better understand its impact on consumers and firm performance. A set of three essays examines the role, and impact, of environmental sustainability from the perspective of consumers. As firms continue to employ environmentally sustainable marketing strategies, ultimately consumers have the final say regarding the effectiveness of such efforts. An examination of CSR research in marketing, as well as other business disciplines, is first presented to better understand the limitations and opportunities that exist. Next, Essay 1 contains a multi-method analysis of the barriers to green consumption to better understand why environmentally friendly products continue to represent only a small portion of total purchases.

Book excerpt: While the first two essays study the role of CSR in the alliance context, the third essay will examine how firms' institutional isomorphic efforts influence the CSR-performance relationship. The panel data analysis with over 21,000 firm-year samples indicates that the firm's CSR isomorphic processes enhance the positive CSR-performance relationship. However, the firm's passive strategy to match industry average CSIR further worsens the negative CSIR-performance relationship. The decrease in the industrial ethical norm (industry average growth in CSIR) amplifies the negative impact of CSIR. I hope this dissertation provides meaningful and practical suggestions to academics and practice.

Book excerpt: This dissertation explores the effect of corporate social responsibility (CSR) practices on the firm and contributes to an understanding of how CSR practices can contribute to companies' competitive advantage. In Chapter 1, I use three randomized field experiments implemented in online labor marketplaces to provide causal evidence of the effect of CSR on employee outcomes that have been shown to be critical to firm performance: salary requirements and employee performance. Workers were recruited for short-term jobs and I manipulated whether or not they received information about the employer's CSR program. I then observed the payment workers were willing to accept for the job and their performance on the job. Surveys administered at the end of the experiments gauging workers' perceptions about the received CSR information also provide insight into the distinct mechanisms through which CSR affects the different employee outcomes. This paper contributes to an understanding of how CSR adds value to the firm and highlights the role of the employee in explaining this relationship. It also demonstrates how online labor markets can be used as settings for field experimental research in strategic management more broadly. In Chapter 2, we examine pro bono work in the legal services industry. Using a screening model we show that law firms use pro bono engagements to gain information about associates' expected productivity as an equity partner. Using a dataset of the top 200 US law firms in 2010 we demonstrate empirical support for our model's predictions. Our findings thus suggest that the conventional wisdom that CSR practices are used to provide information about the quality of the firm to the employee is backwards; rather, we find that pro bono engagements are used to provide information about the quality of the employee to the firm. In Chapter 3, we explore what drives firms to combine poor environmental performance with communication about positive environmental performance, resulting in "greenwashing". Although some explanation of firm greenwashing has been put forth, a comprehensive analysis of the determinants of firm greenwashing is lacking. Drawing from existing work in management, strategy, sociology and psychology, we propose a comprehensive framework that examines the external (both institutional and market), organizational and individual drivers of greenwashing and then use this framework to develop recommendations for managers, policymakers, and NGOs to decrease greenwashing.

Is there a business case for corporates providing the public good or should it be solely provided by the government ? Are green products over-priced and should they be taxed ? If they are, who are the beneficiaries and who are the actual tax payers ? Will results differ whether the CSR investments in question complement or substitute for the government provision of public goods ? Chapter 1 of this Ph.D. dissertation will address these questions and create a conceptual framework for further analysis in subsequent chapters of CSR as a desirable activity whereby firms provide a public good alongside the private good they produce. One of the main issues that emerge from this analysis is the need to identify and explore a new kind of dichotomy, i.e. the trade-off between market provision of public goods via CSR and its public counterpart via the government. This question gains particular importance in the context of developing countries, as well as in some developed ones, where firms have strong political ties. In Chapter 2, it is shown that politically connected firms - or, at extreme, the business politicians - may try to influence the government to reduce its provision of the public good to maximize the reputational return on their CSR investments. The mechanism goes as follows. An underprovided public good offers the opportunity for large political benefits to firms stepping in the areas where the government fails to deliver through their CSR activities. Consumers are suspicious about the true motives for which firms engage in CSR, it may be out of benevolence or political greed, however, since all firms, including the greediest and the most prosocial ones participate, politics interfering with business does not spoil firms' image since those political benefits are so large that everyone does it. We refer to this phenomenon as corruption becoming a social norm. Chapter 3 provides a strategic explanation for this phenomenon of corruption being epidemic in the economy. It explains why corruption, in the form of bribetaking, may become widespread among government agencies, for the mere reason that their efforts are interdependent.

Book excerpt: In my three paper dissertation, I explore the reasons of various levels of Corporate Social Responsibility (CSR). My first paper builds on upper echelon perspective (Hambrick & Mason, 1984) to demonstrate how changing CEO's preference over their tenure life cycle influence CSR. In my second paper, I develop a model based on institutional theory (Meyer & Rowan, 1977) to find the best CSR performance level. In my third paper, based on Maslow (1943)'s hierarchy of needs, I examine the impact of CEO compensation gap on CEO needs and its influence on CSR. Together, I attempt to address how firm-level conditions (paper one), industry-level conditions (paper two), and different CEO needs (paper three) influence CSR.

Book excerpt: Within three individual essays, this thesis deals with collaborative and confrontational approaches by NPOs towards companies, and the role these play with respect to corporate responsibility. By drawing on social movement theory, nonprofit-business collaboration literature as well as legitimacy theory, it advances our knowledge regarding two topics: First, this thesis provides answers to the question how successful collaborative and confrontational approaches are individually at influencing households' judgements of companies and of NPOs themselves. Second, it extends our knowledge of interactions between these approaches. With respect to individual effects, this thesis demonstrates that both collaborative and confrontational approaches by NPOs exert a significant effect on households' legitimacy evaluations of companies and subsequently their consumption intentions. Legitimacy also appears as important underlying factor influencing households' support for NPOs, with collaborative NPOs enjoying higher legitimacy and thus support from households than confrontational ones. Concerning interactions between these two types of approaches, this thesis finds confirmation for previous suggestions that contrasting NPO approaches interplay - but demonstrates that such interactions clearly present a double-edged sword. By simultaneously focusing their approach on the same company, both types of NPO suffer a loss in their ability to influence households' perceptions of companies in the way they envision as well as their capability of attaining resources. However, if such approaches are applied sequentially, the picture of these interaction-effects become more positive. These results indicate that NPOs with different approaches towards companies are well advised to work together in a strategic manner in order to maximize their success.

Book excerpt: In the first essay, we study whether the increasingly large and concentrated ownership stakes by passive investors influence shareholders activism in the form of shareholder proposals. We find a positive association between passive ownership and the total number of proposals initiated, proposals with different types of sponsors, the rate of proposal withdrawal, vote-for percentage, and finally 1-year abnormal returns following the annual meeting date at which time the proposals were put forth. To mitigate endogeneity concerns, we use the Russell reconstitution as an exogenous shock. Our findings highlight the ability and power that passive investors have to affect corporate policy by supporting fellow shareholder sponsored proposals. In the second essay, we investigate the effectiveness of shareholder voice. In 2017, The Big Three institutional investors launched campaigns to increase gender diversity on corporate boards. We estimate that their campaigns led firms to add at least 2.5 times as many female directors in 2019 as they had in 2016 and to promote female directors to key board positions. Firms increased female representation by relying less on managers existing networks to identify candidates and by placing less emphasis on candidates executive experience. Our results highlight index investors ability to influence firms governance structures and shareholder advocacy's potential to expand women's participation in corporate leadership more extensively than government mandates. In the third essay, we examine whether and how local religiosity has an impact on corporate attitude towards corporate social responsibility (CSR) activities and how CSR activities directly impact firm value. Employing an extensive US sample from 1991 to 2015, we find that firms headquartered in more religious regions undertake a greater level of CSR activities. Furthermore, the CSR activities of firms located in highly religious regions are positively valued in the stock markets as we observe a positive association between CSR and Tobin's Q for the companies that are headquartered in high religious regions. The association is stronger when firms are less visible to non-local investors. This study enriches the emerging literature on the influence of local cultural factors on corporate behavior and encourages future research on the various aspects of how the local environment impacts firms ethical behaviors.

In the first essay, I find that prior employment in the medical device sector has a positive impact on performance due to non-technical knowledge gained at the parent firm. In the second essay, I examine the validity of CSR ratings and find low validity across ratings, implying that there is uncertainty about the underlying construct of CSR. The third essay studies the impact of local contracting set aside programs on minority entrepreneurship and finds that minority entrepreneurship increased between 2.5%-5% after the introduction of these programs.
