Book excerpt: The objectives of this chapter are to analyze the difference of corporate social performance between state-owned companies (SOCs) and private-owned companies (POCs) in Indonesia, and to examine the correlation between the corporate social performance and the corporate financial performance. Using a purposive sample from state-owned and private owned firms between 2001 and 2004, the results of this study indicate no significant difference in corporate social performance between SOCs and POCs. Further, no association between corporate social performance (CSP) and financial performance both in SOCs and POCs was detected.

Book excerpt: This paper studies the Corporate Social Responsibility and Financial Performance relationship among selected companies in the ASEAN countries of Indonesia, Malaysia, Philippines and Thailand during a 10-year period ending 2015. Financial performance was determined using financial ratios of Return on Assets, Return on Equity, Return on Capital Employed, Gross Margin, Net Profit Margin, Earnings per Share, Price to Earnings Ratio, Price to Book Value Ratio, Price to Cash Flow Ratio and Dividends Yield Ratio. Corporate Social Performance was determined using author-created sustainability scoring based on the presence or absence of identified Corporate Social Responsibility reporting factors for the year. The relationship of Corporate Financial Performance and Social Performance was statistically determined using Pearson Product Moment Correlation, with other variables namely company size and level of risk. The study revealed mixed results whereby the CSR and Financial Performance of selected companies in the Southeast Asian countries of Indonesia, Malaysia, Philippines and Thailand exhibited positive, negative and neutral correlation at various significance levels. Consistent with previous studies, the Southeast Asian corporate situation illustrates a mixed relationship between Financial Performance and Corporate Social Responsibility performance following the theories described under the Stakeholder theory, the Shareholder theory and some aspects of New Corporate Governance. This study further suggests that regardless of financial situation, Southeast Asian companies are encouraged to perform well in the environment, social and governance standards.

Book excerpt: Objective - The purpose of this research is to determine the effect of good corporate governance (GCG) on Indonesia's SOEs and the influence of state ownership on company performance.Methodology/Technique - This study examines State Owned Enterprises in Indonesia that were listed on the Indonesia Stock Exchange between 2011 and 2015.Findings - The empirical results show that GCG and state ownership both have a positive influence on the company's financial performance (in this case, Return On Assets). However, the percentage of state ownership has a negative effect on the relationship between Good Corporate Governance and Return On Assets.Novelty - One agency cost is monitoring expenditure by the principal. Privatization is one way to improve the performance of SOEs. Privatization is believed to improve the performance of SOEs, as a result of increased supervision of the performance of SOEs in Indonesia.

Also whether the practice of corporate governance is for the appearance of compliance to the regulation only and therefore it does not have positive impact to the shareholders and creditors.This paper investigates the relationship between ownership concentration and structure, governance mechanism and firm performance in Indonesia listed companies for a sample of 271 firms during 2006.The results of the regressions tend to support the above hypothesis. In Indonesia, companies are still dominated by single largest or majority shareholders, with its positive effect that it will minimize the agency cost with the management, thus improves performance.

Data used are secondary data from Indonesian Capital Market Directory, and environment Ministry website. The result of this research found that environmental performance, public ownership and earning management have insignificant influence to Corporate Social Responsibility Disclosure. Board of commissioners, independence of commissioner, and managerial ownership have significantly influence on the disclosure of Corporate Social Responsibility.

Book excerpt: The failure of conventional performance measurement techniques to measure and monitor multiple dimensions of performance, the growing importance of intangible assets, and the need for research to inform current corporate governance debates have motivated this study. Focusing on listed Indonesian financial sectors, this study aims to empirically determine if positive significant relationship exist between Good Corporate Governance (GCG), Intellectual Capital Performance (ICP) and Corporate Performance (CP) in Indonesia. VAIC method by Pulic was used as measure of ICP. This method indicates corporate value creation efficiency or corporate intellectual ability. A governance index based on five aspects of GCG was used, and a ratio composed of three different performance measures was likewise utilized as proxy of CP. Descriptive, comparative and causal research designs were used to answer the research problems, objectives and the hypotheses. All listed sub-sectors under finance sector in Indonesia Stock Exchange (IDX) were included in this study, to wit: (1) bank, (2) financial institution, (3) securities company, (4) insurance and (5) others, as classified by IDX. This study reveals that in 2009, the overall mean of the GCG Index and VAIC among the group of banks was higher than the four non-bank financial institutions, while the overall mean scores of CP Ratio for group of financial institution were higher than the other four groups. There were no significant differences of ICP and CP in 2007-2009. The empirical findings fail to establish any significant relationships between GCG and ICP. The results suggest that in the Indonesian scenario, the implementation of GCG of the corporation relies on tangible assets rather than intellectual capital. Although there is no significant relationship between ICP and CP, the result however shows that GCG has a significant positive relationship to CP with R2 of 15% indicates that approximately 15% of the variance in CP is explained by GCG. In the opposite direction, the result also shows that approximately 15% variance in GCG is explained by CP. The findings suggest that GCG can lead to better CP and in reverse, better CP can lead to better CG.

Do the levels of social and environmental performances have positive association with financial performance? The findings of the study indicate that in terms of social variable, the performance of Indonesian companies and MNCs is the same, while in terms of environmental perspectives, the performance of MNCs i.s better than the one of Indonesia companies. In Indonesian companies, corporate performance and corporate social and environmental performances are not related, while in MNCs the relation is partially supported for social perspective and mostly supported for environmental perspective.

Book excerpt: The strategy adopted by a company can be understood as the result of mechanisms and practices of corporate governance. In turn, the performance of a firm depends directly on the decisions made by its administrators. However, managers can incorporate their own personal interests in strategic decisions, creating a level of corporate diversification, according to the operation of the corporate government. Thus, the objective of this study is to investigate, empirically, if the structure of governance is different between focused and diversified firms and, furthermore, if differences in corporate governance are associated with some loss of value for the firm from the diversification. This study consists of a multiple cross section extending from 1997 to 2001. Data from 176 companies with open capital listed on the Satilde;o Paulo Stock Exchange (Bovespa) were used, representing 14 industry segments. The results of the multivariable analysis reveal that the size of the board of directors (InTAMC) and the participation of the executives in the profit (profit sharing) of the company (PART) are positively associated with the diversification of the firm (HPROD). Moreover, the companies with private national capital (CNTR) appeared more diversified than those with government capital; however it is important to recognize that these associations were not constant for the entire length of the study period.

Based on the multiple regression analysis, audit committee partially had a significant effect on financial performance, while the others did not. Meanwhile, the analysis result shows that environmental performance and all GCG mechanisms simultaneously have significant effects on financial performance.

Previous studies have found that the mixed results have been established between these two constructs in developed countries such as linear, u-shaped or inverted u-shaped relationship. To this end, a sample of 141 non-financial companies over the period of 2003 to 2013 listed on Pakistani stock market was used to analyze the impact of diversification strategy on the performance of firm. Corporate diversification is divided into two types including product and geographic diversification. The findings of the study demonstrated that an inverted u-shaped relationship existed as performance increased up to a certain level due to the related diversification strategy and then it fell down drastically. It showed that too much diversification creates agency problems and internal inefficiencies. It has implications for agency problems, weak corporate governance structures, and family relationships.
