Book excerpt: Ethical-factor investing is investment decision-making that takes into account ethical factors. Part 1 described the three prudent approaches to ethical-factor investing: (1) the Incorporation approach, which does the right thing only if it improves financial returns; (2) the Tie-Breaker approach, which does the right thing if there no financial cost to doing so; and (3) the concessionary approach, which does the right thing if it does not reduce financial returns too substantially. Fiduciaries making investments on behalf of ERISA plans, other than Top-Hat plans, may use the Incorporation approach, and must use it, to the extent it is part of prudent investing. They may use the Tie-Breaker approach, but not the Concessionary approach. The latter would violate the fiduciary duty to act for the exclusive purpose of providing benefits to plan participants and beneficiaries for ERISA plans, other than Top-Hat Plans. Participants and beneficiaries of individual retirement arrangements or of self-directed ERISA savings and retirement plans, such as most 401(k) plans, may use any of the three ethical-factor investment approaches. Sponsors of Top-Hat plans may do the same. Fiduciaries choosing an investment option for most self-directed ERISA plans, other than Top-Hat plans, must use the Incorporation approach to the extent that it is prudent. They may also choose an option that uses the Tie-Breaker approach, but if it was also chosen by the Tie-Breaker approach it may only supplement rather than replace another investment option, such as an S&P 500 Index® fund.

Available in PDF, EPUB and Kindle. Book excerpt: The presumption that an eligible individual account plan (EIAP) is justified in continuing undiversified investments in employer stock, first recognized in Moench v. Robertson, is derived from state trust principles governing judicial authority to modify the terms of a private trust when necessary to respond to an unanticipated emergency. These trust variation doctrines apply in factual circumstances that are loosely analogous to the crashing ESOP situation, but a solid conceptual basis for their application to pension trusts under ERISA is lacking. The importation of traditional trust variation principles into ERISA elides several serious difficulties. The automatic assumption that the employer sponsoring an EIAP is the settlor of the pension trust is one problem. Even if the plan sponsor may be treated as settlor, Moench and its progeny overlook an essential premise of the Restatement (Second) of Trusts' administrative deviation rule: It would not apply to a private trust that is amendable in the way that a pension trust is required to be. Further, the federal courts have overlooked the fact that modern trust variation principles are far more liberal than the black letter rule set forth in the Second Restatement, which was adopted in 1957. In short, the overlooked or misunderstood provenance of the Moench presumption has caused serious confusion, leading federal courts in ERISA stock drop cases to apply outdated private trust doctrines that have little direct bearing on quasi-public (that is, tax-subsidized) pension trusts.Proper resolution of fiduciary breach claims founded on failure to diversify EIAP employer stock holdings begins with recognition that the matter involves statutory interpretation, not plan interpretation. Accommodating Congress's multiple goals (inducing both employee ownership and retirement savings) when they come into conflict requires a critical assessment of legislative priorities, which emerged and evolved over decades, and which are evidenced by complex, technical, and seemingly unrelated provisions of both the tax code and ERISA. Careful comprehensive evaluation reveals that the presumption of prudence as developed to date in the Moench line of cases deranges ERISA's policy equilibrium.

New products, services and techniques abound. The risks of inflation, the volatility of interest rates, the deregulation of financial intermediaries and the unbundling of financial services have combined to present investment managers with challenges and opportunities far greater than in the past. For trustees and managers of pension, trust, endowment, and similar funds, the task of meeting the challenges and exploiting the opportunities is much more difficult. These fiduciaries must measure their investment decisions against constrained interpretations of a legal standard--the prudent man rule--that have caused it to lag far behind changes in investment theory and the marketplace. Drawing on financial history, a major opinion survey of institutional investors, and comprehensive reviews of the law and of the lessons of modern portfolio theory for prudence, this book presents a powerful case that the prudent man rule as elaborated in legal treatises and much of the case law would virtually compel a fiduciary to act imprudently in terms of financial theory and marketplace reality. In proposing a modern paradigm of investment prudence, the book uses illustrations drawn from such traditionally suspect categories of investment fiduciaries as securities lending, real estate, venture capital, options and futures and repurchaser agreements. An unusual examination of the interaction of the worlds of law and finance, this work will be of interest to fiduciaries who are subject to some from of prudent man rule and all others, including judges, lawyers and investment managers, who are called upon to interpret and apply that legal standard.

Available in PDF, EPUB and Kindle. Book excerpt: For decades, the public company has played a dominant role in the American economy. Since the middle of the 20th century, the nature of the public company has changed considerably. The transformation has been a fascinating one, marked by scandals, political controversy, wide swings in investor and public sentiment, mismanagement, entrepreneurial verve, noisy corporate "raiders" and various other larger-than-life personalities. Nevertheless, amidst a voluminous literature on corporations, a systematic historical analysis of the changes that have occurred is lacking. The Public Company Transformed correspondingly analyzes how the public company has been recast from the mid-20th century through to the present day, with particular emphasis on senior corporate executives and the constraints affecting the choices available to them. The chronological point of departure is the managerial capitalism era, which prevailed in large American corporations following World War II. The book explores managerial capitalism's rise, its 1950s and 1960s heyday, and its fall in the 1970s and 1980s. It describes the American public companies and executives that enjoyed prosperity during the 1990s, and the reversal of fortunes in the 2000s precipitated by corporate scandals and the financial crisis of 2008. The book also considers the regulation of public companies in detail, and discusses developments in shareholder activism, company boards, chief executives, and concerns about oligopoly. The volume concludes by offering conjectures on the future of the public corporation, and suggests that predictions of the demise of the public company have been exaggerated.
