Book Synopsis The holding company and corporate control by : Herman P. Daems

This book was released on 2012-12-06 with total page 153 pages. Available in PDF, EPUB and Kindle. Book excerpt: 1. Research subject and objectives This study focuses on an economic institution, the large industrial holding company, which continues to hold a prominent if not a strategic position in the resource allocation process in many industrialised market economies. Powerful multicompany combines like the famous Japanese zaibatsu and the less familiar but equally powerful European industrial groups rely on the institution of the holding company to tie their intermarket control network together. Two general questions arise from this situation: first, what factors account for the viability and growth within a market setting of those institutions which internalise allocation decisions and, second, what effect do such institutions have on resource allocation? These questions provide the framework in which the proper research subject can be most adequately introduced. Before doing so, it is crucial to point out that the holding company institution, as analyzed in subsequent chapters, should not be confounded with the legal constructs, bearing the same generic name and flourishing in fiscal paradises, whose sole function is to organise tax evasion across national boundaries. The institution, as studied here, is the large holding company through which industrial groups manage multicompany systems. Such multicompany systems, operating an intermarket network by means of holding companies, continue to be more typical for Europe and Japan than for the United States where, for legal reasons, but also because of managerial efficiency, the multicompany system built around the holding company institution was rather short-lived and 1 the giant integrated multiunit enterprise rose to dominance instead.

Book Synopsis The Intellectual Property Holding Company by : Jeffrey A. Maine
Download or read book The Intellectual Property Holding Company written by Jeffrey A. Maine and published by Cambridge University Press. This book was released on 2017-12-07 with total page 311 pages. Available in PDF, EPUB and Kindle. Book excerpt: Many companies that have become household names have avoided billions in taxes by 'parking' their valuable intellectual property (IP) assets in holding companies located in tax-favored jurisdictions. In the United States, for example, many domestic companies have moved their IP to tax-favored states such as Delaware or Nevada, while multinational companies have done the same by setting up foreign subsidiaries in Ireland, Singapore, Switzerland, and the Netherlands. In this illuminating work, tax scholar Jeffrey A. Maine teams up with IP expert Xuan-Thao Nguyen to explain how the use of these IP holding companies has become economically unjustified and socially unacceptable, and how numerous calls for change have been made. This book should be read by anyone interested in how corporations - including Gore-Tex, Victoria's Secret, Sherwin-Williams, Toys-R-Us, Apple, Microsoft, and Uber - have avoided tax liability with IP holding companies and how different constituencies are working to stop them.

Book Synopsis The Liability of the Holding Company for the Debts of its Insolvent Subsidiaries by : Andrew Muscat
Download or read book The Liability of the Holding Company for the Debts of its Insolvent Subsidiaries written by Andrew Muscat and published by Routledge. This book was released on 2016-12-05 with total page 540 pages. Available in PDF, EPUB and Kindle. Book excerpt: This work deals with the liability of the holding company for the debts of its insolvent subsidiaries. In analyzing the current position under English law, the work challenges as outmoded and inadequate the virtual dogma that a holding company is not answerable for the debts of its insolvent subsidiaries. The study identifies four separate and distinct types of behavioural practices within corporate groups which may prejudice the interests of external creditors or otherwise constitute an abuse of the corporate form; the subservient subsidiary situation; the inadequately financed subsidiary situation; the integrated economic enterprise situation; and the group persona situation. After weighing the various arguments for and against a change in the law and concluding that reform is called for, the study proceeds to submit some radical proposals for reform. The basic thrust of the reform proposals is that in a number of well-defined situations entity law should give way to an enterprise analysis and holding company liability should be imposed for the debts of insolvent subsidiaries.

Book Synopsis State Holding Companies and Public Enterprises in Transition by : Anjali Kumar
Download or read book State Holding Companies and Public Enterprises in Transition written by Anjali Kumar and published by Springer. This book was released on 2016-07-27 with total page 315 pages. Available in PDF, EPUB and Kindle. Book excerpt: '...very valuable for both policy-makers and researchers...' Professor Athar Hussain, Director, Development Economics Research Programme, STICERD, The London School of Economics and Political Science 'The really novel idea is to bring together the experience of three rather diverse countries and then to discuss Eastern Europe in the light of this experience. State holding companies are likely to play a major role in Eastern Europe over the next ten years or more but very little has been written on them and few of the people advising the East Europeans have any real knowledge about them.' Professor Robert Rowthorn, University of Cambridge '...rich and substantial...' Professor John Toye, Institute of Development Studies, University of Sussex '...most informative...The conclusions are appropriately restrained, well-balanced and wise...The emphasis on the differences between portfolio management and enterprise management is a distinction that East Europe will eventually have to learn.' Raymond Vernon, Emeritus Professor, John F.Kennedy School of Government, Harvard University Large and poorly performing state-owned enterprises pose a problem for countries attempting to move away from government controls towards more liberal economic environments. Privatization is an unproven solution which is proving difficult to implement on a major scale. Intermediate solutions may therefore prove to be the way forward. This book focuses on one of these: the state holding company. It first discusses the state holding company as a managerial form, which permits decentralised public enterprise management, and offers a framework for its analysis. Then, drawing upon the experience of both developed and developing countries, it examines the extent to which the indirect state ownership of public enterprises through holding companies can contribute to transition processes. It shows that the experience of countries like Italy, Egypt and Algeria has direct relevance for institutional structures evolving in the newly transforming countries of Eastern Europe, which are struggling to find a balance between public enterprise ownership and efficiency.
