Governance is broken down into its foundation and action dimension resulting in four governance parameters: trust /norms and informal control representing relational governance; contract and formal control reflecting contractual governance. Drawing on the lenses of punctuated equilibrium and biological interaction, we examine both incremental and disruptive change along our four governance parameters. The findings from four longitudinal IS outsourcing projects suggest that incremental changes are driven by interactions between governance parameters. We found three basic patterns of interaction between governance parameters (mutualism, commensalism, competition) that explain incremental changes. In contrast, disruptive governance changes during revolutions are driven by stark contextual changes. However, interactions during equilibriums may lead to self-perpetuating dynamics that may detract governance from basic outsourcing objectives. Revolutions may break these self-perpetuating dynamics and redirect governance to basic objectives.

Indeed, most outsourcing suppliers have delivered IT operational and business process innovation to client firms; however, achieving strategic innovation through outsourcing has been perceived to be far more challenging. Building on the growing interest in the IS outsourcing literature, this paper seeks to advance our understanding of the role that relational and contractual governance plays in achieving strategic innovation through outsourcing. We hypothesized and tested empirically the relationship between the quality of client-supplier relationships and the likelihood of achieving strategic innovation, and the interaction effect of different contract types, such as fixed-price, time and materials, partnership and their combinations. Results from a pan-European survey of 248 large firms suggest that high-quality relationships between clients and suppliers may indeed help achieve strategic innovation through outsourcing. However, within the spectrum of various outsourcing contracts, only the partnership contract, when included in the client contract portfolio alongside either fixed-price, time and materials or their combination, presents a significant positive effect on relational governance and is likely to strengthen the positive effect of the quality of client-supplier relationships on strategic innovation. Book excerpt: While the dominance of Information Technology Outsourcing (ito) as a sourcing strategy would seem to indicate successful and well-informed practice, frequent examples of unraveled engagements highlight the associated risks. Successful instances of outsourcing suggest that governance mechanisms effectively manage the related risks. This dissertation consists of three related essays; the first studies the risky, and therefore interesting, practice of asset transfer, while the next two essays examine complementary mechanisms to mitigate the risk of outsourcing. Before proceeding with the formal analyses, I first present a brief overview of the industry structure and draw out critical issues. From examples of failed outsourcing engagements, I summarize the salient governance issues and the role of contracts in successful governance. Asset Transfer, a common element in ito, amplifies the inherent challenges associated with outsourcing by placing both parties in a situation of bilateral dependence. Resource Based View and Property Rights Theory offer rationales for this risky practice; however, either theory by itself offers incomplete predictions on the suitability of an asset for transfer. Therefore, in my first essay, I propose a framework that combines the predictions of both theories to describe candidate assets for transfer. I test this using two well-regarded cases in outsourcing. In the next chapter, I address the central role of asset transfer and contract structure in outsourcing. I develop a theoretical framework to derive propositions on how contracts mitigate this risk of opportunistic behavior. Using econometric analysis, I compare ito contracts that include asset transfer to those that do not. I show that contract design is significantly affected by asset transfer. Further, I find that several clauses complement each other in protecting both parties against the risks associated with asset transfer. Prior research has established that "relational" governance complements formal contractual governance. However, both rely on stringent assumptions about the mechanism of enforcement. In my final essay, I propose a third alternative based on a firm's position in an inter-organizational network of trading partners. This network acts as a conduit for the exchange of information on the trade relationship. A centrally located firm is more widely observed and as a result, its position in the network is likely to serve as an implicit deterrence to opportunistic behavior. Based on a large dataset of public ito announcements, I find that being associated with central trading partners is likely to predict longer contract duration even after controlling for a number of alternate causal explanations. However, there is evidence that an increasing part of outsourcing activities mix hierarchies with market forms of governance. The key argument of this paper is that firms have established governance structures based on markets, hierarchies and self-enforcing relational contracts so that they are able to keep a substantial amount of control despite of sourcing out labour. Furthermore, we argue that such hierarchical forms of outsourcing produce dependency. Using empirical evidence of the Austrian insurance industry, it is demonstrated that dependency is created, firstly, by the contractual restriction of alternative uses of resources, secondly, by support measures that bind the upstream party closely to the downstream party, thirdly, by relationship-specific investments made by the upstream party, and fourthly, by authority elements.

To better understand the relationships between contractual and relational governance, we conducted a qualitative review and meta-analysis of the existing literature. Meta-analytic results from 33,051 interorganizational relationships across 149 empirical studies have indicated that contractual governance is positively related to both sides of relational governance -- trust and relational norms. Our results have also indicated that contracts, trust, and relational norms jointly improve satisfaction and relationship performance and jointly reduce opportunism. These findings provide strong evidence for the complementarity arguments of the contractual-relational governance relationships and their joint impacts on performance. We also found that the mutual relationships between contractual and relational governance are moderated by the institutional environments, the interorganizational relationship type and length, and the construct measurement of contracts. Overall, this study provides new insights on when contractual and relational governance complement or substitute each other. We discuss the implications of our study for theory and practice and propose a research agenda for future research on governance in interorganizational relationships.
