Available in PDF, EPUB and Kindle. Book excerpt: The field of taxation of employee and executive compensation is complex, dynamic and ever-changing. CCH's U.S. Master Compensation Tax Guide unravels the complexity and explains in clear and concise language this critical area, providing practical and comprehensive guidance. The Guide covers the complicated compensation tax topic in a comprehensive yet practical, straightforward fashion that readers value and appreciate. The U.S. Master Compensation Tax Guide fills a void left by other works on executive and employee compensation, which primarily cover qualified plans and deferred compensation, by covering all of the common forms of compensation including salary, bonuses, fringe benefits (e.g., health and accident plans and cafeteria plans), qualified deferred compensation (e.g., pensions and profit-sharing plans), and nonqualified deferred compensation (e.g., rabbi trusts and restricted stock plans).

Available in PDF, EPUB and Kindle. Book excerpt: The company is under-performing, its share price is trailing, and the CEO gets...a multi-million-dollar raise. This story is familiar, for good reason: as this book clearly demonstrates, structural flaws in corporate governance have produced widespread distortions in executive pay. Pay without Performance presents a disconcerting portrait of managers' influence over their own pay--and of a governance system that must fundamentally change if firms are to be managed in the interest of shareholders. Lucian Bebchuk and Jesse Fried demonstrate that corporate boards have persistently failed to negotiate at arm's length with the executives they are meant to oversee. They give a richly detailed account of how pay practices--from option plans to retirement benefits--have decoupled compensation from performance and have camouflaged both the amount and performance-insensitivity of pay. Executives' unwonted influence over their compensation has hurt shareholders by increasing pay levels and, even more importantly, by leading to practices that dilute and distort managers' incentives. This book identifies basic problems with our current reliance on boards as guardians of shareholder interests. And the solution, the authors argue, is not merely to make these boards more independent of executives as recent reforms attempt to do. Rather, boards should also be made more dependent on shareholders by eliminating the arrangements that entrench directors and insulate them from their shareholders. A powerful critique of executive compensation and corporate governance, Pay without Performance points the way to restoring corporate integrity and improving corporate performance.

Available in PDF, EPUB and Kindle. Book excerpt: A Practical Guide to Section 409A is new book published by CCH and written by attorney Michael Falk, a partner at Winston & Strawn LLP and frequent lecturer on Section 409A. The book helps you avoid violating Section 409A (and infuriating individual executives) by explaining the purposes and concerns of Section 409A and discussing how to design around Section 409A where possible and how to comply with Section 409A where necessary. Section 409A of the Internal Revenue Code is currently one the most complicated and far-reaching laws in the area of employee benefits and executive compensation. Enacted effective January 1, 2005, Section 409A was originally intended to regulate the tax treatment of "nonqualified deferred compensation arrangements" and prohibit several perceived abuses that were highlighted in the wake of Enron. But after several hundred pages of technical guidance from the government, Section 409A now reaches far beyond traditional nonqualified deferred compensation and implicates many common designs in employment agreements, severance agreements, and equity compensation arrangements. All service providers are potentially subject to Section 409A -- whether services are provided to public or private companies, partnerships, etc. -- and failure to comply with Section 409A results in the individual who defers compensation (i.e., the employee, director, etc.) incurring significant tax consequences, including immediate income taxes and significant penalties. The book will discuss, among other things: -- The landscape before Section 409A and some of the practices perceived by the government as abusive -- The scope of "nonqualified deferred compensation" as defined by Section 409A and its exceptions -- The technical rules of Section 409A related to when an election to defer compensation must be made and wh

Book excerpt: ESO have been praised as innovative compensation plans that help align the interests of the employees with those of the shareholders. They have also been condemned as schemes to enrich insiders and avoid co. taxes. The tax code recognizes two types of ESO, "qualified" and non-qualified. Qualified options include "incentive stock options," which are limited to $100,000/yr. for any one employee, and "employee stock purchase plans," which are limited to $25,000/yr. for any employee. This report explains the "book-tax gap" as it relates to ESO and S. 2075. U.S. bus. are subject to a dual reporting system. The "book-tax" gap is the excess of reported accounting income over taxable income. Illus. A print on demand report.
