This thesis adds to this growing field of interest by developing an IS outsourcing relationship framework in the form of a process model. Three rather disjointed areas of research, namely contractual governance, relational norms, and control, have been set in a common context by interrelating them as the three main governance modes that jointly influence the relationship. One in-depth case study has been conducted in order to provide first empirical evidence and to gain deeper insights into the dynamics of relationship governance. The proposed model could be confirmed in general, revealing the following insights: first, contractual and relational governance modes determine the rules that govern the relationship while control is used to execute and enforce specified rules. All three jointly influence the state of the relationship. Second, relational norms have only been observed at an individual level and not at an organizational one. Third, formal control modes have been used to execute and enforce relational norms. This finding contradicts current control theory. Fourth, while contractual and relational governance are seen as complementary and equally important, relational norms have been left completely unmanaged in the observed organization due to a lack of adequate approaches. Book excerpt: While the dominance of Information Technology Outsourcing (ito) as a sourcing strategy would seem to indicate successful and well-informed practice, frequent examples of unraveled engagements highlight the associated risks. Successful instances of outsourcing suggest that governance mechanisms effectively manage the related risks. This dissertation consists of three related essays; the first studies the risky, and therefore interesting, practice of asset transfer, while the next two essays examine complementary mechanisms to mitigate the risk of outsourcing. Before proceeding with the formal analyses, I first present a brief overview of the industry structure and draw out critical issues. From examples of failed outsourcing engagements, I summarize the salient governance issues and the role of contracts in successful governance. Asset Transfer, a common element in ito, amplifies the inherent challenges associated with outsourcing by placing both parties in a situation of bilateral dependence. Resource Based View and Property Rights Theory offer rationales for this risky practice; however, either theory by itself offers incomplete predictions on the suitability of an asset for transfer. Therefore, in my first essay, I propose a framework that combines the predictions of both theories to describe candidate assets for transfer. I test this using two well-regarded cases in outsourcing. In the next chapter, I address the central role of asset transfer and contract structure in outsourcing. I develop a theoretical framework to derive propositions on how contracts mitigate this risk of opportunistic behavior. Using econometric analysis, I compare ito contracts that include asset transfer to those that do not. I show that contract design is significantly affected by asset transfer. Further, I find that several clauses complement each other in protecting both parties against the risks associated with asset transfer. Prior research has established that "relational" governance complements formal contractual governance. However, both rely on stringent assumptions about the mechanism of enforcement. In my final essay, I propose a third alternative based on a firm's position in an inter-organizational network of trading partners. This network acts as a conduit for the exchange of information on the trade relationship. A centrally located firm is more widely observed and as a result, its position in the network is likely to serve as an implicit deterrence to opportunistic behavior. Based on a large dataset of public ito announcements, I find that being associated with central trading partners is likely to predict longer contract duration even after controlling for a number of alternate causal explanations. Prior IT outsourcing research, informed by economic theory, has generally focused on contracts; outsourcers are advised to craft a contract specifying in detail all aspects of the relationship. In addition, outsourcers are advised to outsource only those elements of the IT function which are easily monitored. Many current outsourcing relationships seem to be at odds with this advice; companies are outsourcing IT elements subject to substantial monitoring uncertainty. In addition, the size and scope of some of these relationships creates a complexity which adds to monitoring difficulties. Our research tries to identify the governance level control mechanisms dyads employ to establish partnerships despite the presence of a substantial degree of uncertainty.

Companies that establish successful outsourcing implement active relationship management in order to reach a good relationship quality. However, relationship quality as a central concept in IT outsourcing governance has not been thoroughly analyzed and applied yet, neither in scientific literature nor in practice. Stefan Blumenberg addresses these shortcomings and shows how relationship quality can be measured as a seven-dimensional construct and which are the crucial factors that are required to achieve high-quality relationships. Based on a case study series with 18 banks and their respective IT service providers in Germany, Blumenberg demonstrates that knowledge transfer mechanisms strongly influence relationship quality. Banks with clearly defined contact structures (e.g. retained organizations) and knowledge transfer mechanisms for exchanging implicit and explicit knowledge (e.g. trainings, job rotation) exhibit a good relationship quality and, as a result, achieve a successful outsourcing relationship.
