Book excerpt: The protection of investors is a preeminent goal of federal securities regulation in the United States, yet a basic question about investor protection has been all but ignored: what harms are securities regulations intended to protect investors from? This Article seeks to answer this basic question. The four distinct, but related, harms from which securities regulations might be intended to protect investors are: 1) fraud, 2) an unlevel informational playing field, 3) the extraction of private benefits from the firm by firm insiders, and 4) investors' propensity to make unwise investment decisions. Concern about each of these harms was a significant factor when the federal securities statutes were first enacted, and these concerns continue to influence securities regulation policy-making today. What benefits are provided by identifying the particular harms which underlie investor protection concerns? The JOBS Act offers an opportunity to address this question. Three features of the JOBS Act are analyzed: 1) provisions that create a new category of public issuer, the emerging growth company, 2) provisions that permit the public solicitation of investors in conjunction with Rule 506 offerings, and 3) provisions that make it easier for firms to avoid federal periodic disclosure obligations. Each of these JOBS Act provisions are analyzed from the perspective of the particular harms securities regulations might protect investors from. Carrying out this analysis generates several important new ideas about how to improve the JOBS Act. These findings illustrate how a better understanding of the harms to investors that underlie investor protection concerns can improve securities regulation policy-making.

This paper offers a review of the Act, delving into its historical background, purpose, and important titles. Title II amends Rule 506 of Regulation D to lift the prohibition of general solicitation and general advertising. Title III enables "equity crowdfunding", a novel and controversial fundraising method. These two titles expand capital formation channels to both accredited investors and to the "ordinary American investor". The struggle to strike the optimal balance between efficient capital formation and strong investor protection animates both Title II and Title III provisions as well as rule-making by the Securities and Exchange Commission. This paper offers four qualities that characterize the "ideal JOBS Act startup": 1) a smaller capital requirement; 2) a shorter timeline for success and product development; 3) a simple fundamental idea and business model; and 4) the elusive human element.

Book excerpt: In an effort to increase the availability of small business start-up capital, Congress recently created a new type of exempt offering under the Securities Act of 1933, colloquially referred to as “Crowdfunding.” Touting this new equity scheme as a rational modernization of capital formation, both Congress and the Securities and Exchange Commission (SEC) have characterized the new law as striking a fair balance between investor protection and the capital formation requirements of small business entities. However, using a detailed analysis of historical statutory precedent, this paper reveals a strong bias that favors exempt issuers of securities at the expense of investor protections. Through a combination of apparent oversight, ambitious regulatory implementation, and a failure to fully comprehend the nature of modern communications, this new exemption makes wide room for the most vulnerable class of investors to participate in some of the riskiest business ventures imaginable. However, the research also demonstrates that, with very modest changes, this new scheme could easily achieve a balance between the capital needs of small businesses and the protection of investors that more closely aligns with the original intention of the Securities Act.
