All transfers of Stock shall be made in writing, in books to'be kept by the Secretary for that purpose, either in person or by Attorney. Whenever any Stockholder shall transfer the whole of the stock owned by him after certificates shall have been issued, he shall surrender to the Secretary his certificate to be cancelled and filed away, and a new certificate Shall be issued to his assignee but if a less number Of shares be assigned than the whole number specified in the certificate, then the said certificate shall be produced and cancelled, and new certificates issued therefor.
