For the well ordering of the affairs of said bank, there shall be seven directors, all Of whom shall be residents of this state, and five of them residents of the town Of Torrington, who shall be elected annually by the stockholders in general meet ing. And none but stockholders, owning at least ten shares of the capital stock of said bank, shall be eligible as directors. At the first meeting after each election the directors shall choose one Of their number for president; and whenever the place Of president or director shall become vacant, by resigna tion or otherwise, the same may be supplied by the board Of directors for the remainder of the year.
