Book excerpt: Alexis Papathanassis postulates that ICS ought to be treated as a complex and demanding management process and that it should be acknowledged as a key enabler of merger value realization. The application of his "Post-merger information and communication systems framework" (POMICS) on a real-life post-merger integration situation in a tourism company serves as a validation and as an illustration of the framework's potential value. It also gives valuable insights into some of the key questions facing the entire tourism sector today.

Book excerpt: Although post-merger integration (PMI) in management control systems (MCSs) is a key determinant of successful corporate mergers and acquisitions (M&As), it has not attracted due academic attention because the existing case studies on PMI is are highly concentrated on integration in terms of human resources and corporate cultures. In this study, we analyze the issues, solutions, and implementation of PMI tasks in MCSs at each phase of a cross-border merger from the perspective of the organization, and employees, policies and procedures, reporting, communication and monitoring, and information technology. Our case study has several implications for PMI in MCSs. First, expedited completion of PMI in MCSs is necessary because it is equivalent to structuring the a monitoring system of for overall management and PMI task processes at the acquired firm. Second, setting the extent of managerial discretion at the acquired firm is a prerequisite for the effective installation of MCSs. Lastly, in order to minimize merger risks, a PMI-dedicated business division must be designated in the an early phase and executed with due diligence.

Book excerpt: Seminar paper from the year 2010 in the subject Business economics - Investment and Finance, grade: 1,7, University of Applied Sciences Berlin, language: English, abstract: Today's economy is shaped by globalization with market conditions changing rapidly and com-petition growing in many areas. In order to stay competitive, in every region of the world very often companies try to merge with other companies from either within their own market or from other regions or markets. Mergers and acquisitions (M&A), the term itself is used for diverse kinds of cooperation between companies, received a lot of public attention during the past dec-ades as several major M&A transactions have been effected. Although during the current worldwide economic struggles the global M&A transaction volume declined, expansion through M&As remains a central corporate growth strategy tool. To merge companies successfully, integration and harmonization processes which require a lot of attention and resources are very important in order to align the previously separate compa-nies' operations, strategies and culture. As only very few M&A transactions generate satisfying results and achieve their strategic and financial objectives, subject of this paper is to determine the requirements for successful post merger integration. After describing the range of motives for companies to engage in M&A, I will explain the challenges and the importance of post merger integration management (PMI) and provide guidelines how it can contribute to make a M&A transaction a success.

We need imagination now more than ever—to find new opportunities, rethink our businesses, and discover paths to growth. Yet too many companies have lost their ability to imagine. What is this mysterious capacity? How does imagination work? And how can organizations keep it alive and harness it in a systematic way? The Imagination Machine answers these questions and more. Drawing on the experience and insights of CEOs across several industries, as well as lessons from neuroscience, computer science, psychology, and philosophy, Martin Reeves of Boston Consulting Group's Henderson Institute and Jack Fuller, an expert in neuroscience, provide a fascinating look into the mechanics of imagination and lay out a process for creating ideas and bringing them to life: The Seduction: How to open yourself up to surprises The Idea: How to generate new ideas The Collision: How to rethink your idea based on real-world feedback The Epidemic: How to spread an evolving idea to others The New Ordinary: How to turn your novel idea into an accepted reality The Encore: How to repeat the process—again and again. Imagination is one of the least understood but most crucial ingredients of success. It's what makes the difference between an incremental change and the kinds of pivots and paradigm shifts that are essential to transformation—especially during a crisis. The Imagination Machine is the guide you need to demystify and operationalize this powerful human capacity, to inject new life into your company, and to head into unknown territory with the right tools at your disposal.

Available in PDF, EPUB and Kindle. Book excerpt: Master's Thesis from the year 2003 in the subject Business economics - Business Management, Corporate Governance, grade: 1,0 (A), University of Applied Sciences Ludwigshafen (IMC-MBA), language: English, abstract: When corporations are merging a tendency towards standardisation of organisations, processes and systems arises. Mergers of companies also lead to a concentration of increasingly larger trusts and holdings. Still the corporation is supposed to remain unmistakable and unique in order to preserve its attractiveness for customers, employees, suppliers, investors, in short, for a network of stakeholders. Only corporate identity (CI) has the efficiency range required to address and reach all these groups whose needs have to be considered. This present work examines the concept of corporate identity, its application in the corporate environment, and the opportunities for the targeted and strategic steering under the background of mergers and acquisitions. The goal is to develop a concept and an approach how to start working on corporate identity and to set interventions during the postmerger process to support a successful integration. For the reasons of the different meanings and the different understanding of the terms 'Corporate Identity' and 'Mergers & Acquisitions' (M&A) the present work develops both a structural model for the analysis of the individual components of corporate identity and a phase model for the configuration of integration. Based on this analysis the contexts of effects between and the opportunities for influencing the individual dimensions of CI are proven within the scope of postmerger integration (PMI), and instruments for the targeted impact and steering are represented. The validity of the elaborated approach of CI management within the framework of PMI is examined within the frame of two case studies of the two largest telecommunication companies presently operating in Germany. Activities are deducted from the results of the secondary analysis and from the empirical studies and are summarised in terms of a CIoriented model of procedure for postmerger integration optimised for success.

Book excerpt: Most firms of a certain size will turn to Mergers & Acquisitions in their search for growth, forcing almost all managers to face up to the challenge of integration at some point in their career. For many managers it is often their first and only time, and M&A integration is high on the list of things that many managers need to learn more about. According to many studies, 50 to 75% M&A transactions fail to deliver their expected value. One of the main reasons for failure is late or wrong integration, or bad integration management. There is a significant demand for more information on best practice in Post-Merger Integration. This book intends to equip those managers for the task... Danny A. Davis demonstrates how to handle the post-merger integration process and show how to restructure, consolidate, reduce costs, create efficiencies and perform M&A, from smaller transactions to mega-mergers. The focus is on integration planning and delivery. The book combines a general/strategic view with detailed information on how to actually conduct M&A Integration via very practical tools and check lists that will prove essential during pre-deal M&A integration planning and Post deal delivery, as well as to ensure their success.

Although the statistic says that failed mergers are many more than those being successful, some success stories such as those from ABB, Chemical/Manufacturer’s Hanover, Bank of America/Schwab or GE Capital show that successfully managing corporate performance after a merger process is not only possible but also highly rewarding for those companies managing to do it. Therefore in this assignment we will try to give an answer to the following questions: Why some merger processes are not successful while some others are? What are the differences between them? What are the causes?

Book excerpt: Although Mergers and Acquisitions are common, no merger is termed as successful until post merger integration is successful. During M & A, two companies that function uniquely are fused together, and the Information Technology group is expected to consolidate two different systems efficiently. This integration should be well-executed, and without any disruption to business or customers. Every merger is different, and can have innumerable reasons for failure, ranging from poor implementation strategies to cultural or attitudinal problems. One of the reasons, many Post-Merger Integration activities fail, is due to the Information Technology complexity and inadequacy to address the issues, it brings to the table. This thesis aims at studying the importance of post-merger Information Technology (IT) integration and developing an IT strategy for the integration. There are no scientific guidelines laid out for a post-merger IT integration and each company employs its own methods. Hence the author has researched and developed a post-merger IT integration framework that can give definitive approach and assist in seamless integration. This framework includes practices that can be followed for a smooth IT transition and checklist to ensure successful integration. Lastly the author presents two cases of M & A that illustrate the importance of IT integration, namely, Sallie Mae- USA Group and HP-Compaq. Sallie Mae & USA Group was a huge success due to its successful IT integration implementation while HP-Compaq merger was a disappointment for the lack of understanding the importance of IT integration. From these two cases, the author has also derived the usefulness of the proposed framework. Author has also presented another case of Oracle-Sun merger, which does an analysis of the IT integration carried out by the two companies. It would not be unwise to say, that IT plays an ever increasing pervasive role in today's organizations, hence a successful merger demands successful IT integration.

Book excerpt: As a first step towards applying Enterprise Architecture Management (EAM) in Mergers and Acquisitions (M&A), Andreas Freitag investigates the end-to-end applicability of business capabilities in the M&A process of a corporate buyer organization. Enterprises still struggle to manage M&A efficiently. A significant number of merger projects do not reach the expected goals or fail completely. Therefore, companies attempt to improve their M&A capability by establishing the required skills, organization, processes and methods. EAM is an approach for business and IT planning, promising to contribute to the success of business transformation challenges such as M&A. Business capability models are an essential element of a state of the art EAM approach. They are frequently used as a starting point to work collaboratively with business and IT stakeholders.

Available in PDF, EPUB and Kindle. Book excerpt: Communication is the key to organisational success and nowhere is this truism more apparent than in the influence of internal communication during a transformational process as dramatic as a merger or acquisition. During the complex process of bringing the two sets of employees together, continuous effort is crucial for keeping in touch with how people feel; communicating information clearly across both bidder and target; and beginning the process of creating a new culture for the merged company. Communication is vital, but information on what to do when and how to overcome, or at least minimise, the practical problems inherent in trying to communicate at a time when there is often little news, and when so much must remain confidential is essential. Employee Communication During Mergers and Acquisitions provides a blueprint for your internal communication during a merger or acquisition, it contains checklists, examples and tables to help busy communication and integration teams by providing them with practical guidance and examples of what they should consider. The authors start with the genesis of your strategy and the statutory framework before the partner company has been identified, then move on to each of the stages of negotiation, merger announcement, pre-merger preparation, and in the critical first 100 days, following the merger. The book includes chapters exploring the process of developing the employer brand for the new entity as well as of measuring and building on the success of your strategy and is illustrated throughout by a range of case studies.
