Book excerpt: [Résumé en français] La notion de qualité des banques libanaises est placée depuis plusieurs années au cœur des préoccupations et de l'organisation du système bancaire. A partir de cette notion, notre démarche consiste à comprendre pourquoi les organisations bancaires au Liban ont intérêt à introduire des démarches qualité et des démarches certification. Cependant, dans leur démarche actuelle, elles sont confrontées à plusieurs risques et déceptions parce que les coûts de leurs démarches sont élevés. Un changement managérial sera alors nécessaire. Nous nous demandons: quelles sont leurs pratiques stratégiques et quels outils de gestion et de pilotage à utiliser. Nous partons de l'hypothèse selon laquelle l'utilisation des outils de l'analyse socio-économique contribue à améliorer la performance de ces établissements bancaires et leur capacité à concilier les démarches qualité et la réduction des coûts. Après avoir positionné ces organisations et identifié leurs particularités de fonctionnement et de management, la thèse identifie les caractéristiques des dysfonctionnements qui apparaissent actuellement surtout avec la conjoncture économique que traverse le pays et la culture dépassée qui était le fruit de la guerre civile qu'a traversé le Liban. Nous mettons en évidence la menace que perçoivent ces organisations dans le contexte actuel, et l'effet du type du management affectif qui régit les établissements bancaires, et de fait la prise de conscience de la nécessité du changement par un management innovant qui fait un apport de proactivité. Depuis des années, un des buts principaux des économistes du monde est de trouver une formule universelle pour protéger les entreprises contre la corruption, les fraudes et la mauvaise gestion des rôles des actionnaires et des PDG. Toutes leurs recherches étaient concentrées autour d'un seul terme : "la gouvernance des entreprises". Dans une entreprise, ce n'est pas facile de séparer les rôles et les intérêts des dirigeants de celui des propriétaires, c'est pourquoi il fallait définir les principes de comportement pour assurer une conduite stratégique et une direction efficace du conseil d'administration, des actionnaires, et des deux ensemble vis-à-vis des directeurs, des employés et des clients de la société. Au Liban, le ministère des finances a signé un accord avec l'Association Libanaise pour la Promotion de la Transparence LTA pour orienter, organiser et encourager l'adoption de la mise en oeuvre d'une bonne gouvernance d'entreprise dans les secteurs publics et bancaires. Les banques ont leurs propres règlements administratifs qui fonctionnent sous les lois constitutionnelles imposées par la Banque du Liban. Dans ce mémoire, nous allons définir le principe d'une bonne gouvernance d'entreprise puis considérer la situation du secteur bancaire au Liban face aux facteurs socio-économiques, et la manière de protéger ce secteur en appliquant les règles de la LTA, celles recommandées par la Banque Centrale et les associations bancaires. Enfin, nous allons observer l'emploi de la gouvernance d'entreprise de la banque BLC avant de conclure que c'est une bonne gouvernance qui applique la plupart des lois recommandées par les accords bancaires locaux et internationaux.

We evaluate a broad field of research by introducing a general framework for a profit maximizing bank and demonstrate how different types of models can be fitted into this framework. Next, we present an overview of the current major trends in European banking and relate them to each model's assumptions, thereby shedding light on the relevance, timeliness and shelf life of the different models. This way, we arrive at a set of recommendations for a future research agenda. We advocate a more prominent role for output prices, and suggest a modification of the intermediation approach. We also suggest ways to more clearly distinguish between market power and effciency, and explain why we need time-dependent models. Finally, we propose the application of existing models to different size classes and sub-markets. Throughout we emphasize the benefits from applying several, complementary models to overcome the identification problems that we observe in individual models.

When they are, why do they often fail to generate development outcomes such as security, growth, and equity? And why do some bad policies endure? World Development Report 2017: Governance and the Law addresses these fundamental questions, which are at the heart of development. Policy making and policy implementation do not occur in a vacuum. Rather, they take place in complex political and social settings, in which individuals and groups with unequal power interact within changing rules as they pursue conflicting interests. The process of these interactions is what this Report calls governance, and the space in which these interactions take place, the policy arena. The capacity of actors to commit and their willingness to cooperate and coordinate to achieve socially desirable goals are what matter for effectiveness. However, who bargains, who is excluded, and what barriers block entry to the policy arena determine the selection and implementation of policies and, consequently, their impact on development outcomes. Exclusion, capture, and clientelism are manifestations of power asymmetries that lead to failures to achieve security, growth, and equity. The distribution of power in society is partly determined by history. Yet, there is room for positive change. This Report reveals that governance can mitigate, even overcome, power asymmetries to bring about more effective policy interventions that achieve sustainable improvements in security, growth, and equity. This happens by shifting the incentives of those with power, reshaping their preferences in favor of good outcomes, and taking into account the interests of previously excluded participants. These changes can come about through bargains among elites and greater citizen engagement, as well as by international actors supporting rules that strengthen coalitions for reform.

Instead, criminalization of illicit enrichment continues to generate extensive debate and controversy. Against this background, this volume aims to provide an analysis of how illicit enrichment works, and attempts to shed light on any contributions that it has made to the fight against corruption and the recovery of stolen assets. Rather than delving into the theoretical and academic debates around illicit enrichment, this study focuses primarily on the analysis of current practice, case law, and existing literature to offer a new perspective to the on-going discussions. More specifically, the volume addresses the legal framework upon which the concept of illicit enrichment rests, and the resulting policy implications of that legal framework. It also focuses on illicit enrichment as an anti-corruption mechanism, from its roots as a response to the problems inherent to prosecutions involving corruption, to an examination of elements and inchoate offenses relating to illicit enrichment under international conventions. It examines illicit enrichment jurisprudence in the global context. An extensive survey was carried out to determine the countries where the offense exists, what form it takes, how often it is used, and for countries where it doesn't, what other measures are used in its place. The authors neither recommend nor oppose the adoption of illicit enrichment provisions, but rather aim to assist jurisdictions considering such steps by highlighting key questions that might arise during implementation, including how the offense is defined and enforced domestically by States. Similarly, the authors do not endorse nor criticize any practice carried out by States in the implementation of the criminalization of illicit enrichment. Ultimately, it is also hoped that this study provides a basis for further discussion amongst policy makers and practitioners, and fuels upcoming discussions by the Conference of State parties of the UNCAC and its Working Groups
