Available in PDF, EPUB and Kindle. Book excerpt: During the 1990s, corporate governance became a hot issue in all of the advanced economies. For decades, major business corporations had reinvested earnings and developed long-term relations with their labour forces as they expanded the scale and scope of their operations. As a result, these corporations had made themselves central to resource allocation and economic performance in the national economies in which they had evolved. Then, beginning in the 1980s and picking up momentum in the 1990s, came the contests for corporate control. Previously silent stockholders, now empowered by institutional investors, demanded that corporations be run to 'maximize shareholder value'. In this highly original book, Mary O'Sullivan provides a critical analysis of the theoretical foundations for this principle of corporate governance and for the alternative perspective that corporations should be run in the interests of 'stakeholders'. She embeds her arguments on the relation between corporate governance and economic performance in historical accounts of the dynamics of corporate growth in the United States and Germany over the course of the twentieth century. O'Sullivan explains the emergence–and consequences–of 'maximizing shareholder value' as a principle of corporate governance in the United States over the past two decades, and provides unique insights into the contests for corporate control that have unfolded in Germany over the past few years.

Available in PDF, EPUB and Kindle. Book excerpt: Strategy is becoming more 'open' - more transparent and more inclusive. Opening Strategy tells the story of how corporate strategists and strategy consultants have worked since the middle of the last century to open up the strategy process. First strategic planning, then strategic management, and now 'open strategy' have all brought more people into the strategy process and provided more strategic information, for the benefit of both business and society at large. Informed by interviews with corporate strategists and consultants at leading firms such as General Electric and McKinsey & Co, and drawing on the historical archives of strategy's pioneers, this book provides vivid insights into the trials and tribulations of practice change in the strategy profession. Above all, it stresses the hard work of the little recognized and sometimes eccentric individuals who have been leaders in practice change. By building on a wide range of illustrations, covering both successes and failures, the book draws out general lessons for practice innovation in strategy. Those studying the topic will be able to set standard strategy techniques in historical and social context and develop new areas for investigation, while practising executives and consultants should gain a sense of how to innovate in strategy - and how not to.

Book excerpt: This book analyzes the determinants and effectiveness of corporate governance in an integrated model drawing on contingency theory and employing structural equation modeling (SEM). Business competition as an environmental factor and strategy as an organizational factor are important determinants of corporate governance, while organizational performance and earnings quality are two dimensions of its effectiveness. This book focuses on the relationship between corporate governance and earnings management, and shows that corporate governance is effective in improving earnings quality and reducing accounting and governance risks. The authors also question the relation between corporate governance and company performance and present results of their analysis in this book.

Available in PDF, EPUB and Kindle. Book excerpt: Since the beginning of the 2000s, important changes in external environments have affected the corporate governance practices of firms all around the world. The corporate governance structure in each country develops in response to country-specific factors and conditions. Firms are currently engaged in a variety of dynamic business relationships such as business networks, strategic alliances, and conglomerates especially in high technology sectors. Strategy, Structure and Corporate Governance by Nabyla Daidj, proposes to analyze the main trends and drivers of change in corporate governance of several kinds of organizations: - Large conglomerates. The development of large and complex conglomerate organizations have played an important role in the economy in Japan but also in other countries such as Korea with chaebols, which can be defined as closely intertwined industrial groupings. - Inter-firms networks (districts, clusters etc.); and, - 'Recent' forms of inter-firms networks (business ecosystems). The author examines several case studies and shows how shifts in markets and global competition are reconfiguring transactions within these organizations and are impacting corporate governance systems.

Book excerpt: This book examines the international growth and diversification of real estate advisory services in the United States, the United Kingdom, Germany and Japan since 1960. The book explains how successful firms develop competitive advantages in the global marketplace. An evaluation of forty prominent firms (ten from each country) provides a comparative reference for a detailed analysis of the growth and internationalization of four major real estate advisory service firms (one from each country). The firms have responded in many ways to changes in international real estate investment, and their fortunes have varied accordingly. The analysis provides factual evidence demonstrating growth strategies that enable a firm to become a successful real estate advisory service in today's global economy.

Available in PDF, EPUB and Kindle. Book excerpt: A new version of capitalism, grounded in technology and science, is spawning new forms of corporate power and organization that will have major implications for the twenty-first century. Technological creativity is thereby turned into a commodity in new corporate regimes that are primarily oriented toward research and intellectual appropriation. This phenomenon is likely to have major social, economic, and political consequences, as the new corporatism becomes ever more intrusive and rapacious through its control over technology and innovation. In his provocative book Technocapitalism, Luis Suarez-Villa addresses this phenomenon from the perspective of radical political economy and social criticism. Grounded in the premise that relations of power influence how human creativity and technology are exploited by the new corporatism, the author argues that new forms of democratic participation and resistance are needed, if the social pathologies created by this new version of capitalism are to be checked. Considering the new sectors affected by technocapitalism, such as biotechnology, nanotechnology, bioinformatics, and genomics, Suarez-Villa deciphers the common threads of power and organization that drive their corporatization. These new sectors, and the corporate apparatus set up to extract profit and power through them, are imposing standards, creating business models, molding social governance, and influencing social relations at all levels. The new reality they create is likely to affect most every aspect of human existence, including work, health, life, and nature itself.
