Available in PDF, EPUB and Kindle. Book excerpt: Joint Venture Learning to Cooperate and Cooperating to Learn Joint venture management is a demanding and continuous process of organizing, guiding and developing, not only within the joint venture itself but also within the partner companies. Relationships between each side will change over time and problems can arise at different stages of development. An essential part of joint venture management consists of monitoring these stages, anticipating possible difficulties and avoiding them by applying appropriate measures in the areas of strategy, structure, human resources and culture. Using a range of international cases from top multinational companies, the authors present an effective model for implementing a successful joint venture management strategy. This is an essential book for practitioners in strategic planning, business professionals interested in entering joint ventures, as well as academics and students of international business. "This book offers valuable insights into how to make joint ventures work, both for practitioners and researchers. It represents a true step forward when it comes to better understanding how joint ventures function. The book significantly links joint ventures to present thinking on organizational learning and demonstrates more effectively than has been discussed elsewhere how the two fit together." Professor Peter Lorange President of IMD (International Institute for Management Development) "In our joint ventures we always look for strong complementarity with our partners. This book enlarges the traditional view of cooperation by delivering new and valuable insights into processes of interorganizational learning and knowledge management. The authors share with their readers a thoughtful toolbox built on practical experience." Franz Nawratil Chairman and CEO Hewlett-Packard Europe "Joint ventures have become an important business tool for market entry, use of synergies and innovations. Too many joint ventures are dissolved before the actual potential of these organizations have been capitalized. This book highlights the key factors of success in joint venture management by focusing on strategy development, structuring, cultural awareness and human resource management." M & A Review

This book was released on 2007-03-20 with total page 465 pages. Available in PDF, EPUB and Kindle. Book excerpt: Previous research on the institutional structure of franchising networks (Bri- ley et al. 1991; Lutz 1995; Shane 1998; Lafontaine and Shaw 1999, 2005; - fuso 2002; Penard et al. 2003a,b) does not explain the governance structure of the franchising firm as an institutional entity that consists of two interrelated parts: Residual decision rights and ownership rights. The latter includes not only residual income rights of franchised outlets but also residual income rights of franchisor-owned outlets. Previous studies primarily examines the incentive, signalling and screening effects of fees, royalties and other contractual pro- sions from the point of view of organizational economics (see Dnes 1996 for a review) without taking into account the interactions between residual decision and residual income rights as interrelated parts of the governance structure. This paper fills this gap in the literature. According to the property rights view, de- sion rights should be allocated according to the distribution of intangible kno- edge assets between the franchisor and franchisee and ownership rights should be assigned according to the residual decision rights. Since ownership rights are diluted in franchising networks, the dilution of residual income rights of fr- chised outlets is compensated by residual income rights of company-owned o- lets. Under a dual ownership structure, company-owned outlets compensate the disincentive effect of low royalties for the franchisor, and low royalties strengthen the investment incentives for the franchisee.

Available in PDF, EPUB and Kindle. Book excerpt: Strategic Business Alliances examines key issues in the analysis, management and performance of international joint ventures using a sample of UK European equity joint ventures. The authors consider the viewpoint of all configurations of the international joint venture UK parent, European parent and joint venture management. Factors discussed include motives for formation, partner selection criteria, joint venture management, and control and performance, all of which have been identified in the literature as the core dimensions of joint venture activity. The book also explores the emerging issue of learning in strategic alliances, as well as the sensitive question of cultural differences in the mix of factors that surround the complexities of modern international joint ventures. Empirical evidence examined by the authors suggests that learning and cultural differences are vital elements in the operation and performance of these ventures. Given that inter-firm collaborative activity in an increasingly globalised world economy is a crucial aspect of the strategy of many firms, this book will be invaluable to students, researchers and academics with an interest in international business and strategic management. Managers and practitioners who require insight into the core dimensions of international joint venture activity will also find this book very useful.

Available in PDF, EPUB and Kindle. Book excerpt: Joint ventures have become a common vehicle for companies to create strategic alliances with partners that have complementary capabilities and resources, fostering opportunities to exploit distribution channels, technology, or finance in ways not available to the sole partners. Simply put, in a joint venture, two or more parent companies agree to pool defined capital, technology, human resources, risks, and rewards in the formation of a distinct entity under shared control. The complexities of such an arrangement are magnified when the project embraces more than one jurisdiction. In this special issue of the Comparative Law Yearbook of International Business, practitioners who have specialized in domestic and cross border joint venture formations report on their respective jurisdictions as well as particular cross border issues. The volume provides national reports on Brazil, Bulgaria, Chile, China, Cyprus, the Czech Republic, Greece, India, Italy, Japan, Kuwait, Lebanon, The Philippines, Romania, Trinidad and Tobago, Turkey, and Vietnam. European competition law relative to joint ventures, taxation issues in The Netherlands, and governing law also are treated.
