Book excerpt: Then Frank said something that changed my life-one of the first things he'd said in years that truly made sense to me. "Maybe you should start your own business, Chuck." He shrugged his shoulders and toyed with the closely shaved hair at his temples, the only hair remaining on his otherwise balding skull. "You're sharp, a great writer, great creative guy. You've led teams here a number of times and people seem to like you." My dread turned to confusion, even mild irritation. "Start my own business? How? I don't have any real savings, I don't manufacture anything, I don't know the first thing about running a company " I stopped as Frank put up his hand to interrupt. "Your greatest adversary is the man in the mirror." What Charlie didn't realize as he was losing his job was the amazing opportunity ahead of him. His time was now! Charlie had always dreamed of running his own business, being his own boss, and finally getting paid for his effort. In the following months Charlie built his business foundation from the ground up. Marketing, accounting, manufacturing, franchising and financing are just some of the topics Charlie tackles in his pursuit of the perfect business plan. Join Charlie on his journey of selecting a business and learn how his principles can help you in selecting your business. Now, it's my turn to challenge you-what's keeping you from starting your own business? Fear of failure? A lack of funds? No expertise? Let me tell you YOUR TIME IS NOW!

Book excerpt: Start-up businesses usually incur losses in the beginning. Forming them as Limited Liability Companies (LLCs) treated as partnerships for income tax purposes allows investors to deduct their share of losses on their tax returns. Although angel investors may prefer to invest in start-ups formed as Delaware corporations, an LLC may be converted into a corporation after its initial years. You have an obligation to structure the legal form of your business the best way possible to protect your investors' LLC interests from their creditors. This book contains an Operating Agreement for LLCs organized under Wyoming law, which has one of the best asset protection laws for limited liability companies and their investors, with exclusive charging order rules that allow the members keep control of the LLC. In addition, specific provisions of the Operating Agreement are designed to maintain control by members in case of involuntary transfers resulting from creditors liens, divorce or legal separation agreements or termination of domestic partner or common law spouse relationships. Using a separate series of Units for each group of outside investors allows different terms to be negotiated with them. A sliding formula adjusts the percentage of profits of the founders as additional investors become members. Drag-along rights are provided to protect non-voting members if a change of control occurs. Provisions also give the LLC and/or its members an option to buy back the economic interest of a member subject to an involuntary transfer at a discount, payable with favorable terms. The form in this book is based on Wyoming law, its provisions are complex and should not be used for an LLC organized in another state. Professional legal counsel is a must. While this book is intended for educational purposes, it may be of assistance to the reader's legal counsel in drafting an operating agreement for an LLC with outside investors. The book is copyrighted and registered with the United States Copyright Office. The form in this book is available in Word for licensing as a prototype for use by a single LLC and allows unlimited editing and tailoring to your particular situation.

Book excerpt: As businesses grow, owners find themselves wondering if they should upgrade their legal structure to something more sophisticated, such as a limited liability company or a corporation. The question is, "Which one?" The answer isn't always clear -- but because your choice will affect the legal and tax status of your business, it's the most important question you'll answer. LLC or Corporation? will help you make the right choice with plain-English explanations of: • the basics of business entities • how each business entity protects you from personal liability • profits, losses and tax treatment • converting from one type of business entity to another • what to do if you conduct business out of state Making the right choice will affect your bottom line in many ways -- from what you pay for taxes, to your ability to seek money from investors. The book also provides conversion and formation scenarios that provide a real-world look at all the options available to you. This book is not really just for those starting a business. It's actually aimed at anyone already in business who wants to determine if they should convert—for example—from a partnership to an LLC or from a sole proprietorship to a corporation. The 2nd edition includes the latest laws regarding business structures, as well as new tips on taxes.
