L’étude du formalisme contractuel met en relief quelques grands principes du droit. Il s’agit notamment du principe de consentement, du principe d’autonomie de la volonté, du principe de consensualisme et du principe de manifestation de volonté. On ne saurait comprendre valablement le sens du formalisme sans au préalable démontrer ses relations avec ces grands principes de droit. Il est intéressant aussi de voir le comportement de la jurisprudence face à cette notion. En cette matière la jurisprudence a une position ambivalente. Tantôt elle consacre le formalisme dans ses décisions, tantôt elle l’écarte. Cette position de la jurisprudence s’explique par la protection de la partie supposée faible. Après avoir défini cette notion et mis en exergue la position de la jurisprudence, il est intéressant de considérer ses effets. Lorsque le contrat est conclu selon les formes exigées par la loi, il produit les effets souhaités. Ces effets varient selon que le rédacteur est un professionnel de droit doté de la puissance publique ou simplement un professionnel juriste. Cette étude est importante car elle permet de préciser la place exacte du formalisme. Elle permet aussi de démontrer la protection qu’offre le contrat aux parties sensées être faibles. Le formalisme est donc un instrument de l’équilibre contractuel.

Book excerpt: Conformément à de nombreuses législations particulières, adoptées pour l’essentiel à partir des années nonante (loi sur les pratiques du commerce, loi sur le crédit à la consommation, loi sur le contrat de voyage, etc.), diverses exigences de forme – écrit, mentions, signature, exemplaires multiples, etc. – doivent être accomplies au cours du processus contractuel dans le but de protéger l’une des parties, supposée en position de faiblesse. L’ouvrage propose une analyse transversale de ces exigences. Après les avoir identifiées précisément, par référence à leurs finalités, il apporte des réponses aux diverses questions qu’elles posent en pratique, pour leur application et leur sanction. Des difficultés peuvent en effet être rencontrées au moment de les articuler, dans la mesure où leurs conditions d’application sont convergentes. Il convient d’opter pour une application cumulative (toutes les formes doivent être observées) ou exclusive (l’une des formes, à défaut de l’autre, doit être respectée). Dans ce dernier cas, des règles de priorité doivent être suivies, pour identifier la formalité à appliquer. De même, avec le développement des technologies de l’information et de la communication s’est posée la question de savoir comment accomplir valablement les formes prescrites dans l’environnement numérique sachant que, pour la plupart, ces exigences étaient étroitement liées à la culture du papier. Lorsque les formes de protection de la partie faible ont été violées, des sanctions civiles, pénales ou administratives sont expressément prévues par les législations retenues. On constate néanmoins que, dans certains cas, il faut se fonder sur la théorie générale des obligations pour sanctionner civilement l’inobservation des formes. Ces sanctions et leurs régimes respectifs (qui peut demander son application ? quels moyens de défense peuvent être invoqués ? etc.) sont analysés en profondeur. L’auteur défend l’idée que, pour résoudre les difficultés rencontrées, il convient de se fonder sur les finalités des règles de forme. Cette approche permet également de formuler des propositions de lege ferenda, pour une meilleure utilisation du formalisme par le législateur (sont concernés le choix des formes et leur application dans les environnements traditionnel et numérique) et pour sanctionner son inobservation avec la plus grande efficacité.
