Constitutive d’un enjeu du contrat, l’efficience demeure, de fait, à la marge du droit. Mais cela ne signifie pas pour autant que le juge ne puisse s’y référer ponctuellement et utilement dans sa démarche d’interprétation du contrat ou lorsqu’il s’agit de contrôler la légitimité du comportement des parties. Cela étant, cette possibilité demeure insuffisante à faire du concept un élément généralement intégré au raisonnement juridique. En revanche, le concept d’efficience stratégique du contrat apparaît davantage comme un objectif essentiel et déterminant du contenu contractuel, lorsqu’il est envisagé du point de vue des parties et dans l’exercice de leur liberté contractuelle. En ce sens, le développement contemporain de la technique contractuelle a fait apparaître des outils juridiques de plus en plus affinés, visant à introduire au contrat plus de flexibilité mais aussi de sécurité au regard des enjeux stratégiques et faisant de l’édifice contractuel un instrument véritablement performant.
