La controverse relative à l'existence de l'obligation de donner en est l'illustration la plus éclatante. Ces difficultés, qui justifient une nouvelle étude de l'acquisition dérivée, sont liées au fait que le transfert est un point de rencontre du droit des biens et du droit des obligations, de l'acte juridique et de la propriété. L'acquisition dérivée de la propriété, qui s'oppose à l'acquisition originaire, peut en effet être définie comme l'acquisition consécutive à une aliénation, c'est-à-dire à une renonciation volontaire à sa qualité de propriétaire au profit de l'acquéreur. La volonté de l'aliénateur réunit ainsi deux éléments : la décision de rompre le rapport d'appartenance entre le propriétaire et sa chose et la désignation par le maître de la chose de son successeur. Cette renonciation in favorem, critère de l'acquisition dérivée, est également la clé de son mécanisme. Elle constitue l’objet de l’obligation de donner, obligation par laquelle le débiteur est tenu de renoncer à sa qualité de propriétaire au profit du créancier. L’obligation de donner présente ainsi la particularité d’être exécutée par un acte juridique unilatéral qui ne se confond pas avec l’acte juridique, unilatéral (legs) ou conventionnel (vente, location, contrat d'entreprise,...) qui lui a donné naissance. Cette décomposition du mécanisme de l’acquisition permet ainsi d’entreprendre une nouvelle présentation des modalités d’exécution de l’obligation de donner, du traitement de son inexécution ainsi que de ses effets (sur les risques et sur les droits).
