Book excerpt: En organisant la transparence des relations commerciales entre fournisseurs et distributeurs, les rédacteurs de l'ordonnance du 1er décembre 1986 ne se sont pas limités à établir certaines règles relatives à la communication des conditions générales de vente. Ils ont organisé une véritable " procédure " de formation et de négociation des contrats entre professionnels. La fonction de la transparence est de discipliner les contrats conclus entre acheteurs et vendeurs afin de préserver l'effectivité et l'efficacité du jeu de la concurrence. Sa raison d'être est de résoudre le paradoxe fondamental de l'ordre juridique concurrentiel selon lequel le contrat est à la fois le moteur essentiel de la concurrence et le principal vecteur de son dysfonctionnement. Partant, il serait faux de tenir les dispositions relatives à la communication des conditions de vente pour des règles essentiellement protectrices des intérêts particuliers des concurrents tant elles sont liées à une transparence tarifaire choisie comme politique d'organisation de notre économie. En exigeant que les contrats se forment sur la base des seules conditions de vente, l'ordonnance de 1986 a institué une véritable police des rapports contractuels en raison de l'interpénétration des logiques contractuelle et concurrentielle. La généralisation d'un impératif de transparence lors de la période de formation de nombreux contrats qui apparaissent tous comme les éléments " constitutifs " des marchés permet d'accréditer l'idée selon laquelle la transparence constitue un instrument de conciliation de la liberté contractuelle et de la liberté de la concurrence. Elle ne vise les rapports contractuels qu'en tant qu'ils rejaillissent sur la concurrence. Ces dispositions appartiennent à un ordre public de direction économique " positif " dans la mesure où elles dictent aux cocontractants une " procédure " à respecter dans l'établissement de leurs relations. Cette procédure favorise la mise en œuvre d'un ordre public " prohibitif " constitué tant par le droit des pratiques anticoncurrentielles que par celui des pratiques restrictives de concurrence. La transparence se situe donc en amont des prohibitions essentielles du droit de la concurrence. Elle permet de mettre l'accent non seulement sur le jeu " horizontal " de la concurrence, mais encore sur sa " construction ", sur son " organisation " verticale par le contrat.

This significant legislative output, however, does not take place in a vacuum. Rules of private international law have been earlier (and still are) adopted at national, international and even European level in scattered regulations and directives. The recent plethora of private international law rules gives rise to issues of delineation and calls for some sort of ordering as gaps, overlaps and contradictions become flagrant. At the same time, the resulting interactions can offer new insight, ideas and even opportunities at a more theoretical level. This book gathers a collection of essays resulting out of a series of international seminars held in Lyon, Barcelona and Louvain-la-Neuve.
