Il lavoro è suddiviso in cinque parti: - Prima parte - volta ad esaminare la multiforme funzione del capitale alla luce dei più recenti orientamenti dottrinali e normativi - Seconda parte - dedicata all’esame, ordinatamente suddiviso tra s.p.a. ed s.r.l. , delle riduzioni “volontarie” con approfondimenti dedicati alla rilevanza degli interessi coinvolti , al bilanciamento tra interesse della società a consentire il disinvestimento, quello dei creditori ad opporvisi , e quello dei soci a conseguire i rimborsi del capitale o la liberazione dall’obbligo a conferire nel rispetto della “parità di trattamento” - Terza parte - dedicata alle ipotesi della riduzione nominale per effetto delle perdite con un ampio approfondimento della nozione di perdita sia in termini contabili che giuridici. - Quanrta parte - indirizzata alla disamina delle analoghe problematiche delle riduzioni del capitale nelle società di persone e dei modelli cooperativi. - Quinta parte - esamina le ipotesi di riduzioni difficilmente riconducibili alla tradizionale suddivisione della riduzione reale o nominale, tra cui in particolare le riduzioni conseguenti al recesso o all’esclusione del socio (da s.r.l.), ovvero alla riduzione del capitale sociale di s.p.a. in caso di “revisione” dei conferimenti . Inoltre specifica attenzione è stata dedicata alla disciplina della rilevanza delle riduzioni in pendenza di prestiti obbligazionari nelle s.p.a. . L’analisi riguarda la riduzione del capitale oltre che nelle società per azioni anche nelle società di persone e nelle cooperative. But some changes provoke more attention than others, in part due to the vast uncertainty involved in making predictions about the future. The 2019 World Development Report will study how the nature of work is changing as a result of advances in technology today. Technological progress disrupts existing systems. A new social contract is needed to smooth the transition and guard against rising inequality. Significant investments in human capital throughout a person’s lifecycle are vital to this effort. If workers are to stay competitive against machines they need to train or retool existing skills. A social protection system that includes a minimum basic level of protection for workers and citizens can complement new forms of employment. Improved private sector policies to encourage startup activity and competition can help countries compete in the digital age. Governments also need to ensure that firms pay their fair share of taxes, in part to fund this new social contract. The 2019 World Development Report presents an analysis of these issues based upon the available evidence.
