Après plusieurs " petites " révisions, dont la dernière est entrée en vigueur le 1er janvier 2008, une nouvelle réforme d'envergure est annoncée. Celle-ci a pour objectifs essentiels de renforcer la transparence en améliorant notamment le droit aux renseignements. Le pouvoir de contrôle de l'assemblée générale sur la rémunération des membres du conseil d'administration ainsi que sur certaines décisions de celui-ci doit également être renforcé. Les dispositions existantes du Code des obligations relatives au gouvernement d'entreprise sont complétées par de nouvelles règles, relatives notamment aux modalités de l'élection des membres du conseil d'administration et à la gestion des conflits d'intérêts. Les modalités de l'assemblée générale sont également adaptées à l'influence croissante que prennent les réseaux informatiques dans le monde des affaires (assemblée multi-sites, assemblée virtuelle, etc.). Le système de la représentation des droits de vote au sein de l'assemblée est aussi rendu plus strict. D'autres innovations concernent la valeur nominale de l'action, l'augmentation et la réduction du capital, avec l'introduction d'une " marge de fluctuation " du capital, ainsi que le capital-participation. Les règles comptables sont entièrement révisées et auront pour vocation, selon la tendance moderne, à s'appliquer en fonction de l'importance économique de l'entreprise et non de la forme juridique de la société. Enfin, dans le domaine de la responsabilité, une proposition vise à limiter celle de l'organe de révision. A l'occasion d' une journée d'étude organisée par le CEDIDAC, quelques-uns des meilleurs spécialistes du domaine se sont penchés sur l'avant-projet de révision alors mis en consultation. Le projet, paru entre-temps, a été pris en compte dans la mesure nécessaire.

The analyses presented move beyond conventional images and discourses of Nordic gender- and women-friendliness by critically investigating how and to what extent gender equality serves nation-branding in the Nordic region. Nation-branding is an unescapable part of globalisation, which is a market-oriented process dominated by the West and predicated on the creation of winners and losers. Hence, efforts to strengthen the national brand or reputation of specific Nordic countries with the aid of gender equality as a political and symbolic value inevitably help to reinforce already established global hierarchies where the Nordics play the role of moral superpower. This book comprises scholars from various fields of specialisation, and provides evidence and understanding for the growing interaction between gender-equality policies and nation-branding in all five Nordic countries. It does so by exploring a variety of policy fields and issues including women’s rights, foreign policy, rape and legislation, female quotas and business policies, in addition to the index industry. The rise of the global indexes has reproduced forceful images of the Nordic countries as frontrunners of gender equality, which indeed help the Nordic countries to further position themselves as ‘best at being good’. On relevera cependant une lacune majeure: l'omission de toute documentation concernant la Relance europeenne amorcee en juin 1955, a Messine, par la Con ference des six ministres des affaires Hrangeres des Etats mem bres de la Communaute Europeenne du Charbon et de I' Acier et les negociations ulterieures de Bruxelles en vue de l'etablissement du Marche commun et de I'Euratom. Etant donne que ces nego ciations Haient encore en cours au moment ou ce volume a He mis sous presse, i1 a semble preferable d'attendre leur conclusion et d'en donner un aperc;u plus complet dans le volume IV.
