Pero, a pesar de su amplia utilización, este término resulta confuso, con frecuencia, incluso para el profesional no financiero debido a que su protagonismo se ha impuesto sin analizar en profundidad sus implicaciones, tanto favorables, por su capacidad para estimular la creación de riqueza, como adversas, por exagerar el beneficio del accionista y de sus gestores. El peligro de esta ideología reside en que, por la limitación de su alcance y los intereses de quienes la aplican, derive en un fundamentalismo que ignore otros aspectos relevantes para crear riqueza y repartirla, y que provoque el beneficio de unos colectivos a costa de otros. Frente al objetivo de atender simultáneamente los intereses de todos los partícipes de la empresa, propugna que se antepongan los de sus accionistas. Un elemento adicional de este enfoque de gestión persigue motivar a los gestores para que se esfuercen en crear valor para el accionista, para lo que propone que su retribución dependa de dicha creación del valor. Esta ideología ha sido cuestionada desde su aparición debido a que desequilibra los complejos intereses que conviven en las organizaciones y a los numerosos escándalos publicados sobre su puesta en práctica, probablemente muy inferiores a los no publicados. Las causas de estas críticas obedecen, por un lado, a que no se ha analizado suficientemente la diferencia entre crear riqueza, en general, y crear valor para el accionista, lo que provoca que el beneficio del accionista se pueda obtener a costa de otros grupos de interés de la empresa. Por otro, también surgen problemas al aplicar este sistema de gestión debido a que no todos los accionistas participan igual del valor creado. Los denominados accionistas de control &−quienes detentan el poder para administrar la empresa incluso con una participación societaria reducida&− pueden apropiarse de más valor que los minoritarios, puesto que son quienes deciden el reparto de la riqueza creada, fijan su propia retribución y pueden realizar transacciones que les beneficien. Todo ello justifica abrir el debate sobre la validez de este objetivo y de cómo aplicarlo, en el que participen en plano de igualdad todos los involucrados. Este debate debe revisar los mecanismos válidos para crear riqueza y los criterios para medirla y repartirla entre los partícipes de la empresa y para retribuir a sus administradores, con el objetivo de evitar los problemas surgidos y evitar los que puedan aparecer en el futuro.
