Book excerpt: There are many indications that the twentieth century will be the `Asian century', with several countries there approaching rapid and sustained economic development, fuelled by neighbouring investor countries. This book provides the ultimate manual for investors interested in setting up a joint venture in the Far East, and presents the legal nuts and bolts of that process with respect to Japan, South Korea, Taiwan, China, Indonesia, the Philippines and Thailand. A final item argues persuasively for alternatives to traditional dispute resolution methods, and will greatly assist drafting of such contracts. Matters addressed systematically are: the selection of a J.V. vehicle, control of a J.V. company, tax incentives, acquisition of real property, government authorizations, legal procedures for termination, and legal status of dispute resolution methods. This book presents the work of the IBA's Committee on Business Organizations, convened in Hong Kong in 1991. The considerable experience brought to bear on this subject by leading international legal practitioners renders this work an invaluable tool for the investor in the 1990s and beyond.

Book excerpt: DENNIS CAMPBELL AND MARK MILLER Introduction Within the last decade, there has been significant expansion in both the frequency and quantity of direct foreign investment by Western countries and multinational 1 corporations (MNC's) in the forni of joint ventures in Eastern Europe. These joint ventures, as well as other forms of mutual-cooperation trade arrangements, represent positive evidence of the increasing enthusiasm towards East-West trans actions now found on both sides of the European frontier. The spirit with which Western governments and business interests have sought to expand involvement in the East European market has been well documented. However, there has been relatively little attention paid to the extremely important internal changes which have come about within the foreign-trade policies of the Eastern European coun tries and which have served to accommodate the growth of trade with the West. This dramatic increase in direct foreign investment in the form of joint ventures results primarily from the passage of enabling legislation in a number of the East European states, legislation which has facilitated and attracted business invest ment from the West. Thus, it is opportune to examine and review the policy reforms and amendments which have been enacted in Eastern Europe and the Western responses thereto. As a preliminary matter, the term 'joint venture', as well as other mechanisms for foreign investment as used here, should be defined and distinguished.

Available in PDF, EPUB and Kindle. Book excerpt: Joint ventures have become a common vehicle for companies to create strategic alliances with partners that have complementary capabilities and resources, fostering opportunities to exploit distribution channels, technology, or finance in ways not available to the sole partners. Simply put, in a joint venture, two or more parent companies agree to pool defined capital, technology, human resources, risks, and rewards in the formation of a distinct entity under shared control. The complexities of such an arrangement are magnified when the project embraces more than one jurisdiction. In this special issue of the Comparative Law Yearbook of International Business, practitioners who have specialized in domestic and cross border joint venture formations report on their respective jurisdictions as well as particular cross border issues. The volume provides national reports on Brazil, Bulgaria, Chile, China, Cyprus, the Czech Republic, Greece, India, Italy, Japan, Kuwait, Lebanon, The Philippines, Romania, Trinidad & Tobago, Turkey, and Vietnam. European competition law relative to joint ventures, taxation issues in The Netherlands, and governing law also are treated.

The necessary documentation and clauses have been developed from the regular practices of other international lawyers all over the world. Legal custom has been the guiding hand with less reliance on legal theory. But the two - custom and theory - must complement one another. 0In this substantially revised third edition of a popular text, an American lawyer with over 40 years’ experience in a European capital provides in clear, straightforward simple language, with multiple forms and clauses, the practice and indispensable theory necessary to ensure a successful orientation for the international practitioner.0Practical solutions to the recurring problems joint ventures present between partners, with over 100 sample clauses, are presented in understandable, yet technically precise language. All aspects of counseling an international joint venture are reviewed and discussed, ranging from formation, documentation, capital structure, basic clauses, minority interests, squeeze-out maneuvers, managing the joint venture, due diligence, termination problems and procedures to a closing, all amply illustrated with forms and clauses and their relevance. 0Moreover, the third edition offers expert insights into complex areas of international joint ventures such as the shareholders’ agreement, minority rights, squeeze-out maneuvers, and management problems.
