Cooper reflected upon the trend toward increasing economic interdependence in the international community: During the past decade there has been a strong trend toward economic interdependence among the industrial countries. This growing interdependence makes the successful pursuit of national economic objectives much more difficult. Broadly speaking, increas ing interdependence complicates the pursuit of national objectives in three ways. First, it increases the number and magnitude of the disturbances to which each country's balance of payments is subjected, and this in turn diverts policy attention and instruments of policy to the restoration of external balance. Second, it slows down the process by which national authorities, each acting on its own, are able to reach their domestic objectives. Third, the response to greater integration can involve the community of nations in counter-acting motions which leave all countries worse off than they need be . . . J Nothing has occured in the 1970s to suggest that Cooper's assessment is inaccurate. Indeed, the process which he identified has accelerated. By the mid-1970s, if one is to mention but one example, exports accounted for twenty per cent of the combined gross national product of the Member States of the European Communities, and exports provided seven per cent of the 2 gross national product of the United States.

A further two chapters treat employment and labor matters relating to distribution and commercial representation, indemnity upon termination, and processing personal data in the employment context of Hungary. Book excerpt: The 2004 volume of the Comparative Law Yearbook of International Business contains a wide variety of topics of interest to international commercial lawyers and their clients. Various areas of company law are discussed, including mergers and acquisitions, piercing the corporate veil and the financing of share acquisitions. The Yearbook also contains several chapters on investments and securities, including the need for corporate governance in this area and the role of collective investment schemes in Bermuda. Some chapters deal with the introduction of now technology into the competition law issues encountered by the telecommunications industry. The introduction and effects of new legislation generally are also addressed, including the new Ukrainian Commercial Code and Brazilian Civil Code. In addition to discussions on intellectual property, arbitration and asset protection, the Yearbook contains a section on real property rights, including a very interesting comparison between the way in which China and Indonesia view property rights and the treatment received by such rights in Western society. Various areas of law also are looked at from a European point of view, such as the increase in American-style asbestos litigation in Europe, the hiring out of workers within Europe and the effect of the European Convention on Human Rights upon business. With the ever-increasing introduction of new technology, the expansion of global communications, new attitudes towards business and commerce and increased awareness of personal and property rights, there is a constant need for the law to develop in order to adequately deal with these issues. The yearbook branches out into some of the innovative and topical areas of contemporary law, and should be of great interest to anyone involved in modern-day business.

Book excerpt: The Yearbook offers an important forum for legal practitioners to address and compare practical legal issues of direct interest to their areas of specialisation. Each volume features a comprehensive range of articles written for and by leading practitioners and advisers working within the international business sector. The topics covered in Volume 17, the new volume for 1995, range from the ethical issues for lawyers involved in cross-border transactions to insider trading. Several of the chapters make reference to the growing European Union (EU), with one chapter focusing particularly on the free movement of goods throughout the EU's Member States. Competition within the EU is also dealt with, the provisions of Articles 85 and 86 of the Treaty of Rome being of particular relevance due to the large amount of recent case law in this area. There is a large section dealing with company law matters, including the emergence and development of new types of corporation, privatization and the westernization of companies in countries such as China. The recovery of monies and the enforcement of judgments in this respect are always issues of high priority in business. The volume thus discusses these matters in a separate section on `Debt Recovery'. The remainder of the book is divided into parts dealing with finance and mergers and acquisitions, together with a general commercial law section. The Comparative Law Yearbook of International Business has been prepared by specialist practitioners from all corners of the world for the use of international business lawyers and their clients.

Book excerpt: Joint ventures have become a common vehicle for companies to create strategic alliances with partners that have complementary capabilities and resources, fostering opportunities to exploit distribution channels, technology, or finance in ways not available to the sole partners. Simply put, in a joint venture, two or more parent companies agree to pool defined capital, technology, human resources, risks, and rewards in the formation of a distinct entity under shared control. The complexities of such an arrangement are magnified when the project embraces more than one jurisdiction. In this special issue of the Comparative Law Yearbook of International Business, practitioners who have specialized in domestic and cross border joint venture formations report on their respective jurisdictions as well as particular cross border issues. The volume provides national reports on Brazil, Bulgaria, Chile, China, Cyprus, the Czech Republic, Greece, India, Italy, Japan, Kuwait, Lebanon, The Philippines, Romania, Trinidad and Tobago, Turkey, and Vietnam. European competition law relative to joint ventures, taxation issues in The Netherlands, and governing law also are treated.

Available in PDF, EPUB and Kindle. Book excerpt: No one denies that globalization has had a transformative effect on how business is done across the world. The process of globalization should ultimately lead to a world economy in which commercial transactions, trade in products and services, and the means by which crossborder business is done is broadly guided by bilateral and ultilateral agreements. However, that process is not yet complete, and the laws that impact crossborder business continue to be found in national legal systems. Perhaps all nations are impacted, at least to some degree, by crossborder commerce and investment, and it is commercial law - in large part, national in origin - that governs the environment in which such transactions take place. Thus, this special issue of the Comparative Law Yearbook provides a sampling of recent developments in commercial law in selected legal systems. Practitioners from Bangladesh, Canada, Colombia, Costa Rica, Germany, Mexico, Nigeria, Romania, Sweden, Switzerland, Turkey, and the United Kingdom offer their comments on developments in their respective countries.
