Book excerpt: The landscape of shareholder dispute resolution in Hong Kong has changed vastly since the launch of the Civil Justice Reform in 2009. Key initiatives - the voluntary court-connected scheme and reform of the statutory unfair prejudice provisions - were employed to promote the greater use of alternative dispute resolution (ADR) in shareholder disputes. While the Hong Kong government and judiciary introduced such schemes to prove the legitimacy of extra-judicial over court-based litigation processes, their success is still uncertain. In this book, socio-legal theory and sociological institutionalism are used to develop a theoretical framework for analyzing the key stages of institutionalization. The author analyzes how procedural innovations could acquire legitimacy through different types of legal and non-legal inducement mechanisms within the institutionalization process. Recommendations on codifying and innovating ADR policy in Hong Kong shareholder disputes are also made with comparison to similar policies in the United Kingdom, South Africa and New Zealand.

Book excerpt: The decision to engage in corporate social action (CSA), and the debates regarding its costs, benefits and implications to corporate performance represent a demanding issue for scholars and managers. Research is inconclusive regarding the causal relations between CSA, corporate social performance (CSP) and corporate financial performance (CFP), despite numerous empirical and theoretical studies devoted to the issue. This book presents an in-depth study of corporate social action and the factors influencing a decision to engage in it. Going beyond the causal relationship between CSA and firm performance, the book stresses the link between CSA and a firm's core managerial policies and practices, reflecting the complexity and varied facets of CSA and the numerous internal and external factors that influence its outcomes. The book draws on the experiences of various industrial sectors to reveal the importance of a range of issues such as top management pay dispersion and ownership structure, which may influence the firm's decision to engage in CSA. It also explores some of the external influences on firms, such as institutional norms, the geopolitical environment and the industrial sector. The first part of the book provides an overview of the thematic issues of CSA and performance. The second part presents a series of empirical studies that examine factors and determinants of CSA. The third part presents case studies to illustrate the processes and outcomes of CSA policy and strategy in environmentally hazardous industries.

Book excerpt: The pursuit for better governance has assumed center stage in developmental discourse as well as reform initiatives of all organizations working for the public welfare, and includes such issues as service delivery and responding to citizens’ needs and demands. In the era of globalization, multilevel and new modes of governance are changing the traditional governance models of nation states, accelerated by technological innovation, rising citizen expectation, policy intervention from international and multilateral donor communities, and the hegemony of western ideology imposed on many developing nations. However, a universally accepted and agreed upon definition of 'governance’ still remains elusive. There is no consensus or agreement as to what would be the nature and form of governance and public administration. The question that is raised: Is there a universal governance mechanism that fits in all contexts or governance mechanisms should be based on home grown ideas? One can see various programs and policies of reforms and reorganizations in public administration in the developing countries, but these efforts have not been effective to address the challenging issues of economic development, employment generation, poverty reduction, ensuring equality of access to public services, maintaining fairness and equity, security and safety of citizens, social cohesion, democratic institution building, ensuring broader participation in the decision making process, and improving the quality of life. Therefore, there is a widespread concern for better governance or sound governance to bridge the gap between theory and practice, making this book of interest to academics as well as policy-makers in global public administration.

Available in PDF, EPUB and Kindle. Book excerpt: Most books about corporate governance are written for a Western audience. The Boardroom, however, takes a different approach to leadership development by emphasizing the unique socio-cultural and judicial features as well as idiosyncratic board structures in Asia, particularly in an Indonesian context. The principles of good corporate governance are accepted across borders, but the implementation and translation of transparency, fairness, accountability, and responsibility can differ quite distinctly from one country to another. Amidst global competitive turbulence, socio-economic volatility, and geopolitical uncertainty, The Boardroom analyses how Asian boardroom leaders steer organizations and how boards can be more effective. Boardmembers - appointed and entrusted by their owners - are guardians with a fiduciary duty to safeguard an organization and prepare it for a viable and sustainable future. Business managers, investors, academics, students and those interested in doing business in Asia will benefit from The Boardroom’s practical insights and recommendations to improve corporate governance and strengthen competitive advantage. "The Boardroom" - a book written by my predecessor Dr Tanri Abeng and his co-author Prof. Dr. Peter Verhezen who both combine practical experience and academic in-depth research - gives a good overview of what can and should be expected from a board. The authors describe the generic accepted governance principles, but rightfully claim the need to translate them into specific rules and regulations that make sense for Indonesian and other Asian companies. Erick Thohir, The Minister of State-Owned Enterprises of the Republic of Indonesia Understanding the dynamics of successful organizations is like being on a quest. It probably never ends. Organizations are open and social systems that cannot be managed or governed using simple theories and recipes. Hence, this book invites you to start your own leadership journey and become more mindful of your role in the functioning of a company. Prof. Dr. Koen Vandenbempt, Dean of the Faculty of Business & Economics at the University of Antwerp, Belgium
