The conference was jointly organised by the German Federal Ministry of Finance, the Centre for European Economic Research (ZEW), Mannheim, and the Max Planck Institute (MPI) for Intellectual Property, Competition and Tax Law, Munich. More than 250 participants from all over Europe and other regions, scholars, politicians, business people and tax administrators, discussed the Eu- pean Commission’s proposal to establish a CCCTB. Three panels of tax experts evaluated the common tax base with respect to structural elements, consolidation, allocation, international aspects and administration. The conference made clear that the CCCTB has the potential to overcome some of the most intriguing problems of corporate income taxation within the Common Market. Common tax accounting rules substantially reduce compliance and administrative costs. Consolidation of a group’s profits and losses effects cro- border loss compensation which removes a major tax obstacle for European cro- border investment. At the same time, tax planning with respect to financing and transfer pricing is pushed back within the European Union. Moreover, as far as the CCCTB applies, member states are able to remove tax provisions that are targeted at cross border tax evasion and that might be challenged by the jurisdiction of the Eu- pean Court of Justice.

Book excerpt: Inhaltsangabe:Abstract: This paper deals with the valuation of property in a global context and discusses contemporary and evolving issues that might affect property valuation standards and practice in Germany and in the United Kingdom. It shows the need, the development and the growing acceptance of International Valuations Standards (IVS) published by the International Valuations Standards Committee and identifies valuations for financial reporting as the key driving force behind the ambition of harmonising valuation standards. Additionally, the major differences between valuation standards and practice in Germany and the UK are examined, the interrelationship between and the discussion about three concurring set of standards (namely Red Book, Blue Book and White Book) is presented and the importance of Market Value as the central underlying definition of value is highlighted. Then the parallel development of International Accounting Standards (IAS) and their adoption within the European Union from 2005 onwards is explained and it is shown that this reinforces the position and the acceptance of IVS. Furthermore, the major differences between IAS, German and UK Generally Accepted Accounting Practice regarding the treatment of real estate are shown and the possible consequences for the valuation of fixed assets are derived. Also the New Basel Capital Accord (Basel II) which determines the way how banks have to allocate capital is identified as another area of interest for the valuation profession. For this reason the methodology of Basel II is explained briefly and the problems and consequences regarding the treatment and valuation of real estate that evolve out of an application of Basel II are explored. Finally, other areas of interest that might determine the future of property valuation are addressed, notably the issue of sustainability. It is shown that there are numerous benefits of sustainable buildings, that the client demand for them is rising and that valuers will have to consider this aspect because it will affect the Market Value of the property. Dieser Standard hat das Ziel Unternehmen mit ihren jeweiligen nationalen Rechnungslegungsvorschriften die erstmalige Anwendung sowie den Einstieg in die internationale IFRS – Rechnungslegung zu erleichtern und gleichzeitig den Bilanzadressaten qualitativ hochwertige Informationen bereitzustellen. Aufgrund der Verordnung der Europäischen Union sind alle kapitalmarktorientierten Unternehmen ab dem 01.01.2005 verpflichtet ihre Konzernabschlüsse nach der IFRS – Rechnungslegung zu erstellen. Bisher war die Regelung, um einen erstmaligen Konzernabschluss nach den International Accounting Standards (IAS) zu erstellen, in den Standing Interpretations Committee kurz SIC-8 enthalten. Einige Regelungen des SIC-8 sind im IFRS 1 übernommen worden, wie z.B. der Grundsatz der retrospektiven Anwendung sowie die Regelung, dass beim Übergang auf IAS entstehende Differenzen mit den Gewinnrücklagen in der Eröffnungsbilanz verrechnet werden. Regelungen des SIC-8 ließen jedoch auch eine Vielzahl von Interpretationsspielräumen zu, z.B. ist ein Abweichen von der grundsätzlich retrospektiven Anwendung möglich, wenn der Anpassungsbetrag aus früheren Perioden nicht mit einem vertretbaren Aufwand bestimmt werden kann. Mit den neuen Vorschriften des IFRS 1 soll sichergestellt werden, dass ein erstmaliger Abschluss folgende Ziele gewährleistet: 1. Die Abschlussadressaten sollen transparente und hochwertige über alle offen gelegten Perioden vergleichbare Informationen erhalten sowie die 2. Lieferung eines angemessenen Startpunktes der Rechnungslegung auf der Grundlage der IFRS und 3. Die Kosten für einen erstmaligen IFRS Abschluss sollen den Nutzen für den Abschlussadressaten nicht übersteigen.

For decades, the determination of taxable income is characterized by the authoritative principle governing the traditionally close relationship between financial and tax accounting. However, book-tax differences have been growing throughout the last decades. In particular, the German Accounting Law Modernization Act (BilMoG) is seen to set a new cornerstone in the development towards an increasing divergence between financial and tax accounting. Despite the unanimous agreement of growing book-tax differences, little is so far known about the actual relationship between financial and tax accounting in Germany. In contrast to international research that has developed a variety of approaches to measure the reporting gap and investigated the information content of book-tax differences for corporate reporting behavior, empirical research on book-tax differences and their implications is rare in Germany. Based on two unique data samples the author aims to close this gap in research and, for the first time, provide empirically valid estimates of the sources and magnitude of book-tax differences in Germany. In doing so, the author also calls the information content of tax-related disclosure requirements under German GAAP into question and develops reform options that do not only take the German perspective into account, but also consider the ongoing discussion on a Common (Consolidated) Corporate Tax Base for Europe.

So wurde Anfang 2001 eine unabhängige Dachorganisation, die International Accounting Standards Committee Foundation (IASCF) mit Sitz in Delaware, USA, gegründet. Die Foundation besteht aus zwei Organen, dem IASB und den Treuhändern (trustees), sowie den beiden Gremien International Financial Reporting Interpretations Committee (IFRIC) und Standards Advisory Council (SAC). [...] Die insgesamt 22 Treuhänder, mit ihren jeweils unterschiedlichen geographischen und beruflichen Hintergründen, bilden das oberste Führungsorgan der IASCF. Sie berufen die Mitglieder aller wichtigen Gremien des IASCF, überwachen die Aktivitäten des IASB, sichern seine Finanzierung und entscheiden über mögliche Änderungen der Satzung. Die Verabschiedung der Standardsetzung liegt hingegen nicht in ihrem Aufgabenbereich. Unternehmen, die international tätig sind und somit rechnungslegungspflichtige Niederlassungen in verschiedenen Ländern haben, können die Ergebnisse besser vergleichen. Während kapitalmarktorientierte Unternehmen schon seit dem 01.01.2005 verpflichtet sind auf IFRS umzustellen, gestaltet sich die Lage im Mittelstand komplexer. Auf freiwilliger Basis ist auch die Anwendung von IFRS im Einzelabschluss bzw. für nicht-kapitalmarkorientierte Gesellschaften möglich, d.h. es besteht die Option einen zusätzlichen Abschluss nach internationalen Richtlinien zu erstellen. Die Regelungen des deutschen HGB und der IFRS unterscheiden sich aufgrund der Grundkonzeption jedoch erheblich. Die internationalen Rechnungslegungsstandards verzichten dabei auf wesentliche Elemente des handelsrechtlichen Gläubigerschutzes zugunsten einer Investororientierung. Sie stehen allein im Fokus der Informationsfunktion. Demgegenüber sind die Bilanzierungsgrundsätze nach HGB aufgrund der Ausschüttungsbemessungsfunktion und dem damit angestrebten Kapitalerhaltungsprinzip vom Vorsichtsprinzip geleitet. Es stellt sich die Frage, welche Bedeutung diese Entwicklung für die Unternehmen hat und inwiefern der Mittelstand betroffen ist. Insbesondere steht zur Diskussion, ob Mittelständler durch eine freiwillige Umstellung der Rechungslegung auf IFRS Vorteile z.B. hinsichtlich der Finanzierung erwarten können, oder ob die Nachteile z.B.
