Book excerpt: [Résumé en français]Dans une perspective cognitive de la gouvernance, cette recherche a pour objectif d'étudier la dimension productive de la collaboration entre Capital Investisseur (CI) et dirigeant. En réalisant l'analyse sociocognitive du groupe décisionnel considéré, il s'agit de comprendre les enjeux, en termes de création et d'échange de ressources cognitives, des interactions entre Capital Investisseur(s) et dirigeant, en contexte d'action, au travers des mécanismes de consensus et de conflit. La partie empirique de la recherche consiste en une analyse qualitative longitudinale de onze cas d'entreprises financées par Capital Investissement. Il apparaît que la collaboration productive entre CI et dirigeant est faible. On observe plusieurs limites à l'échange et à la création de ressources cognitives. En outre, les ressources cognitives apportées par les investisseurs sont insuffisamment exploitées par les dirigeants. La complexité sociocognitive du groupe CI-dirigeant est d'une manière générale élevée ; la force du consensus l'est d'autant moins. Si l'on observe une certaine convergence des représentations au sein du groupe décisionnel, suivant des logiques informatives et normatives, comme l'envisagent le néo-institutionnalisme sociologique et la théorie des conventions, elle est néanmoins limitée. Les conflits entre investisseurs et dirigeants portent principalement sur les objectifs et les moyens de la stratégie à mener ainsi que sur les territoires de pouvoir. On observe un état de réactance psychologique chez le dirigeant et des opportunités d'enracinement lui permettant d'élargir son espace discrétionnaire. Peu de mécanismes de gouvernance sont efficaces pour réguler ces conflits. Toutefois, les dimensions sociales et psychologiques de la confiance, en particulier l'existence d'une confiance identitaire et le respect de la justice procédurale et interactionnelle, favorisent la collaboration productive et la régulation des conflits. Les résultats de l'étude dépendent du profil de l'investisseur et mettent en évidence des caractéristiques culturelles françaises. Le système de gouvernance particulier que représente la syndication est également étudié. En permettant ainsi une meilleure compréhension des processus sociocognitifs à l'œuvre dans la relation CI-dirigeant, cette recherche réalise un apport théorique. Dans la mesure où la plupart des travaux sur la question sont quantitatifs, son apport est aussi méthodologique. De plus, des recommandations opérationnelles ont pu être formulées.

Pour y faire face, on fait appel à des intermédiaires compétents qui investissent dans les start-ups des fonds levés auprès d'investisseurs institutionnels : les capital-risqueurs. Dans cette thèse nous étudions donc le rôle de la compétence des capital-risqueurs dans l'organisation du capital-risque à l'aide de modèles théoriques et d'analyses empiriques des investissements en capital-risque réalisés aux Etats-Unis, en Europe et et Israël entre 1990 et 2005. Nous proposons tout d'abord un modèle du capital-risque basé sur une double sélection: celle des start-ups par les capital-risqueurs et celle des capital-risqueurs par les investisseurs institutionnels. Ce modèle nous permet d'établir les conditions de l'efficacité du capital-risque et d'étudier les dynamiques d'apprentissage et de sélection qui permettent de faire émerger une population de capital-risqueurs compétents à partir d'une population hétérogène aléatoire. Puis nous étudions l'influence de la compétence sur les stratégies du capital-risqueur. Nous proposons un modèle dynamique de l'arbitrage entre spécialisation industrielle et diversification financière dans le portefeuille de start-ups du capital-risqueur lorsqu'il améliore sa compétence dans les industries où il investit. Nous étudions ensuite le réseau de co-investissement entre capital-risqueurs et nous montrons le rôle des proximités culturelle, industrielle et dans le réseau comme source d'information sur la compétence des partenaires potentiels.
