Book excerpt: Bernd Wübben analyzes the success of 87 German mergers and acquisitions in the USA during the period from 1990 to 2004. Going beyond M&A, it demonstrates how economical ties and personal behaviour can positively influence our international relations. The value to M&A professionals will be generated through better understanding the views from the other side of the Atlantic, through new M&A insights from other industries and from experts working in consulting and finance. Thus, it is also of high value to all those working on partnerships between the USA or Germany and any other country. The book deals with many different aspects, starting from overall strategies, and ending up with lessons learnt from the special cases. Reflecting behavioural, economic or legal aspects, there are articles showing one side only to work out country or industry specifics and others comparing the nationally different systems and surroundings.

Available in PDF, EPUB and Kindle. Book excerpt: Every day the economic importance of national boundaries diminishes. The globalisation of world markets is proceeding with every-increasing speed, stimulated by developments, such as the introduction of the single European currency, and even the smallest transactions frequently now include a cross-border element. Business executives and their advisers participating in a transaction need a clear and concise framework of understanding, which will enable them to identify the critical issues likely to affect the course of the deal and to formulate the questions on which detailed advice will be needed. Corporate Acquisitions and Mergers in Germany provides a one-stop guide to the practical issues involved for this jurisdiction. The following key topics are addressed: cultural aspects; regulatory framework; common financing methods; antitrust/competition aspects; taxation aspects; employment considerations; procedural formalities; accounting treatment of acquisitions and mergers; and future developments. Professional advisers involved in merger and acquisition activity in Germany, including bankers, independent lawyers or in-house counsel, tax consultants, accountants, public relations advisers, and actuaries, will find Corporate Acquisitions and Mergers in Germany an invaluable and reliable source of practical reference and information. This volume originally appeared as a country report in the loose-leaf work Corporate Acquisitions and Mergers edited by Peter Begg.

This book was released on 2021-03-12 with total page 139 pages. Available in PDF, EPUB and Kindle. Book excerpt: Bachelor Thesis from the year 2016 in the subject Business economics - Operations Research, grade: 1,3, Berlin School of Economics and Law, language: English, abstract: The following thesis deals with Chinese outward foreign direct investments (OFDI) in Germany and the effects of post-merger integration on labor relations. As a result of the economic reforms that have been taking place in China for the past four decades, the People’s Republic has become an economic giant, rapidly making cross-border investments across the globe. Backed by large amounts of currency reserves, China’s OFDI reached a record-breaking US$ 114 billion in 2014, making it one of the top three global investors. The impending acquisition of Swiss Syngenta by China’s state-owned enterprise China National Chemical (ChemChina), worth over US$ 43 billion dollars, illustrates the aggressive expansion into new markets. Germany has also received its share of FDI inflows from China. While investments have remained rather modest in comparison to other countries, the acquisition of KraussMaffei Gruppe or EEF Energy From Waste GmbH—worth billions of euros—have headlined Chinese M&A in Germany. Chinese have topped the M&A discussions in Germany due to the speed at which so-called "hidden champions" are being acquired. The process of M&A is particularly of interest to us, specifically the post-merger integration (PMI) and the effects it has on labor relations. This thesis will begin with a literature review on the current and past state of knowledge regarding PMI. Definitions of mergers, acquisitions and integration are given at the start of chapter two, followed in the second half by the various streams of literature pertaining to the topic. Chapter three will introduce the concept of Chinese FDI and the developments of the past 40 years; in the second half of the chapter, we will present the methodology of research we have chosen for the study and the various methods used. Chapter four consists of two case studies of German companies in the automotive sector that have recently been acquired by Chinese multi-national corporations (MNCs). From these case studies, we will make our analysis in chapter five and provide our conclusions in chapter six.
