Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Private Corporations: This Treatise on Private Corporations Is Taken From Volume VIII of a Series of Non-Technical Law Books Entitled "American Law and Procedure," Published by La Salle Extension University This view is that the corporation has a personality s'e'reul as that of the state; that in law a person is any thing that is a distinct subject of rights and liabilities. Juristic persons are no more fictitious than, say, the conception of ownership is fictitious. In the eye of the law they are in the fullest sense persons, that is, subjects of legal rights and duties, and to that extent 'real, ' as far as modern law is concerned. Book Synopsis The Law of Private Companies by : J. Ernest Smith
Download or read book The Law of Private Companies written by J. Ernest Smith and published by . This book was released on 2015-07-11 with total page 288 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from The Law of Private Companies: Relating to Business Corporations Organized Under the General Corporation Laws of the State of Delaware With Notes, Annotations, and Corporation Forms The author has reason to believe that a practical annotation of the general corporation law of the state of Delaware would be of service not only to the bar, but also to business men, who are considering or resorting to the formation of corporations, as the best mode of candying into effect everyday business requirements. The present general corporation law herein considered, is Delaware's second general law of this nature, and was passed in conformity with the requirements of the constitution (article IX, section I), viz.: That no corporation shall be created by special act, but only by general law. The first law, that of 1883, while liberal in its provisions, applied to a limited class of business concerns, and prior to this law, all charters for incorporated companies were granted by special act of the legislature. In this edition those sections of the law (Nos. 67 to 126 inclusive) relating to public or quasi-public corporations, are not treated of, it being the intention to confine the limits of this work to such corporations as may be termed "Private Companies." As the Delaware corporation law in many of its provisions closely resembles the corporation act of New Jersey, and as there have been many decisions of the courts of that state determining the scope and powers of said act, citations of such cases have largely been made in this volume. Book Synopsis The legal nature of corporations... by : Ernst Freund
Download or read book The legal nature of corporations... written by Ernst Freund and published by Forgotten Books. This book was released on 2016-10-19 with total page 86 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from The Legal Nature of Corporations The question of the nature of corporate existence has a peculiar interest and fascination. Few writers on the subject of corporations ignore it altogether, and our courts have repeatedly enunciated their views as to what a corporation really is. The result is that our law has its accepted theory of corporate exist ence, while it can hardly be said to have such a theory with regard to the nature of contract, Obligation, or incorporeal property. If we have an accepted theory, it is worth while to examine it as to its truth. The problem of corporate existence has a much wider than Simply legal bearing. It has an even greater interest to the sociologist than to the jurist. But I have confined myself tothe corporation as a legal institution, ignoring the subject of association as a factor in economic, social, and political life.
