El primero consiste en denunciar las incoherencias internas y lo débil de las conclusiones a las que llega la tesis más extendida entre la doctrina y la jurisprudencia españolas acerca de la naturaleza de la fiducia cum creditore. Se alude, obviamente, a la teoría de la titularidad fiduciaria. Pero, en segundo lugar, persigue también -y éste es su fin fundamental- demostrar la escasa congruencia que guarda con ella la communis opinio hoy existente sobre la estructura de las otras dos modalidades de propiedad en garantía a las que alude el rótulo de la obra: el arrendamiento financiero o leasing, de un lado, y la reserva de dominio en su versión clásica (es decir, entendida como una auténtica condición suspensiva de la transmisión de la propiedad), de otro. Pues aunque un gran número de sentencias y de autores aceptan en la actualidad, sin cuestionamiento alguno, la condición de verdadera propietaria de la entidad financiadora, en el primer caso, y del vendedor, en el segundo, es lo cierto que, de ser fieles a aquella teoría, esto no debería ser así. Por el contrario, un seguimiento a la letra de sus postulados conduce inexorablemente a imputar a tales sujetos una mera titularidad formal o aparente, mientras que la propiedad (la auténtica propiedad) ha de residenciarse necesariamente conforme a ellos, ya en el arrendatario, ya en el comprador.

Credit Nation examines how the drive to expand credit shaped property laws and legal institutions in the colonial and founding eras of the republic. In this major new history of early America, Claire Priest describes how the British Parliament departed from the customary ways that English law protected land and inheritance, enacting laws for the colonies that privileged creditors by defining land and slaves as commodities available to satisfy debts. Colonial governments, in turn, created local legal institutions that enabled people to further leverage their assets to obtain credit. Priest shows how loans backed with slaves as property fueled slavery from the colonial era through the Civil War, and that increased access to credit was key to the explosive growth of capitalism in nineteenth-century America. Credit Nation presents a new vision of American economic history, one where credit markets and liquidity were prioritized from the outset, where property rights and slaves became commodities for creditors' claims, and where legal institutions played a critical role in the Stamp Act crisis and other political episodes of the founding period.
