Book excerpt: L'Etat participe à l'activité économique, notamment par des acquisitions de firmes privées (nationalisations et des cessions de sociétés publiques (privatisations). Ces opérations lui permettent de situer le curseur de la réglementation dans chaque secteur d'activité. Plus de 400 opérations impliquant une entreprise détenue majoritairement par le gouvernement ont ainsi été réalisées sur les marchés financiers en Europe et aux Etats-Unis entre 1985 et 2001. Or la participation de l'Etat est souvent perçue comme un facteur négatif pour la richesse des actionnaires pour deux principaux motifs : l'existence d'objectifs gouvernementaux autres que le profit (interférence politique et bien-être social) et la faiblesse de la relation d'agence (peu de contrôles et d'incitations). Une hypothèse oppose propose que l'Etat actionnaire apporte protection et réglementation, avec la capture d'une rente liée à cette réglementation. Dans ce cadre, nous étudions les taux de rentabilité anormaux cumulés dégagés à l'annonce des 434 fusions - acquisitions impliquant l'Etat et mettons en évidence les six résultats suivants. (1) Les nationalisations génèrent une création de valeur actionnariale proche de celle observée pour les opérations entre firmes privées dans les études européennes. (2) Par contre, les privatisations créent anormalement peu de valeur. (3) Le rôle des principales variables classiques explicatives des créations de valeur sont validées en présence de l'Etat (mode de paiement, prise de contrôle et caractère transfrontalier de l'opération). (4) La différence de création de valeur entre les nationalisations et les privatisations semble due à l'exercice d'une activité réglementée par l'acquéreur. Les résultats semblent indiquer que l'incidence positive de l'hypothèse de la rente excède l'éventuel impact négatif lié à la théorie de l'agence
