Non-compete agreements are signed when the relationship between employer and employee begins. They give the employer control over specific actions of the former employee even after that relationship ends. These non-competitor agreements have specific clauses stating that the employee will not only not enter into a competition with an employer during the employment period, but will also not work for a competitor after their employment is over, regardless of whether they are terminated or resign. Employees are also prevented from working for a competitor even if the new job would not involve disclosing trade secrets. Some of the terms of the non-compete agreement may include the length of time the employee is bound to the non-compete agreement, the geographic location, and/or market. These non-compete agreement may also be called a 'covenant not to compete' or a 'restrictive covenant.' Non-competes ensure the employee will not use information learned during employment to start a business and compete with the employer once work is over. It also ensures the employer keeps its place in the market". Non-competes agreements are tailored to be highly favorable to employers and highly unfavorable to employees. Signing a non-compete agreements can adversely impact an individual's livelihood since it can preempt the individual from being able to earn revenue by severely restricting their ability to work. Non-compete agreements are so broad in scope that they can for instance prevent a former employee from being able to work in multiple industries and being able to work in multiple self-employed capacities for even additional years after the employee has resigned from the company of which he entered into a non-compete agreement with. Non-competes agreements are even required by most employers for prospective employees to sign in order to attain dead end, minimum wage, dispiriting, distressful, brutally wretched jobs. Non-competes agreements are leveraged by employers throughout a myriad of disparate industries.

I propose a framework combining endogenous growth and on-the-job search. Firms grow knowledge by in-house innovation and by hiring workers from more productive firms. Knowledge is nonrival, leading to underinvestment in innovation. Non-compete contracts address this underinvestment by allowing innovating firms to enforce buyout payments when they lose workers. However, they discourage diffusion by deterring firm entry. Linking patent records to matched employer-employee administrative data at the U.S. Census Bureau, I document that inventors diffuse knowledge across firms and are compensated for knowledge diffusion. Constructing novel microdata, I find non-compete contracts are associated with increased innovation expenditure and decreased worker mobility. I calibrate my theoretical model to match the empirical results. Knowledge diffusion, through the channel of worker mobility, accounts for 4% of the aggregate growth rate and 9% of welfare. Optimal regulation of non-compete contracts balances the innovation-diffusion tradeoff. The second chapter (joint with Martin Ganco, Haifeng Wang and Shotaro Yamaguchi) studies the strategic use of non-compete agreements. Extant work in strategic management has focused on the role of noncompete agreements (NCAs) - a form of restrictive legal lever used by firms when managing human capital - and conceptualized them as being advantageous to firms. Challenging this notion, we highlight a novel downside of using NCAs and show how their use by some firms creates differentiation opportunities for rival firms. We analyze a unique survey dataset to examine the heterogeneity in the firms' actual use of NCAs conditional on industry and state. We find that the nonuse of NCAs is more common among firms that rely more heavily on talent and are also not the industry leaders, and such firms are more likely not to use NCAs with the goal of attracting skilled employees. The third chapter develops a structural model of pre-college educational investment in college admission tournaments. Students are heterogeneous in ability, family wealth, and preferences for colleges and can purchase tutoring services to improve their human capital and test scores. They also face borrowing constraints. The score distribution, admission thresholds, and college assignment are joint equilibrium outcomes. The model is estimated with Korean ELS: 2005 data and can be used to study Korea's tutoring market with a wide range of policy candidates, including taxing private tutoring and reducing noise in admission. A tax lowers the overall spending on tutoring. The students from middle-income families are most responsive to the price change. Reduced signal noise incentivizes the tutoring expenditure of high-ability students and improves their chances of attending prestigious colleges.

In the first chapter, I investigate the impact of restricting labor mobility on two components of growth: entrepreneurship and capital investment. To identify the mechanism, I combine LinkedIn's database of employment histories with staggered changes in the enforceability of non-compete agreements that come mostly from state supreme court rulings. Stronger enforceability leads to a substantial decline in employee departures, especially in knowledge-intensive occupations, and reduces entrepreneurship in corresponding sectors. However, these shocks increase the investment rate at existing knowledge-intensive firms. I estimate a state of median size gains $50 million in capital investment from publicly-held knowledge-intensive firms, but loses almost 200 small firms entering knowledge-intensive sectors.In the second chapter, I explore a specific mechanism through which corporate social responsibility (CSR), and in particular pro-employee policies, may benefit companies. I propose that socially responsible behavior generates public goodwill toward the firm, which can be redeemed when the company needs public approval, such as when applying for public contracts. To provide causal support for this mechanism, I use the staggered state passage of Other Constituency (OC) laws, which allow directors to orient policies toward non-shareholder constituents. Following the passage of OC laws, employee safety and health measures systematically improve, indicating more employee-oriented behavior. At the same time, firms incorporated in these states systematically become more likely to obtain public contracts and obtain contracts of higher value.

This paper investigates how non-compete policies affect different types of self-employment. We exploit policy reforms in Utah and Massachusetts in 2016 and 2018, which decreased the enforceability of non-compete covenants, as quasi-experiments. We separate self-employment into self-employment with incorporated businesses (as a proxy for entrepreneurship) and self-employment with unincorporated businesses. Using representative individual-level data from the American Community Survey and the Current Population Survey, we estimate the probability of being self-employed with these different types of businesses, as well as entry into self-employment, and how these probabilities changed due to the reforms. Our findings show that the decrease in the enforceability of non-compete agreements in the two states resulted in a higher rate of incorporated self-employment in these states. In contrast, there was no sizable effect on the rate of unincorporated self-employment. Our results imply that states can promote entrepreneurial activity by reducing the enforceability of non-compete agreements.

Book excerpt: Non-compete clauses (NCCs) limiting the mobility of workers have been found to be rather widespread in the US, a flexible labour market with large turnover rates and a limited coverage of collective bargaining. This paper explores the presence of such arrangements in a rigid labour market, with strict employment protection regulations by OECD standards and where all employees are, at least on paper, subject to collective bargaining. Based on a representative survey of employees in the private sector, an exam of collective agreements and case law, we find that in Italy i) collective agreements play no role in regulating the use of NCCs while the law specifies only the formal requirements, ii) about 16% of private sector employees are currently bound by a NCC, iii) NCCs are relatively frequent among low educated employees in manual and elementary low paid occupations having no access to any type of confidential information, and iv) in addition to NCCs, a number of other arrangements limit the post-employment activity of workers. Many of the NCCs do not comply with the minimum requirements established by law and yet workers do not consider them as unenforceable and appear to behave as they were effective. Even when NCCs are unenforceable they appear to negatively affect wages when they are introduced without changing the tasks of the workers involved. Normative implications are discussed in the last section of the paper.

Book excerpt: I contribute to the literature on institutions, gender, and entrepreneurship by showing that macro-level institutional policies that do not explicitly target women disproportionately affect their ability to leverage prior professional experience in founding new ventures. Examining workers in 25 states and the District of Columbia from 1990-2014, I find that women subject to tighter non-compete policies are less likely to leave their employers and start rival businesses. Two mechanisms suggest that non-competes contribute to a disproportionate “chilling effect” on entrepreneurship among women. First, women face higher relative costs of potential litigation due to lower earnings prior to founding. Second, women fact a higher wage penalty when returning to paid employment following an unsuccessful venture. The effect is not explained by actual non-compete lawsuits, where women are markedly underrepresented.

Book excerpt: Chapter one examines workers' labor supply decisions to estimate both the equilibrium compensating differential for fatal risk and marginal willingness to accept fatal risk. Using new panel data from commercial fishing deckhands in the Alaskan Bering Sea between 2003-2009, I exploit variation within the worker-firm level in hourly earnings across fishing seasons and exogenous variation in weatherdependent seasonal fatality rates to identify the compensating differential for occupational fatality risk. This identification approach avoids many of the common sources of bias in the estimation of compensating differentials, including endogenous job switching and unobserved worker and firm heterogeneity. Additionally, changes in earnings caused by exogenous changes in risk within the worker-firm level identify information about individual preferences for risk that is not conveyed by the equilibrium wage-risk envelope. A structural labor supply model incorporates dynamic job-specific skill accumulation, which affects subsequent earnings. The compensating differential, normalized to a value of statistical life, is estimated to be $6.17 million using a reduced-form model and $6.75 million using a structural model. Estimates from both models suggest that wages increase as a concave function of the level of risk. The findings imply that aversion to marginal increases in fatal risk falls as the level of risk rises, and that the marginal VSL is a decreasing function of the level of risk. The second chapter uses unique data from a survey of physicians in 5 states to provide the first comprehensive analysis of the effects of non-compete agreements on labor markets. We estimate factors associated with the use of non-competes, the compensating wage differential for accepting a non-compete clause, and discuss the effects that non-compete clauses have on mobility and the geographic distribution of primary care physicians. We find that non-competes are used frequently among primary care physicians, and that they impose binding constraints on labor market behavior and are associated with significant compensating wage premiums of about 11% of wages. The analysis suggests that state-level public policies play an important role, as we find that states with very strict enforceability of non-compete agreements have fewer physicians per capita and higher prices for physician services.
