Book excerpt: Excerpt from Essays in the Earlier History of American Corporations: Numbers I III This group of studies is presented as a modest contribution to the economic and social history of the United States before 1800, especially for the last decade or two of the eighteenth century. All of the four essays treat primarily of the corporation and its legal, social, and economic place in the community. They vary widely, however, in scope. The first sketches lightly the corporations of all sorts colonizing, governing, ecclesiastical, educational, charitable, trading, etc. As they appeared in the British colonies that later became the United States. The third treats intensively of a single manufacturing corporation and chie y of its earlier years, 1791 - 96. The fourth summarizes the outstanding facts regarding the three hundred and odd busi ness corporations chartered in the eighteenth century and partie ularly after i7s3. The second which is printed in this collee tion only after considerable hesitation deals with the career of a big business man who had much to do with several cor potations and near-corporations, and whose activities reveal certain Significant aspects of the milieu in which the business corporation developed. Book excerpt: The sudden passing of Justice Antonin Scalia shook America. After almost thirty years on the Supreme Court, Scalia had become as integral to the institution as the hallowed room in which he sat. His wisecracking interruptions during oral arguments, his unmatched legal wisdom, his unwavering dedication to the Constitution, and his blistering dissents defined his leadership role on the court and inspired new generations of policymakers and legal minds. Now, as Republicans and Democrats wage war over Scalia’s lamentably empty Supreme Court seat, Kevin Ring, former counsel to the U.S. Senate’s Constitution Subcommittee, has taken a close look at the cases that best illustrate Scalia’s character, philosophy, and legacy. In Scalia’s Court: A Legacy of Landmark Opinions and Dissents, Ring collects Scalia’s most memorable opinions on free speech, separation of powers, race, religious freedom, the rights of the accused, abortion, and more; and intersperses Scalia's own words with an analysis of his legal reasoning and his lasting impact on American jurisprudence. “I don’t worry about my legacy,” Scalia once told an audience at the National Archives. “Just do your job right, and who cares?” Now that "the lion of American law has left the stage,” as the U.S. Attorney General put it, it is for the rest of America to worry about his legacy—and to care.

Available in PDF, EPUB and Kindle. Book excerpt: Delaware is the state of incorporation for almost two-thirds of the Fortune 500 companies, as well as more than half of all companies listed on the New York Stock Exchange, NASDAQ, and other major stock exchanges. This gives Delaware a seemingly unchallengeable position as the dominant producer of US corporate law. In recent years, however, some observers have suggested that Delaware's competitive position is eroding. Other states have long tried to chip away at Delaware's position, and recent Delaware legal developments may have strengthened the case for incorporating outside Delaware. More important, however, the federal government increasingly is preempting corporate governance law. The contributors to this volume are leading academics and practitioners with decades of experience in Delaware corporate law. They bring together a variety of perspectives that collectively provide the reader with a broad understanding of how Delaware achieved its dominant position and the threats it faces.
